Important items include:
the Units being offered and the Series legal structure;
the Brand Advisory Agreement and defined Brand Amounts;
offering price, minimum subscription, fees, expenses, reserves, dilution, and use of proceeds;
risk factors, conflicts of interest, financial information, and forward-looking statements;
distribution provisions and Manager discretion;
transfer restrictions and the absence of a current public trading market;
the plan of distribution, Andes Capital Group’s best-efforts role, and subscription acceptance; and
investor eligibility, investment limits, KYC/AML review, and jurisdictional restrictions.
