How do you respond to a fund asking for when and at what terms will the Series A be raised?

You can say, “Whenever you fund our seed, we’ll consider the Series A".
They care less about what you say you need the money for, and more about whether or not that money will be sufficient to position you well for a Series A at an interesting valuation. So the smart thing would be to answer the question with that point of view in mind.
