Why did we change the jurisdiction?

A foreign company is needed to participate in transactions and accept payments, we spent 8 months passing all the checks to open bank accounts and pass all the audits.

But due to the specifics of the work of Dubai banks, we were still unable to receive payments from clients, and in 2024 it was decided to change the jurisdiction to Cyprus and transfer all assets from the Dubai to the Cyprus company.

AMCH LTD Company

In 2024, we rebranded the company and the application and opened it in Cyprus, we also opened an account in REVOLUT bank and it took no more than a week to open the account and pass all the checks.

By the way, we currently have PRE-IPO REVOLUT in our investment ideas. According to rumors, they are going to go public in 2025.

About the lack of a license for AMCH Company

A license is not required for venture investments, since transactions are structured mainly through the direct entry of an investor into the company's capital (CapTable) or through the creation of a special legal entity (SPV) intended exclusively for participation in a specific transaction. Such transactions are carried out in the format of private investments and are classified as over-the-counter, since they do not involve open trading of securities on exchange platforms.

Regulation and licensing are usually applied to activities related to public fundraising or exchange transactions, such as brokerage or dealer activities. In contrast, venture transactions are carried out on a private placement basis, where the number of investors is limited, transactions are confidential, and shares are not freely traded on the exchange.

Thus, under the laws of most countries (including the US, Europe, the UAE and other jurisdictions), such private venture investments do not require special licenses, since they do not fall under the definition of licensed activities such as brokerage services, trust management, public placement or exchange trading. This significantly simplifies the investment process and makes the structure of such transactions more flexible and efficient for all participants.
