🏦 Investing Through an IRA on DealMaker

You can invest in select offerings on DealMaker using funds held in a U.S.-based Individual Retirement Account (IRA). This article explains what you need to know about eligibility, custodians, payment process, registration requirements, and IRA-specific limitations.

✅ Can I Use My IRA to Invest?

Yes, many issuers on DealMaker accept investments funded through an IRA. However, not all do. IRA investments are:

  • Subject to the issuer's approval

  • Typically supported through self-directed IRAs

  • Often require coordination with your IRA custodian or administrator

🔍 Check the offering’s FAQ or ask your custodian to confirm if the deal qualifies before proceeding.

🧾 Common Types of IRAs Accepted

DealMaker-compatible IRA structures usually include:

  • Traditional IRAs

  • Roth IRAs

  • SEP IRAs

  • Self-Directed IRAs (SDIRAs) — most commonly used for private placement investments

All IRA investments must be facilitated by a qualified custodian, who will review and execute the investment on your behalf.

💳 How to Fund an IRA Investment

To fund an investment using an IRA:

  1. Complete the investment questionnaire in DealMaker, and select IRA or custodian account as your investor type.

  2. Choose Wire Transfer or ACH as your payment method (depending on what your custodian supports).

  3. Submit the deal information and funding instructions to your custodian, who will then:

    • Review the offering documents

    • Send the funds to the issuer

    • Complete the transaction on your behalf

📝 How to Register Shares in an IRA (U.S. Only)

IRA shares must be registered in the name of the custodian, not the individual investor. Example registration format:

[Custodian Name] FBO [Investor Name] [IRA Type] Example: "ABC Trust Company FBO Jane Doe Roth IRA"

If registered incorrectly, you may face delays in confirmation or share issuance.

🔁 Can I Update the IRA Registration Later?

Yes, if your shares were mistakenly registered in your name instead of your custodian, DealMaker or the Transfer Agent (if applicable) can help initiate a correction:

  • You’ll need to submit the correct registration name and possibly supporting documentation from your custodian.

  • A registration update form or written authorization may be required.

  • This can take several business days depending on the issuer’s or transfer agent’s processing policy.

✉️ Submit a support request with your updated IRA account information if needed.

❗ Limitations on Reg CF Investments

Regulation Crowdfunding (Reg CF) investments cannot be held in an IRA account.

This is due to regulatory restrictions around:

  • The nature of Reg CF securities (non-transferable)

  • Custodial control over illiquid investments

📌 If the deal you’re interested in is offered under Reg CF, you’ll need to invest using a personal or entity account insteadPay and Sign Your Subsc….

🛡️ Tips and Reminders

  • Always confirm that your custodian is aware of the investment and can process private placement transactions.

  • Provide accurate registration and payment information to avoid delays.

  • If unsure, contact your custodian first to initiate the process—they will guide you through necessary compliance steps.
