📉 Why Can’t I Invest? Understanding "Deal Closed" Status
If you’re seeing that a company’s deal is “Closed” or unavailable for investment, it means the offering is no longer accepting new investors. This can happen for a few reasons — and it’s important to understand how equity crowdfunding deals work.
🚫 What “Deal Closed” Means
Each investment opportunity on DealMaker is a private securities offering made available for a limited time. Once the company has:
Reached its fundraising goal,
Reached the regulatory deadline, or
Chosen to close the offering early,
the deal is no longer open to new investors. You may see a “Deal Closed” banner or messaging on the offering page.
⚠️ If a deal is closed, no additional shares are available for purchase.
📘 Why You Can’t Invest in a Closed Offering
Unlike publicly traded stocks that are available year-round on stock exchanges like NASDAQ or NYSE, crowdfunding offerings operate in the private market and are only available during a specific window.
Every offering has:
A limited offering period (as determined by the company)
A maximum raise amount (e.g., $1M, $5M, or $75M depending on the regulatory exemption)
Once that window closes or funding cap is reached, the company is not allowed to accept new investments.
🔄 Can I Invest Later?
If the company opens a new round in the future, it will be listed as a new deal on DealMaker. However:
There is no guarantee that the company will open another offering.
Investors cannot purchase shares once the round is closed, unless a new raise is made available by the issuer.
