Welcome to the Exa App Referral Program (the "Program"). By participating in the Program, you ("You" or "Referrer") agree to be bound by these Terms and Conditions ("Terms"), as well as the general Exa App Terms of Service. This Program is operated by Exa Labs SAS ("Exa," "we," "us").
1. Program Overview
The Program allows eligible Exa App users to earn a reward in USDC by referring new users to the platform who become Qualified Referrals.
Referrer's Reward: 10 USDC for each Qualified Referral.
Referee's Reward: 10 USDC upon becoming a Qualified Referral.
2. Eligibility
Referrer Eligibility: To be eligible to make referrals, you must have an active Exa App account in good standing and have successfully completed our identity verification (KYC) process.
Referee Eligibility: To be eligible to be referred, an individual (a "Referee") must:
Be a new user who has never previously held an Exa App account.
Create their Exa App account on or after October 21, 2025.
Meet all standard eligibility requirements for opening and verifying an Exa App account.
3. Qualified Referral
A "Qualified Referral" is defined as a Referee who successfully completes all of the following actions:
Sign-Up with Code: Registers for a new Exa App account and correctly enters the Referrer's unique referral code in the form.
Identity Verification (KYC): Successfully completes and passes Exa App's mandatory identity verification process.
Minimum Deposit: Makes a first-time fiat or cryptocurrency deposit equivalent to at least $1 into their Exa App account to activate their account features, such as the Exa Card.
There is no time limit for the Referee to complete these actions after signing up. However, Exa reserves the right to introduce a time limit in the future by updating these Terms.
4. Reward Distribution and Limits
Purchase Requirement:
To prevent spam and ensure genuine participation, the 10 USDC rewards (for both Referrer and Referee) will only be distributed once the Referee’s cumulative purchases made with their Exa Card reach or exceed 100 USDC.
Payment:
Once this condition and all other requirements are met, both the Referrer and the Referee will receive their 10 USDC reward. The reward will be credited directly to their respective Exa App USDC wallets. Please allow up to 7 business days for processing after all conditions are met.
Referrer Reward Limit:
A single Referrer can earn a maximum lifetime total of 100 USDC through this Program. Once this limit is reached, the Referrer will no longer receive rewards for new referrals, although their referral code will remain active for the benefit of new Referees.
5. Prohibited Activities
Any engagement in fraudulent, manipulative, or abusive activities will result in immediate disqualification from the Program, forfeiture of all earned and pending rewards, and may lead to the suspension or termination of your Exa App account. Prohibited activities include, but are not limited to:
Self-Referral: Creating duplicate accounts for yourself using your own referral code.
Spamming: Sending unsolicited communications via email, social media, or any other channel to distribute your referral code.
Paid Advertising: Using any form of paid media, including but not limited to search engine ads (e.g., Google Ads), to promote your referral code.
Misrepresentation: Making false or misleading statements about the Program, the rewards, or Exa App services. Providing financial advice or presenting your referral code in a way that suggests it is an official Exa App communication.
Synthetic or Automated Activity: Using bots, scripts, or any automated means to create accounts or generate referrals.
Referral codes are intended for personal sharing with friends, family, and direct acquaintances.
6. Program Modification and Termination
Exa Labs SAS reserves the right, in its sole discretion, to modify, suspend, or terminate the Program at any time and for any reason, without prior notice. We further reserve the right to amend these Terms at any time. Your continued participation in the Program following any such changes constitutes your acceptance of the revised Terms.
7. General Provisions
Taxes: You are solely responsible for any and all tax obligations and liabilities that may arise from the rewards received under this Program.
Governing Law: These Terms are governed by and shall be construed in accordance with the laws of the jurisdiction in which Exa Labs SAS is registered, without regard to its conflict of law principles.
No Guarantees: Exa does not guarantee that your referral code will result in any rewards and is not liable for any failure to credit a reward due to a Referee's failure to properly use the referral code.
Void Where Prohibited: This Program is void where prohibited or restricted by applicable law.
