Verifying your 'wholesale client' status for the first time

Wholesale / sophisticated investor certificates and other methods

You must be a 'wholesale client' as defined by the Australian Securities & Investments Commission (ASIC) in order to participate in investments on the GXE platform.

'Wholesale client' status (also commonly known as "sophisticated investor" and "wholesale investor" status) can be verified in a number of different ways but the most common is by asking your qualified accountant to attest to your certification by completing a verification form.

There are few ways that we can verify your wholesale client status:

  1. Generating a certificate for your accountant to review and sign

    This is the preferred method as it significantly reduces errors.

    GXE's investment platform can automatically generate the necessary form for your accountant to review and sign.

    1. Either:

      1. Or, proceed to your account (by clicking on Your Name -> Account details), then click the 'Entities' tab and click on 'Verify Wholesale Status'.

    2. Now follow the steps


  2. Using your existing wholesale certificate

    1. Before completing this method, you MUST verify that your wholesale certificate contains the following:

      1. Dated within the last two years

      2. Completed by a qualified accountant and details the authorising accountants information – Defined by ASIC here

      3. Certificate explicitly names your investing entities. Examples of the most commonly used options:

        • Individual (eg. John Doe)

        • Trust (eg. Trustee Pty Ltd ACN 123 123 123 ATF Family Trust)

        • Company (eg. ABC Company ACN 123 123 123)

          and/or

        • SMSF (eg. Example Superannuation Pty Ltd as trustee for Example Superannuation Fund ABN 12 123 123 123)

      4. Explicitly states that you “control” your chosen investing entities. The word "control" must be included – Defined by ASIC here and The Corporations Act 2001 here

    2. If your certificate contains the above four key details then we can likely accept it. To upload your certificate, follow these steps:

      1. Now, follow the instructions

  3. Alternative Validation

    1. There are a variety of alternative criteria to satisfy the wholesale client test as defined in the Corporations Act 2001 which you can use if applicable.
