These Terms of Service ("Terms") govern your access to and use of AliDropify, the Shopify app, website (www.alidropify.com) and related services provided by 11573225 Canada Inc. ("AliDropify", "we", "us" or "our"). By installing the AliDropify app, creating an account, starting a free trial or subscribing to a plan, you agree to these Terms. If you are accepting these Terms on behalf of a business, you confirm that you have authority to bind that business. If you do not agree, do not install or use AliDropify.

For the purposes of this Agreement, in addition to the capitalized terms defined elsewhere in this Agreement, the following terms shall have the following meanings:

Agreement: means the Sign-Up Form and these Terms (as updated from time to time), together with the AliDropify Refund Policy and the AliDropify Privacy Policy, which are incorporated by reference.

AliDropify Platform: means AliDropify's online, web-based software application linked to Shopify, through which AliDropify provides the Service. The AliDropify Platform lets the Customer find AliExpress Products, import them into the Customer's Shopify store, edit and manage those listings, and manage and place the related orders with AliExpress.

AliExpress: means the AliExpress online marketplace and its operators, which are third parties independent of AliDropify.

AliExpress Seller: means any third-party seller or supplier that offers products on AliExpress.

AliExpress Products: means products offered by AliExpress Sellers on AliExpress, including any such products that the Customer imports into its Shopify store through the Service.

Customer (also "you"): means the merchant or entity that installs AliDropify or registers for the Service through the Sign-Up Form.

End Customer: means a customer of the Customer who buys products from the Customer's store.

Order: means an order placed by an End Customer in the Customer's Shopify store for one or more AliExpress Products, and any related order that the Customer places with an AliExpress Seller, including sample orders.

Sign-Up Form: means the online installation, registration or plan-selection flow completed by the Customer (including through the Shopify App Store) that refers to these Terms and may set out commercial terms such as the plan, fees and features of the Service to be delivered to the Customer.

Personal Data: means any information or data that alone or together with any other information relates to an identified or identifiable natural person ("data subject"), or data considered to be personal data under Privacy Laws. An identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier, or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person.

Privacy Laws: means any law, statute, directive, or regulation, including any and all legislative and/or regulatory amendments or successors thereto, regarding privacy, data protection, information security obligations, and/or the processing of Personal Data (including without limitation the General Data Protection Regulation 2016/679 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data as amended or superseded from time to time).

Service (also "Services"): means the services offered by AliDropify through the AliDropify Platform and subscribed for by the Customer under this Agreement.

Shopify: means the Shopify e-commerce platform and its operators, which are third parties independent of AliDropify.

User: means an employee, contractor, or agent of the Customer who is authorized by the Customer to use the Service, and who has been given access to the Service by the Customer (or by AliDropify at the Customer's request).

In this Agreement: (a) words denoting the singular include the plural and vice versa and words denoting any gender include all genders; (b) all usage of the word "including" or the phrase "e.g.," in this Agreement shall mean "including, without limitation," throughout this agreement; (c) all dollar amounts are expressed in United States dollars (USD) unless expressly provided otherwise on the Sign-Up Form. Headings and the division of this Agreement into articles and sections are for the convenience of reference only and shall not affect the interpretation hereof. If there is any conflict or inconsistency between the terms in the various parts of this Agreement, these Terms will take precedence.

A software tool, not a marketplace or seller. AliDropify is a software tool for Shopify merchants. It helps the Customer discover AliExpress Products, import them into the Customer's Shopify store, prepare and manage those listings, and manage and place the related Orders with AliExpress Sellers. AliDropify does not operate a marketplace, does not have suppliers of its own, and does not manufacture, own, stock, inspect, sell, resell, ship or deliver any products.

AliExpress is a third party. AliExpress and AliExpress Sellers are independent third parties. They are not AliDropify's agents, partners or subcontractors, and AliDropify does not control them. When the Customer places an order with an AliExpress Seller, that purchase is a contract between the Customer and the AliExpress Seller, governed by AliExpress's own terms and policies. AliDropify is not a party to that contract and does not act as an agent for the Customer or for any AliExpress Seller.

No responsibility for AliExpress Products or AliExpress Sellers. To the maximum extent permitted by law, AliDropify is not responsible for AliExpress Products or for the acts or omissions of AliExpress or AliExpress Sellers, including the quality, safety, legality, authenticity, description, pricing, stock availability, shipping costs, shipping times, delivery, tracking, returns or refunds of any AliExpress Product. Product information, prices, stock levels, shipping options and delivery estimates shown in the Service come from AliExpress or AliExpress Sellers. They may change at any time and may be inaccurate, incomplete or out of date. Any dispute about an AliExpress Product or an order placed with an AliExpress Seller must be raised with that AliExpress Seller or through AliExpress's dispute process.

Provision of Service. Conditioned on the provisions in this section and the other terms and conditions of this Agreement, AliDropify shall make the Service available to the Customer during the term for use in the Customer's business on a non-exclusive, non-transferable basis.

Use Guidelines. The Customer shall not: (i) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise exploit or make the Service available to any third party; (ii) interfere with or disrupt the integrity or performance of the Service or the data contained therein; (iii) attempt to gain unauthorized access to the Service or its related systems or networks; or (iv) disclose any benchmarking or results of the Service to third parties without AliDropify's prior written consent.

Restrictions. The Customer shall not (and shall not allow any third party to): (a) modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service; (b) circumvent any user limits or other timing or use restrictions that are built into the Service, including the product limits of the Customer's plan; (c) remove any proprietary notices, labels, or marks from the Service; (d) frame or mirror any content forming part of the Service; or (e) access the Service to (i) build a competitive product or service, or (ii) copy any ideas, features, functions or graphics of the Service.

Service Changes by AliDropify. AliDropify reserves the right to alter, suspend, or discontinue the Service or the AliDropify Platform at any time and for any reason or no reason without any liability to the Customer. In such cases, AliDropify will endeavor to give notice of such changes. The Service may also be unavailable from time to time due to maintenance or malfunction of the computer or network equipment or other reasons. AliDropify may periodically add or update the information and materials on the AliDropify Platform without notice.

You must have reached the age of majority in your jurisdiction and be able to form a binding contract to use the Service. You must keep your Shopify store, account details and payment information accurate and up to date. You are responsible for all activity under your account, including activity by your Users, and for keeping your login credentials secure. Tell us promptly at support@felex.co if you suspect unauthorized access to your account.

You are the seller of record. You are the seller of every product sold in your store, including AliExpress Products imported through the Service. You alone are responsible for:

Check before you sell. Imported content and data are provided for your convenience only. You must review every product and listing before you publish it. AliDropify does not verify that any AliExpress Product is lawful to sell in your market, safe, genuine or accurately described.

Placing orders. The Service lets you view your Shopify orders and send them for purchase and fulfillment with AliExpress Sellers. An Order is only placed with an AliExpress Seller once you review it and complete payment. AliDropify does not place, pay for or fulfil orders on your behalf unless you take that action in the Service.

Order costs. The cost of each AliExpress Product, its shipping and any related taxes or fees ("Order Costs") are set by AliExpress or the AliExpress Seller. They are separate from, and in addition to, your AliDropify subscription fees. Order Costs are governed by AliExpress's terms and are not refundable under the AliDropify Refund Policy.

Sample orders. The Service may let you order samples of AliExpress Products for yourself. Sample orders are purchases from AliExpress Sellers and are subject to this section.

Automated features. Features such as order status updates, tracking number updates and inventory or price syncing depend on data from AliExpress, AliExpress Sellers and Shopify. AliDropify does not guarantee that this data is complete, accurate or delivered on time. You remain responsible for checking order status and keeping your End Customers informed.

The Service works only with an active Shopify store, and it relies on Shopify's platform, APIs and app permissions. Your use of Shopify is governed by your agreement with Shopify. AliDropify is not responsible for Shopify's availability, or for any changes Shopify makes to its platform, APIs, policies or fees. If Shopify changes or restricts access in a way that affects the Service, some features may become limited or unavailable, and AliDropify will have no liability for this. Uninstalling the AliDropify app from Shopify does not cancel your AliDropify subscription (see Subscription, Automatic Renewal and Cancellation below).

Plans. AliDropify offers monthly and annual subscription plans. Each plan includes the features and usage limits shown on the Sign-Up Form or the AliDropify pricing page when you subscribe. AliDropify may change plan features and limits as described in these Terms.

Free trial. Every monthly plan includes a seven (7) day free trial. Annual plans do not include a free trial. If you cancel a monthly plan during the free trial, you will not be charged. If you do not cancel before the trial ends, your subscription starts automatically and you will be charged the monthly fee for your plan.

Fees and taxes. Subscription fees are charged in advance, in USD unless stated otherwise on the Sign-Up Form, and are exclusive of applicable taxes, which you are responsible for paying. AliDropify may change its fees by giving you at least thirty (30) days' notice. A new fee takes effect from your next renewal date after that notice period. If you do not agree to a new fee, you may cancel before it takes effect.

Automatic renewal. By initiating a subscription, you grant authorization to automatically charge your designated payment method on a recurring basis: every month for monthly plans and every year for annual plans. This automatic renewal will continue until the subscription is properly canceled by you through your account settings prior to the next scheduled renewal date.

Cancellation. You can cancel at any time in the app under Settings > Membership. You must cancel at least twenty-four (24) hours before your scheduled renewal date to avoid the next charge. Uninstalling the AliDropify app from your Shopify store does not cancel your subscription. You must cancel first, or billing will continue. After you cancel, you keep access until the end of your current paid period.

In the event that a scheduled subscription payment fails for any reason (including, but not limited to, insufficient funds, expired payment details, or bank refusal), we reserve the right to automatically reattempt the charge using the same payment method you have authorized.

These reattempts are covered under the original subscription and payment authorization provided by you. To terminate all future billing attempts, you are required to either cancel the subscription or update the payment method details within your account settings before the commencement of the subsequent billing cycle. AliDropify may suspend or limit the Service while a payment remains overdue.

Refunds are governed by the AliDropify Refund Policy. In summary: monthly plans are not charged if you cancel during the seven (7) day free trial, and are not refunded after the trial ends; annual plans have no trial and are non-refundable once payment has been processed; and no partial or prorated refunds are given for unused time, mid-cycle cancellations or periods of inactivity. If this summary and the Refund Policy differ, the Refund Policy applies.

What we access. To provide the Service, AliDropify accesses data through Shopify and AliExpress with the permissions you grant. This includes your store and product data, order data, and End Customer details needed to fulfil orders, such as name, shipping address, email address and phone number. It also includes product, price, stock, order and tracking data from AliExpress. How AliDropify collects, uses, shares and protects personal data is described in the AliDropify Privacy Policy.

Your obligations. You are responsible for having a lawful basis, and for giving any notices required under Privacy Laws, to share your End Customers' Personal Data with AliDropify and with AliExpress Sellers for order fulfillment. Each party will comply with the Privacy Laws that apply to it.

You keep ownership of the content you add to the Service, such as edited product titles, descriptions and images, and images or links you submit to search for products ("Your Content"). You grant AliDropify a non-exclusive, worldwide, royalty-free license to host, copy, process, adapt and transmit Your Content only as needed to provide and improve the Service, including publishing it to your Shopify store at your direction. You confirm that you have all rights needed to use Your Content and to grant this license.

In addition to the Use Guidelines and Restrictions above, you must not use the Service to:

AliDropify may remove content or suspend access where it reasonably believes this section has been breached.

The Service, the AliDropify Platform, and all software, designs, text, graphics, trademarks and other materials provided by AliDropify (excluding Your Content and third-party content) are owned by AliDropify or its licensors and are protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. Product content imported from AliExpress belongs to AliExpress, the AliExpress Seller or other rights holders, and AliDropify grants no rights in it. If you send us feedback or suggestions, we may use them without any obligation to you.

The Service is provided "as is" and "as available". To the maximum extent permitted by law, AliDropify disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. AliDropify does not warrant that the Service will be uninterrupted, error-free or secure, or that any data from AliExpress or Shopify is accurate. Information such as "trending" or "winning" products, margins and sales estimates is provided for general guidance only. It is not a promise of sales, profit or business results.

To the maximum extent permitted by law: (a) AliDropify will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, sales, goodwill or data, arising out of or relating to this Agreement or the Service; (b) AliDropify will not be liable for any loss arising from AliExpress Products, from the acts or omissions of AliExpress, AliExpress Sellers or Shopify, or from your dealings with End Customers; and (c) AliDropify's total liability arising out of or relating to this Agreement will not exceed the fees you paid to AliDropify in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

You will defend, indemnify and hold harmless AliDropify and its officers, employees and agents from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your store, the products you sell or your listings; (b) your dealings with End Customers, AliExpress or AliExpress Sellers; (c) Your Content; or (d) your breach of this Agreement or of any law or third-party right.

You may stop using the Service and cancel your subscription at any time as described above. AliDropify may suspend or terminate your access to the Service, with or without notice, if you breach this Agreement, fail to pay fees when due, use the Service in a way that could harm AliDropify, other users or third parties, or where required by law or by Shopify or AliExpress. When the Agreement ends, your right to use the Service stops. Sections that by their nature should survive will survive, including those on fees owed, Your Content, Intellectual Property, Disclaimers, Limitation of Liability, Indemnity and Governing Law. Termination does not entitle you to a refund except as stated in the Refund Policy.

AliDropify may update these Terms from time to time. We will post the updated Terms in the AliDropify help center with a new effective date. For material changes, we will give you at least thirty (30) days' notice by email or in the app. If you keep using the Service after the changes take effect, you accept the updated Terms. If you do not agree, you must cancel your subscription and stop using the Service.

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Vancouver, British Columbia have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, except where applicable law gives you the right to bring proceedings elsewhere. Before starting any formal proceedings, please contact us at support@felex.co so we can try to resolve the issue informally.

You may not assign or transfer this Agreement without AliDropify's prior written consent. AliDropify may assign it in connection with a merger, acquisition or sale of assets. If any provision is found unenforceable, the rest of this Agreement remains in effect. AliDropify's failure to enforce a right is not a waiver of it. AliDropify is not liable for delays or failures caused by events beyond its reasonable control, including failures of Shopify, AliExpress, carriers or internet services. This Agreement is the entire agreement between you and AliDropify about the Service and replaces any prior agreements about it.
