Effective date and last updated: October 22, 2026

Definition: For the purposes of this Agreement, in addition to the capitalized terms defined elsewhere in this Agreement, the following terms shall have the following meanings:

Agreement: means the Sign-Up Form and these Retailer Terms (as updated from time to time);

Dropshipped and Dropshipping: means sending Products directly from the Supplier to an End Customer on behalf of a Retailer.

End Customer: means an end customer of a Retailer to whom any Products are to be Dropshipped;

Cost: means the price that the Supplier lists against the Products as being the price that the Supplier shall charge Retailers for selling such products, exclusive of transaction fees, taxes, and shipping costs.

Retail Price: means the suggested retail price, being the price that the Supplier may recommend to Retailers as the sale price for Products to End Customers.

Sign-Up Form: means the online sign-up or registration form completed by the Retailer which refers to these terms, and which may set out certain commercial terms such as the terms, fees, and features of the Service to be delivered to the Retailer.

Personal Data: means any information or data that alone or together with any other information relates to an identified or identifiable natural person ("data subject"), or data considered to be personal data under Privacy Laws. An identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier, or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person.

Privacy Laws: means any law, statute, directive, or regulation, including any and all legislative and/or regulatory amendments or successors thereto, regarding privacy, data protection, information security obligations, and/or the processing of Personal Data (including without limitation the General Data Protection Regulation 2016/679 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data as amended or superseded from time to time).

Products: means products offered by Suppliers on AliExpress (or another supplier platform made available through the Service) that the Retailer finds, imports or orders through the Service, as those listings may be updated by the Suppliers from time to time.

Retailer: means the person or entity that registers for the Service through the Sign-Up Form in order to source Products from Suppliers for its online store and have them Dropshipped to its End Customers. References to "you" and "your" in this Agreement are to the Retailer.

Retailer Order: means an order by a Retailer for Products from a Supplier that the Retailer processes through the AliDrop Platform and places and pays for on AliExpress (or the relevant supplier platform).

Service or Services: means the services offered by AliDrop through the AliDrop Platform and subscribed for by the Retailer under this Agreement.

Shipping Price: means the fee charged by the Supplier for shipping any Products to End Customers, as set by the Supplier on AliExpress (or the relevant supplier platform) and shown on the AliDrop Platform for reference.

AliDrop Platform: means AliDrop’s online, web-based platform linked to Shopify that allows Retailers to find Products from Suppliers on AliExpress, import them into their online store, and process Retailer Orders so that the Products are Dropshipped by those Suppliers to the Retailer’s End Customers.

Supplier: means an independent third-party seller on AliExpress (or another supplier platform made available through the Service) whose products the Retailer finds, imports or orders through the AliDrop Platform. Suppliers are not AliDrop’s customers under this Agreement and are not parties to it.

Total Fees: means, in respect of a Retailer Order, the aggregate of the Cost for all products ordered, the Shipping Price, and any applicable sales, value-added, or similar taxes.

User: means the Retailer and any employee, contractor, or agent of the Retailer who is authorized by the Retailer to use the Service, and who has been supplied a user account and password by the Retailer (or by AliDrop at the Retailer’s request) for the Service.

In this Agreement: (a) words denoting the singular include the plural and vice versa and words denoting any gender include all genders; (b) all usage of the word "including" or the phrase "e.g.," in this Agreement shall mean "including, without limitation," throughout this agreement; (c) all dollar amounts are expressed in United States dollars (USD) unless expressly provided otherwise on the Sign-Up Form. Headings and the division of this Agreement into articles and sections are for the convenience of reference only and shall not affect the interpretation hereof. If there is any conflict or inconsistency between the terms in the various parts of this Agreement, these Terms will take precedence.

AliDrop Platform and Suppliers. The AliDrop Platform is a software service that enables Retailers to find Products offered by Suppliers on AliExpress (or another supplier platform made available through the Service), list them on the Retailer’s online stores, and sell them directly to End Customers on the basis of the Products being Dropshipped by the Supplier. As the provider of the AliDrop Platform, AliDrop does not purchase, sell, resell, provide, control, manage, offer, deliver, supply, or Dropship any Products. If a Retailer orders a Product to be Dropshipped by a Supplier, the order is placed and paid for on AliExpress (or the relevant supplier platform), and the Retailer and the Supplier are entering into a contract directly with each other, subject to that platform’s own terms. AliDrop is not and does not become a party to or another participant in any contractual relationship between Retailers and Suppliers. AliDrop is not acting as an agent in any capacity for any Retailer or Supplier.

Sample Orders. The Service may allow the Retailer to order a sample of a Product to check its quality, delivery time and packaging before selling it. To place a sample order, the Retailer adds a shipping address and completes checkout as shown in the AliDrop Platform. The price and shipping cost of a sample order are shown at checkout.

Provision of Service. Conditioned on the provisions in this section and the other terms and conditions of this Agreement, AliDrop shall make the Service available to Retailer during the term for use in Retailer’s business on a non-exclusive, non-transferable basis.

Use Guidelines. Retailer shall not: (i) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise exploit or make the Service available to any third party; (ii) interfere with or disrupt the integrity or performance of the Service or the data contained therein; (iii) attempt to gain unauthorized access to the Service or its related systems or networks; or (iv) disclose any benchmarking or results of the Service to third parties without AliDrop’s prior written consent.

Restrictions. Retailer shall not (and shall not allow any third party to): (a) modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service; (b) circumvent any user limits or other timing or use restrictions that are built into the Service; (c) remove any proprietary notices, labels, or marks from the Service; (d) frame or mirror any content forming part of the Service; or (e) access the Service to (i) build a competitive product or service, or (ii) copy any ideas, features, functions or graphics of the service.

Service Changes by AliDrop. AliDrop reserves the right to alter, suspend, or discontinue the Service or the AliDrop Platform at any time and for any reason or no reason without any liability to the Retailer. In such cases, AliDrop will endeavor to give notice of such changes. The service may also be unavailable from time to time due to maintenance or malfunction of the computer or network equipment or other reasons. AliDrop may periodically add or update the information and materials on the AliDrop platform without notice.

Paid subscriptions to the Service are billed on a monthly or annual basis, according to the plan you select. By initiating a subscription, you grant authorization to automatically charge your designated payment method at the start of each billing period (monthly or annual) for your selected plan. Your subscription renews automatically for the same billing period until it is properly canceled by you through your account settings at least twenty-four (24) hours before the next scheduled renewal date. Monthly plans include an initial seven (7) day free trial; if you cancel during the trial, you will not be charged. Annual plans do not include a trial period. Refunds are governed by AliDrop’s Refund Policy.

In the event that a scheduled subscription payment (monthly or annual) fails for any reason (including, but not limited to, insufficient funds, expired payment details, or bank refusal), we reserve the right to automatically reattempt the charge using the same payment method you have authorized.

These reattempts are covered under the original subscription and payment authorization provided by you. To terminate all future billing attempts, you are required to either cancel the subscription or update the payment method details within your account settings before the commencement of the subsequent billing cycle.

The Service is provided by 11573225 Canada Inc., 1700-1055 West Hastings Street, Vancouver, BC V6E 2E9. In this Agreement, "AliDrop", "we", "us" and "our" mean 11573225 Canada Inc. You can contact us at support@alidrop.co.

Cancellation by the Retailer. You may cancel your subscription at any time through your account settings. Cancellation stops the next automatic renewal and must be made at least twenty-four (24) hours before the scheduled renewal date. Refunds are governed by AliDrop’s Refund Policy.

Suspension or Termination by AliDrop. AliDrop may suspend or terminate the Retailer’s access to the Service, in whole or in part, with or without notice, if: (a) any fees are overdue; (b) the Retailer breaches this Agreement, including the Use Guidelines and Restrictions; (c) the Retailer’s use of the Service creates a legal or security risk for AliDrop, Suppliers or other users; or (d) AliDrop is required to do so by law or by Shopify.

Effect of Termination. When this Agreement or a subscription ends: (a) the Retailer’s right to use the Service (or its paid features) ends; (b) all fees that have accrued remain payable; (c) any Retailer Order already placed with a Supplier remains a matter between the Retailer and that Supplier; and (d) except as stated in the Refund Policy, no fees are refunded. Provisions that by their nature should survive termination will survive, including those on fees owed, the Warranty Disclaimer, the Limitation of Liability and Governing Law.

The Service and the AliDrop Platform are provided "as is" and "as available". To the maximum extent permitted by law, AliDrop disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. AliDrop does not warrant that the Service will be uninterrupted, error-free or secure, or that Product information, prices, shipping costs or delivery times provided by Suppliers or AliExpress are accurate. Any warranty for a Product is given by the Supplier, not by AliDrop.

To the maximum extent permitted by law: (a) AliDrop will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, sales, goodwill or data, arising out of or relating to this Agreement or the Service; (b) AliDrop will not be liable for any loss arising from Products, from the acts or omissions of Suppliers, AliExpress, Shopify or carriers, or from the Retailer’s dealings with End Customers; and (c) AliDrop’s total liability arising out of or relating to this Agreement will not exceed the fees paid by the Retailer to AliDrop in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

AliDrop may update these Terms from time to time. We will post the updated Terms in the AliDrop help center with a new effective date. For material changes, we will give you at least thirty (30) days’ notice by email or in the app before they take effect. If you keep using the Service after the changes take effect, you accept the updated Terms. If you do not agree, you must cancel your subscription and stop using the Service.

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Any dispute arising out of or relating to this Agreement will be resolved by the courts located in Vancouver, British Columbia, and each party consents to the exclusive jurisdiction of those courts, except where applicable law gives you the right to bring proceedings elsewhere.
