Purpose
This article explains how to compare contracts in LegalOn. We will explore the following questions:
What is Compare designed for?
What are the key features of Compare?
1. What is Compare designed for?
The Compare feature enables you to compare contract versions, prior agreements, third-party paper, and templates.
To get started, click the "Compare" button (located in the upper right corner of the Preview page). Then, choose the contract you wish to compare from the displayed list.
2. What are the key features of Compare?
Compare with previous version
If you have multiple versions of the same contract, you may click on "Compare with previous version" to compare the contract being previewed and the previous version. You will see the contracts displayed side-by-side.
Option 1: Compare Full Text
"Compare Full Text" allows you to visualize changes between versions quickly and conveniently. Changes will be highlighted in different colors across the two versions. The lighter highlight typically represents the block of text that had been edited, and the darker highlight shows exact changes (i.e., addition, deletion, or revision of articles or clauses).
Option 2: Compare by Article
"Compare by Article" allows you to compare two documents article by article. LegalOn will automatically detect articles and present a view that displays these articles side-by-side. Similar to "Compare Full Text," changes across versions are highlighted for ease of reference.
Under "Compare by Article", you can drag and drop articles from the right-hand side (under the section labeled "Clauses not included"). This allows you to compare articles or clauses of your choice.
From here, you can also download the comparison results into an Excel (.xlsx) file.
Note: If you have more than two versions of the same contract and would like to compare any two versions, you may do so using "Filter" (located on the right-hand side of the Preview page under "Compare contracts").
After clicking "Filter," you can search for a contract and select the version you wish to compare.
Compare with prior contracts
A question we receive often is whether users can compare contracts of different contract types.
The short answer is yes (if you want to), so long as the documents contain articles in common that make the comparison useful to you. For instance, both SaaS Terms of Service Agreement (Customer) and Consulting Service Agreement (Client) may contain articles on Services and Indemnification.
