These General Terms and Conditions (“Terms”) govern access to and use of the Luxeride platform, including any websites, dashboards, booking pages, widgets, APIs, and related services (collectively, the “Service”). By creating an account, starting a trial, purchasing a subscription, clicking acceptance, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Effective date : 15 January 2025

1) Definitions

  • Customer: the individual or legal entity subscribing to the Service (including sole proprietors).

  • Authorized Users: individuals authorized by the Customer to access the Service (admins, staff, viewers).

  • End User: an individual who uses a Luxeride-powered booking page or checkout link to request or book a vehicle from the Customer.

  • Customer Data: all data submitted to or processed through the Service by or on behalf of Customer (including vehicle data, pricing, availability, bookings, and End User data).

  • Third-Party Services: services not controlled by Luxeride (e.g., payment processors, ID verification providers, e-signature providers, hosting, messaging).

  • Card Payment Feature: the optional functionality that allows a Customer to accept card payments from End Users through a Third-Party Service (e.g., Stripe) using Luxeride-powered booking pages and checkout flows.

  • Saved Card Feature (Card-on-File): the optional functionality (enabled by default when Card Payment Feature is enabled) that allows End Users to save card details with the relevant payment provider for future charges initiated by the Customer (e.g., additional fees, deposits, damages).

  • Payment Provider: the Third-Party Service used for payment processing (e.g., Stripe and/or Stripe Connect).

2) Scope of the Service and allocation of responsibilities

2.1 Software only. Luxeride provides software tools to help Customers manage vehicles, pricing, availability, bookings, calendars, payments, and related workflows. Luxeride is not a car rental company, broker, insurer, financial institution, or escrow agent.

2.1.1 Payments are facilitated, not provided. Luxeride provides software workflows that may connect Customers and End Users to Payment Providers, but Luxeride does not provide payment processing, money transmission, acquiring, issuing, escrow, or other regulated payment services.

2.2 Customer is responsible for rental operations. The Customer is solely responsible for:

  • the vehicles offered, pricing, deposits, availability, and rental policies;

  • complying with all laws and regulations applicable to its business in every jurisdiction where it operates or markets (including consumer law, tax, and licensing);

  • providing End Users with legally compliant rental terms and disclosures;

  • customer support to End Users for rentals, refunds, disputes, accidents, claims, and chargebacks;

  • obtaining and maintaining adequate insurance coverage for its rental operations.

2.2.1 Customer is responsible for payment terms and disclosures. Where the Customer enables Card Payment Feature and/or Saved Card Feature, the Customer is solely responsible for (i) setting the amounts and conditions for any charges, (ii) providing legally compliant disclosures and obtaining any End User consents required by applicable law, card network rules, and the Payment Provider’s terms, and (iii) handling all End User support, disputes, refunds, chargebacks, and claims related to payments.

2.3 No agency. Luxeride does not act as agent, representative, or partner of the Customer or End Users.

3) Geographic availability and restrictions

3.1 Not available for USA or Canada. The Service is offered worldwide except the United States and Canada. Customer must not use the Service to target, offer, sell, or provide rentals to End Users located in the USA or Canada, and must not configure or operate the Service primarily for USA/Canada activities.

3.2 Compliance-based restrictions. Luxeride may restrict or block access to the Service in certain jurisdictions at any time (e.g., compliance, sanctions, legal risk, Third-Party Service limitations).

4) Eligibility, account registration, and security

4.1 Authority. You represent that you have authority to bind the Customer (or, if you are a sole proprietor, that you act in your own name).

4.2 Account security. Customer is responsible for all activity under its accounts and by its Authorized Users. Customer must:

  • keep credentials secure and confidential;

  • enable available security features (e.g., MFA) where reasonably possible;

  • promptly revoke access when an Authorized User no longer needs it.

4.3 Accurate information. Customer must provide accurate and up-to-date information (including billing details and, where relevant, information required by payment providers).

4.4 Payment Provider onboarding and ongoing requirements. If Card Payment Feature is enabled, Customer must provide accurate information required by the Payment Provider (including KYC/KYB) and maintain its Payment Provider account in good standing. Luxeride may disable payment-related features if the Payment Provider account is not approved, is restricted, is suspended, or otherwise cannot process payments.

4.5 Support Access (troubleshooting). To provide technical support, investigate errors, prevent abuse, and maintain the Service, Luxeride may access a Customer workspace and use support tools that allow us to view or operate the Service from within the workspace (including, where necessary, seeing the Service as an Authorized User would see it). Such access is limited to what is reasonably necessary, performed by authorized personnel only, and may be logged for security and audit purposes. Luxeride will not change billing or payment settings, or export Customer Data, unless (i) the Customer requests or authorizes it, or (ii) it is required for security, legal compliance, or incident response.

4.6 Authorized Users; team members and acceptance on behalf of the Customer.
The individual who creates a workspace or accepts these Terms on behalf of a Customer represents and warrants that they have the authority to bind the Customer and its Authorized Users to these Terms. Authorized Users may access and use the Service under the Customer’s account without separately accepting these Terms, and such use is deemed to be use by the Customer. The Customer is responsible for (i) ensuring that all Authorized Users are informed of and comply with these Terms and any applicable policies, and (ii) all activities performed through its account, including activities by Authorized Users. The Customer must promptly remove access for any person who is no longer authorized. If an Authorized User does not agree, they must not use the Service.

5) Trial

5.1 14-day trial, no card required. Luxeride may offer a 14-day free trial without requiring a credit card.

5.2 Trial limits and abuse prevention. Luxeride may set reasonable limits during the trial and may suspend or end trials to prevent abuse (including repeated trial creation).

5.3 No guarantee of continued availability. Trial availability, features, and limits may change at any time.

6) Subscriptions, fees, billing, and no-refund policy

6.1 Plans. Fees, billing cycles (monthly or annual), included features, and limits are defined in the plan page, checkout, or Order.

6.2 Auto-renewal. Subscriptions renew automatically at the end of each billing period unless canceled before renewal.

6.3 No refunds. All fees are non-refundable to the maximum extent permitted by law. This includes unused time, unused credits (if any), and partial periods. Mandatory legal rights (if any) remain unaffected.

6.4 Taxes. Fees are exclusive of any taxes unless stated otherwise. Customer is responsible for taxes related to its use of the Service, except taxes on Luxeride’s income.

6.5 Late payments. Luxeride may suspend the Service for overdue amounts and charge reasonable collection costs and late interest to the maximum permitted by law.

7) Credits and usage-based features

7.1 Credits may apply

Certain features may require the use of credits or usage-based fees, including without limitation ID verification and electronic signature services (“Usage-based Features”). The applicable credit cost for each Usage-based Feature may be displayed in the Platform, on the pricing page, or in the Help Center.

7.2 Welcome credits (one-time)

Depending on the subscription plan selected, Luxeride may grant a one-time “welcome” credit pack upon initial subscription activation (“Welcome Credits”). Welcome Credits are granted once per Company/workspace (or subscription account) and are final once granted.

7.3 No recurring plan credits; purchasing additional credits

Except for Welcome Credits, subscription plans do not include recurring monthly credit allocations. Additional credits may be purchased separately at any time (“Purchased Credits”) in order to use Usage-based Features.

7.4 Upgrades, downgrades, and welcome credits

If a Customer subscribes to a plan that includes Welcome Credits and later upgrades to a higher plan (including within the same day), no additional Welcome Credits will be granted as a result of such upgrade. Only the Welcome Credits (if any) granted at the time of initial subscription activation apply. Downgrades do not trigger any refund, clawback, or replacement of previously granted Welcome Credits, subject to Section 7.5.

7.5 Expiration, refunds, and transferability

Credits (including Welcome Credits and Purchased Credits) are non-refundable and non-transferable to the maximum extent permitted by law. Unless required by law or explicitly stated at the time of purchase, credits do not expire.

7.6 Changes

Luxeride may modify credit pricing, which actions consume credits, and the applicable usage rates in accordance with Section 18 (Changes). Any such changes will apply prospectively, unless otherwise required by law.

8) Payments and Stripe Connect (if enabled)

8.1 Third-party payment processing. If online payments are enabled, Luxeride uses Third-Party Services (e.g., Stripe Connect). Customer’s use of those services is governed by the provider’s terms, and Customer enters a direct relationship with the provider.

8.1.1 Stripe fees and other provider fees. All transactions processed via a Payment Provider are subject to the Payment Provider’s fees (including Stripe fees), which may vary by country, card type, payment method, risk level, and account configuration. Luxeride does not set, collect, or control these fees. Customer must consult its Payment Provider account and documentation to review applicable fees, deductions, reserves, and payout timing.

8.2 Luxeride is not a payment institution. Luxeride does not provide regulated payment services and does not control provider decisions (including KYC, account approval, reserves, holds, payouts, chargebacks).

8.2.1 No control over authorization, declines, or available funds. Luxeride does not guarantee that any End User card will be approved, that any authorization will succeed, or that any saved card will have sufficient funds or be chargeable in the future. Card approvals, declines, and risk decisions are determined by card networks, issuers, and the Payment Provider.

8.3 Chargebacks and disputes. Customer is responsible for disputes, refunds, chargebacks, and providing evidence, even if initiated through Luxeride-powered flows.

8.3.1 Payment disputes and liability allocation. Customer bears all liability and costs for disputes, refunds, chargebacks, reversals, and claims relating to Customer’s rentals, policies, charges, or communications with End Users, including any Payment Provider fees and penalties.

8.4 Saved Card Feature (Card-on-File) (if enabled)

8.4.1 Default setting; Customer controls. When Card Payment Feature is enabled, Saved Card Feature is enabled by default. Customer may be able to disable Saved Card Feature through the Service (where available). If Customer keeps Saved Card Feature enabled, End Users may be presented with an option to save their card details for future charges.

8.4.2 End User consent and disclosures are Customer’s responsibility. Customer must ensure that End Users are provided clear and legally compliant disclosures at checkout and in the Customer’s rental terms, and that the Customer obtains valid End User consent for saving card details and for any future charges (including the nature of potential charges, calculation method, and timing).

8.4.3 Future charges initiated by Customer. When Saved Card Feature is enabled and the End User saves card details, Customer may have the ability (through the Payment Provider and/or Service workflows) to initiate future charges on the End User’s saved card for amounts permitted under the Customer’s rental terms and applicable law (for example: damages, late returns, additional mileage, tolls, parking tickets, speeding tickets/administrative fines where lawful, cleaning fees, no-show fees, or other agreed charges).

8.4.4 No guarantee of collectability. Luxeride does not guarantee that future charges will succeed. Cards may expire, be replaced, be blocked, have insufficient funds, or be declined for any reason. Customer remains responsible for collecting any amounts owed by End Users.

8.4.5 Prohibited use. Customer must not use Saved Card Feature to charge End Users in a manner that is misleading, unlawful, not authorized by the End User, or inconsistent with card network rules or the Payment Provider’s terms.

8.4.6 Evidence and record-keeping. Customer must retain records supporting End User consent and the basis for each charge (e.g., signed rental terms, photos, invoices, damage reports, police reports, communications), and must provide evidence promptly in any dispute or chargeback.

8.4.7 Luxeride not responsible for Customer charges. Luxeride is not responsible for the amounts a Customer charges, the legal basis for such charges, or the outcome of disputes. Customer indemnifies Luxeride for any claims arising from Customer-initiated charges.

9) Driver’s license verification (powered by Veriff)

9.1 Third-Party service; software only; no legal advice

The driver’s license verification feature is provided through a Third-Party Service (currently Veriff) and is offered as a software-enabled risk-reduction tool only. Luxeride does not provide legal advice, compliance advice, insurance advice, or any guarantee of identity, eligibility, or driving entitlement.

9.2 What verification does—and does not—mean

Verification may help assess, based on the submitted images/selfie and the provider’s checks, whether a driver’s license appears readable, authentic, and valid (e.g., not expired), and whether the selfie appears to match the document photo.
However, verification does not (a) replace Customer’s in-person pickup procedure, (b) replace Customer’s legal obligations, (c) replace any insurer requirements, or (d) guarantee that the End User is legally allowed to drive in every jurisdiction.

9.3 Customer duty to verify and decide

Customer must (i) review the verification result and any decline reasons where applicable, (ii) physically check the End User’s original driver’s license at handover, and (iii) make its own go/no-go decision according to its internal policy, applicable law, and insurer requirements. If Customer is unsure whether verification is sufficient for a given scenario, Customer must not rely on this feature and should use additional controls (including in-person checks).

9.4 Limitations; no responsibility for outcomes

Luxeride does not guarantee accuracy or outcomes of any verification, and is not responsible for false positives/false negatives, verification failures, provider delays, rejections, device issues, network/email delivery issues, or any decision made by Customer based on verification results. Customer remains solely responsible for rentals, vehicle handover, and risk decisions.

9.5 Indemnity

To the maximum extent permitted by law, Customer will defend, indemnify, and hold harmless Luxeride from and against any claims, losses, liabilities, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to Customer’s use of the verification feature, Customer’s reliance on results, and/or Customer’s failure to comply with legal/insurance obligations

10) Electronic signature (e-signature) feature

10.1 Third-Party service; no legal advice

The e-signature feature is provided through a Third-Party Service (currently Skribble). Luxeride provides software tooling only and does not provide legal advice. Customer is solely responsible for determining whether and how to use e-signature for its documents, signers, and jurisdictions.

10.2 Default signature configuration (quality and legislation parameters)

Where Customer uses the e-signature feature through the Service, the default configuration parameters are:

  • quality: AES (Advanced Electronic Signature)

  • legislation: ZERTES (Swiss framework parameter)
    Customer acknowledges that legal effect, admissibility, and enforceability of an electronically signed document may depend on the applicable law, jurisdiction, document type, and factual circumstances.

10.3 Customer duty to assess validity in its country and for the document type

Customer must independently verify that the chosen signature method (including the above parameters) is valid, sufficient, and appropriate for: (a) the Customer’s country(ies) of operation, (b) the signer’s jurisdiction, and (c) the specific document type and any form requirements (e.g., written form requirements, qualified signatures, consumer notices, local formalities).

If Customer has any doubt about validity or sufficiency for a given case, Customer must not rely on the e-signature feature and should instead (as appropriate):

  • obtain a wet-ink signature when the End User comes to the agency, and/or

  • use an alternative signing process that Customer has verified as compliant.

10.4 Customer responsibility for documents, disclosures, recordkeeping

Customer remains solely responsible for (i) the content of documents sent for signature, (ii) providing any required disclosures and obtaining any required consents, (iii) archiving executed documents and evidence in accordance with applicable law and Customer compliance needs.

10.5 No guarantee; limitation of liability for enforceability

Luxeride does not guarantee that any electronically signed document will be accepted by a court, authority, insurer, bank, or other third party, or that it will meet legal requirements in any jurisdiction. Luxeride is not responsible for signature refusal, delivery issues, device issues, Third-Party Service outages, or the enforceability of any document. Customer remains responsible for its contracting process and any decision to rely on an electronically signed document.

10.6 Indemnity

To the maximum extent permitted by law, Customer will defend, indemnify, and hold harmless Luxeride from and against any claims, disputes, losses, liabilities, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Customer’s use of e-signature, (b) the content of any document Customer sends for signature, (c) any allegation that a signature was invalid/insufficient/non-compliant/unenforceable in any jurisdiction, or (d) Customer’s failure to provide required disclosures or meet formal requirements.

11) Acceptable use

Customer and Authorized Users must not:

  • reverse engineer, decompile, or attempt to derive source code, except to the extent mandatory law permits;

  • bypass security, access controls, or rate limits;

  • introduce malware, spam, or abusive automation;

  • upload or process unlawful content or data infringing third-party rights;

  • use the Service in a way that violates applicable laws, sanctions, or third-party terms.

10.1 Payments-related acceptable use. Customer must not (i) route prohibited goods/services through the Service, (ii) attempt to circumvent Payment Provider restrictions, (iii) submit false or misleading information to a Payment Provider, or (iv) use the Service to facilitate unauthorized charges or otherwise violate Payment Provider terms or card network rules.

Luxeride may suspend or terminate accounts for suspected misuse.

12) End Users and booking pages

12.1 End Users contract with Customer. End Users rent/book from the Customer. Luxeride is not a party to the rental agreement.

12.2 End User support. Customer is solely responsible for End User support, rental disputes, refunds, accidents, claims, and chargebacks.

12.3 Protective measures. Luxeride may block suspicious transactions, abusive End Users, or harmful activity to protect the Service, Customers, End Users, and third parties.

12.4 End User payment terms. If Card Payment Feature and/or Saved Card Feature is enabled, End Users may provide payment details to the Payment Provider via Luxeride-powered pages. Any saved card consent is given by the End User to enable Customer-initiated future charges as described at checkout and in the Customer’s rental terms. Luxeride is not responsible for the Customer’s disclosures, consents, or charging practices.

12.5 Checkout Errors; Cancellation : The Service may occasionally display incorrect information in a booking page or checkout flow (e.g., price, fees, deposit, availability, dates, mileage, add-ons, eligibility) due to technical, synchronization, third-party, configuration, or human errors (“Checkout Error”). If Luxeride reasonably determines that a Booking is affected by a Checkout Error, Luxeride may cancel the Booking (or correct the error and require the End User to reconfirm) at any time before vehicle handover. If cancelled, amounts paid via the checkout for that Booking (if any) will be refunded and any authorization released, subject to payment provider timelines. To the maximum extent permitted by applicable law, no compensation, damages, or indemnity is due from Luxeride in connection with a cancellation under this Section 11.4, whether claimed by an End User or by the Customer (including for lost revenue, lost profit, loss of opportunity, replacement booking costs, or any indirect or consequential losses).

13) Intellectual property

13.1 Luxeride IP. Luxeride retains all rights in the Service, including software, UI, templates, documentation, and trademarks.

13.2 Customer Data. Customer retains rights in Customer Data. Customer grants Luxeride a worldwide, non-exclusive right to host, process, transmit, and display Customer Data solely to provide, secure, maintain, and improve the Service.

13.3 Feedback. If Customer provides feedback, Luxeride may use it without restriction or compensation.

13.4 Customer Marks; Testimonials (Marketing Use)

Customer Marks. Customer grants Luxeride a non-exclusive, worldwide, royalty-free license during the Term to use Customer’s name, logo, and trademarks (“Customer Marks”) solely to identify Customer as a Luxeride customer in Luxeride’s marketing materials (including website pages such as “Testimonials” or “Customers”, sales decks, case studies, and social media). Luxeride will not materially modify Customer Marks and will use them in accordance with any brand guidelines provided by Customer.

Testimonials. Customer authorizes Luxeride to reproduce and publicly display testimonials, quotes, ratings, or feedback about the Service that Customer provides to Luxeride (including by email, live chat, support tickets, or forms). Luxeride may edit such content for clarity or length without changing the meaning, and may attribute it to Customer (including Customer name, company name, and Customer Marks) unless Customer requests otherwise in writing.

Removal. Customer may request removal of Customer Marks and/or a testimonial by written notice, and Luxeride will remove it within a reasonable time from Luxeride-controlled channels (excluding materials already distributed or not reasonably retractable).

14) Confidentiality

Each party must protect the other party’s confidential information using reasonable measures and use it only to perform obligations under these Terms. Standard exceptions apply (public info, independently developed, lawfully received, or legally required disclosure).

15) Data protection

15.1 Roles. For most Customer Data (including End User data collected via booking pages), Customer acts as controller and Luxeride acts as processor, unless Luxeride explicitly states otherwise.

15.2 Customer obligations. Customer represents it has all required rights, notices, and lawful bases to collect and share Customer Data with Luxeride and to instruct Luxeride to process it.

15.3 Security. Luxeride implements reasonable technical and organizational measures to protect Customer Data. No system is perfectly secure; Luxeride does not guarantee absolute security.

15.4 Sub-processors. Luxeride may use sub-processors (e.g., hosting, analytics, messaging, ID verification, e-signature, payments) and will remain responsible for them as required by applicable law.

15.5 DPA. Luxeride may provide a Data Processing Addendum (DPA) if required for Customer’s compliance needs.

15.6 Privacy policy. Luxeride’s privacy policy is available here

15.7 Payments data. Payment details are processed by the Payment Provider. Luxeride may receive limited payment-related metadata (e.g., PaymentIntent identifiers, payment status, last4, brand) as needed to provide the Service. Customer is responsible for ensuring its own privacy notices and policies accurately describe payment processing and any saved-card functionality.

16) Service availability, maintenance, and support

16.1 No SLA. Luxeride does not provide any guaranteed uptime, response time, or support level unless explicitly agreed in writing.

16.2 Maintenance and changes. Luxeride may modify, suspend, or discontinue parts of the Service and may perform maintenance at any time.

16.3 Automated support (AI) and no reliance. Luxeride may provide support and guidance through automated tools, including AI-driven chat assistance. Automated responses are provided for convenience only and may be incomplete, inaccurate, or outdated. You remain responsible for verifying any information before acting on it. For matters related to billing, payments, security, legal/compliance, or any configuration that may materially affect bookings or operations, the authoritative information is (i) the Service interface (including plan, checkout, and settings pages), (ii) the Help Center articles published on the Platform (as available at the relevant time), and (iii) written confirmation from Luxeride human support where applicable. Luxeride is not liable for actions taken in reliance on automated support outputs.

17) Warranty disclaimer

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Luxeride disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted/error-free operation. Luxeride does not warrant any business results (conversion, revenue, utilization, profitability). Luxeride does not warrant that any verification or electronic signature process will meet legal requirements or be accepted by any third party.

18) Limitation of liability

17.1 No indirect damages. To the maximum extent permitted by law, Luxeride is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, or loss of opportunity.

18.2 Liability cap. To the maximum extent permitted by law, Luxeride’s total liability arising out of or relating to the Service or these Terms is limited to the fees paid by Customer to Luxeride for the Service in the 12 months immediately preceding the event giving rise to liability.

18.3 Mandatory law. Nothing excludes or limits liability where such limitation is prohibited (including intent or gross negligence).

18.4 Rental operations excluded. Luxeride has no liability for vehicle condition, accidents, damages, theft, insurance claims, rental disputes, refunds, chargebacks, or Customer’s compliance failures.

18.5 Payments excluded. Without limiting the foregoing, Luxeride has no liability for (i) payment authorizations or declines, (ii) failed, delayed, reversed, or disputed transactions, (iii) chargebacks, refunds, or Payment Provider fees/penalties, (iv) reserves, holds, payout delays, account reviews, or termination by a Payment Provider, or (v) Customer’s use of Saved Card Feature and any Customer-initiated future charges.

19) Indemnification

Customer will defend, indemnify, and hold harmless Luxeride and its directors, officers, employees, and contractors from and against all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to:

  • Customer’s rental operations and any agreement with End Users;

  • Customer Data and Customer’s data collection/processing practices;

  • Customer’s breach of these Terms or applicable laws;

  • disputes, refunds, chargebacks, accidents, injuries, or property damage involving vehicles or End Users;

  • misuse of Third-Party Services by Customer or its Authorized Users.

Luxeride will notify Customer of claims and reasonably cooperate (at Customer’s expense).

19.1 Payments and saved-card indemnity. Customer will additionally indemnify and hold harmless Luxeride from and against any claims, disputes, chargebacks, regulatory inquiries, penalties, fines, or losses arising out of or relating to (i) Customer’s payment practices, (ii) Customer’s disclosures and End User consents (including saved-card consent), (iii) any Customer-initiated future charge, and (iv) any allegation of unauthorized or improper charging.

20) Term, suspension, and termination

20.2 Suspension. Luxeride may suspend access immediately for non-payment, suspected fraud, security risk, unlawful use, or material breach.

20.3 Termination by Customer. Customer may terminate by canceling its subscription in the Service (or as otherwise provided in an Order). Cancellation typically takes effect at the end of the then-current billing period unless stated otherwise.

20.4 Termination by Luxeride. Luxeride may terminate:

  • for material breach not cured within 10 days after written notice; or

  • immediately for serious breach, fraud, unlawful use, or security threats; or

  • for convenience with reasonable notice where legally permitted and commercially appropriate.

20.5 Effect of termination; data deletion.

  • Access ends upon termination (immediately or at period end, depending on cancellation mechanics).

  • Customer Data may be deleted upon termination and may not be recoverable.

  • Luxeride may retain limited data where required for legal compliance, dispute resolution, billing, fraud prevention, or in backups for a limited time as part of standard security/continuity processes.

20.6 Payments after termination. Upon termination or suspension, Luxeride may disable payment-related features. Customer remains responsible for all outstanding payment disputes, chargebacks, refunds, and obligations to End Users and to any Payment Provider, including for transactions initiated before termination.

21) Changes to the Service and these Terms

21.1 We may update these Terms. Luxeride may amend these Terms at any time by publishing an updated version in the Help Center and/or in the Service (including effective date).

21.2 Effective dates.

  • Non-material changes (clarifications, formatting, non-substantive updates, feature descriptions) become effective immediately upon publication.

  • Material changes (e.g., significant fee increases, major liability changes, substantial changes to data processing) become effective on the stated effective date. Luxeride may provide notice by email or in-product notification when reasonable, but publication of the updated Terms is sufficient to the maximum extent permitted by law.

21.3 Acceptance by continued use. Continued use of the Service after updated Terms become effective constitutes acceptance. If Customer does not accept, it must stop using the Service and may terminate under Section 19.

22) Assignment

Customer may not assign or transfer these Terms without Luxeride’s prior written consent. Luxeride may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets.

23) Force majeure

Neither party is liable for delay or failure due to events beyond reasonable control (e.g., outages, strikes, natural disasters, war, terrorism, government action, or Third-Party Service failures).

24) Governing law and jurisdiction

24.1 Governing law. These Terms are governed by Swiss substantive law, excluding conflict-of-law rules and the CISG.
