Overview
The Closing page is where the GP finalises the transfer. Before the transfer can be closed, all documents must be fully signed. Once the GP confirms the close, the system generates a Closing Bundle, updates the Fund's Investor Registry, and locks the entire transfer as read-only.
Accessing This Section
All users who are participants on a transfer can view the Closing page. This includes GP, GP Counsel, GP Administrator, Transferor, Transferor Counsel, Transferor Administrator, Transferee, Transferee Counsel, and Transferee Administrator.
However, only the GP can trigger the close action.
From the Transfer Overview page, click on Closing under Completion in the left sidebar.
Final Documents
The Final Documents card contains all executed agreements for the transfer. Each document card displays:
Document title (e.g., Transfer Agreement, Subscription Agreement, Side Letter, ECI Certificate)
Document status: Pending, Executed, or Awaiting Approval
Action buttons: View (eye icon) or Download (save icon)
You can view or download each document individually, or click Download All in the top-right corner of the card to download all documents at once.
Note: Not all participants can see all documents. The documents visible to you depend on your role.
Who can view and download documents
GP, GP Counsel, GP Administrator: Can see and download all documents. Can also download the full Closing Bundle (ZIP).
Transferee, Transferee Counsel, Transferee Administrator: Can see and download the Transfer Agreement, Subscription Agreement, Tax Certificates, and Side Letters.
Transferor, Transferor Counsel, Transferor Administrator: Can only see and download the Transfer Agreement. The Subscription Agreement, Tax Certificates, and Side Letters are not visible to Transferor-side users.
Transfer Summary
The Transfer Summary card on the right side of the page provides the core information at a glance:
Transfer Status
Fund
Transferor and Transferee names
Transfer Amount
Closing Date: The date the transfer was finalised. This is set automatically by the system when the GP closes the transfer.
Completing the Transfer (GP Only)
Once all signatures are obtained, the Close Transfer button becomes active. To close the transfer:
Click Close Transfer.
You will be required to enter the following fields to proceed with Closing:
Investor Name (required)
Investor Jurisdiction (optional)
Once processing is complete, the transfer status will change to Completed (green badge) and the page updates to reflect the closed state.
Note: Do not close your browser or navigate away while the transfer is being processed. The system is generating the Closing Bundle and updating the Investor Registry during this time.
What Happens When a Transfer is Closed
When the GP confirms the close, the following happens automatically:
Closing Bundle: The system generates a downloadable ZIP file containing the final PDF versions of all executed agreements.
Investor Registry update: For GPs that are subscribers to the platform,the system updates the Fund's Investor Registry. The Transferor's total commitment is reduced by the transfer amount, and the Transferee's commitment is increased by the same amount. If the Transferee is new to the fund, a new investor record is created automatically.
Transfer lock: The entire transfer is locked as read-only. All Edit, Upload, and Sign actions are disabled for all users, including Administrators. No further changes can be made to any part of the transfer.
Notifications: All transfer participants are notified by email notification that the transfer has been closed and final documents are available for download.
Generating the Audit Report
After the transfer is closed, you can generate a comprehensive audit trail of the entire transfer process. Click Generate Audit Report on the Transfer Summary card to download a report capturing the chronological history of all approvals, signatures, and key actions taken throughout the transfer.
Note: The Generate Audit Report button is only available after the transfer has been closed.
