This guide walks you through the complete process of incorporating a BV (besloten vennootschap — Dutch private limited company) through Neno.
Why Choose a BV?
A BV is the most popular legal structure for businesses in the Netherlands. Key advantages include limited liability (your personal assets are generally protected from business debts, though directors can still be held liable in certain circumstances), professional credibility with clients and partners, tax planning opportunities, and the ability to issue shares and attract investors.
Choose Your Package
Neno offers three incorporation packages (all prices exclude 21% VAT):
Standard — €449: Registration in approximately 12 business days
Fast — €749: Registration in approximately 5 business days
Urgent — €1,049: Registration in approximately 3 business days
Optional add-on: English-language incorporation documents for €96 (available with any package).
Additional shareholders (beyond the first): €101 per additional shareholder (excl. VAT).
Company as a shareholder: €75 UBO check per company shareholder (excl. VAT).
Step 1: Fill In Your Details
Start at neno.co and enter your information:
Personal details for all shareholders and directors (name, date of birth, address, nationality)
Company details (desired name, business activity, SBI code, registered address)
Ownership structure (share allocation between founders)
The form takes approximately 15–30 minutes to complete. Your progress is saved automatically.
Step 2: Review and Pay
Review all details on the summary page. This is your last chance to make changes before submission. Payment is processed securely through Mollie. Available payment methods may include iDEAL, credit card, and bank transfer.
Step 3: Identity Verification
After payment, all founders and directors receive an email to verify their identity. This is a legal requirement. Accepted documents include a valid passport or ID card. Accepted documents may vary depending on the user's country and the verification requirements.
Step 4: Notary Processing
Once identification is complete, your documents are submitted to the notary partner. The notary drafts the deed of incorporation, reviews your documents, and may request additional information if needed.
Important: Processing times begin once the notary partner has approved all ID documents submitted by shareholders and directors (typically within 24 hours of submission). Delays often occur if responses to notary requests are incomplete or slow.
Step 5: KvK Registration
After the notary approves everything, your BV is registered with the Dutch Chamber of Commerce (KvK). You'll receive your KvK number and can access an official extract.
Step 6: Open Your Business Bank Account
With your BV registered, you can open a Neno business bank account. This is a separate step — you'll go through banking-specific verification (identity and business checks). Once approved, you'll receive your Dutch IBAN and can start managing your business finances.
Timeline Summary
Form completion: 15–30 minutes
Processing: 3–12 business days depending on package (after ID approval by notary)
Bank account setup: Typically within a few days after incorporation
Total time from start to banking is approximately 1–3 weeks, depending on the package and how quickly you respond to any requests.
