Sole Proprietorship Conversions: What Is and Isn't Possible

We regularly receive questions about which conversions from a sole proprietorship (ZZP / eenmanszaak) are possible and which are not.

Based on clarification from one of our partner providers, we would like to outline the current options:

What we offer

We do not directly provide conversion services ourselves. However, we can connect you with a trusted partner who can assist with specific types of business conversions.

They specialize in passive/active transactions, which can be used to transfer assets and liabilities from a sole proprietorship into a private limited company (BV).

If you would like to proceed with such a conversion, simply contact our support desk. We will guide you through the process and help you submit the request.

What is not offered

At this time, the following options are not available:

  • Tax-neutral (geruisloze) contributions

  • Taxable (ruisende) contributions

  • Conversions via a holding structure (VG)

Additionally, it is not possible to convert a sole proprietorship into a BV with retroactive effect through a passive/active transaction.
