Welcome to OfferSwap’s Affiliate Program (“Program”). By participating in the Program, you (“Affiliate,” “you,” “your”) agree to these Affiliate Program Terms (“Terms”). These Terms outline your rights and responsibilities as part of OfferSwap’s (“we,” “us,” “our”) Affiliate Program.
These Terms are part of OfferSwap’s Terms of Use and Privacy Policy, which are incorporated herein by reference. If you do not agree to these Terms, you may not participate in the Program.
1. Overview of the Affiliate Program
OfferSwap’s Affiliate Program provides businesses with the opportunity to earn commissions by bringing new users or approved leads to the OfferSwap platform. The Program offers two distinct models:
Sales Revenue Program: Earn 20% of the revenue generated by clients you refer to OfferSwap, up to a maximum commission of €2,000 per client. Tracking is conducted using OfferSwap’s affiliate links.
Lead Registration Program: Earn €30 for each approved lead that is accepted and listed on the OfferSwap platform. Leads can be registered using personalized forms or affiliate links.
OfferSwap reserves the right to modify or terminate either model at its sole discretion, as described in Section 12.
2. Eligibility and Enrollment
To participate in the Program, you must meet the following criteria:
Be at least 18 years old.
Have an active OfferSwap account.
Possess a valid VAT number.
Provide all required registration information.
OfferSwap reserves the right to approve or reject applications at its sole discretion. Enrollment in the Program does not establish an exclusive partnership, joint venture, or employment relationship between OfferSwap and the Affiliate.
3. Affiliate Obligations
Affiliates are responsible for the following:
3.1. Marketing
Representing OfferSwap and its services truthfully.
Using only OfferSwap-approved marketing materials and brand elements.
3.2. Marketing and Use of OfferSwap Name
Affiliates may use the OfferSwap name, logo, and shared marketing materials in approved formats, such as blog posts, social media, or other unpaid promotional methods.
Affiliates may not engage in paid advertising (e.g., Google Ads, Facebook Ads) using OfferSwap’s name, logo, or other intellectual properties.
3.3. Compliance with Laws
Adhering to all applicable laws and regulations, including those related to advertising, spam, and data privacy.
Ensuring marketing activities comply with local and international legal requirements.
3.4. Tax Responsibilities
Affiliates are solely responsible for reporting and paying taxes on their earnings in accordance with applicable laws.
OfferSwap does not assume any responsibility for Affiliates’ tax declarations or obligations.
Failure to comply with these responsibilities may result in removal from the Program and forfeiture of commissions.
4. Lead Registration Program
4.1. Qualified Leads
To qualify for commissions, leads must meet the following criteria:
The lead must be registered using a form linked to the Affiliate’s unique link or the Affiliate’s affiliate link directly.
The lead must be approved and listed on the OfferSwap platform.
The lead must include complete, accurate, and verifiable information.
Leads that fail to meet these criteria or are rejected for any reason are not eligible for commissions.
4.2. Commission Rate
Affiliates earn €30 for each approved lead.
Commissions are payable only after the lead has been reviewed and approved by OfferSwap.
4.3. Limitations
OfferSwap reserves the right to disqualify leads that are fraudulent, incomplete, or inconsistent with platform requirements.
5. Sales Revenue Program
5.1. Commission Structure
Affiliates earn 20% of the net revenue generated by clients they refer.
Commissions are capped at €2,000 per client.
5.2. Use of Affiliate Links
Affiliates must use the unique affiliate links provided by OfferSwap for tracking referrals and calculating commissions.
Referrals not tracked through the provided affiliate links are not eligible for commissions.
5.3. Payment Conditions
Commissions are calculated based on actual payments received by OfferSwap from referred clients.
Refunds, chargebacks, or cancellations will reduce the commission amount accordingly.
6. Payment Terms
6.1. Payment Schedule
Payments are issued monthly, provided the Affiliate’s earned commissions exceed €100.
If the commission threshold is not met, earnings will roll over to the next payment cycle.
6.2. Payment Methods
Payments are processed via PayPal.
Payments to Finnish Affiliates are subject to 25.5% VAT, while payments to non-Finnish Affiliates are VAT-exempt.
6.3. Tax Responsibilities
Affiliates are solely responsible for determining and fulfilling their tax obligations in accordance with applicable laws.
OfferSwap does not provide tax advice or withhold taxes on behalf of Affiliates.
7. Restrictions and Prohibited Activities
The following actions are prohibited under the Program:
Submitting false, incomplete, or fraudulent leads or referrals.
Misrepresenting OfferSwap’s services.
Associating OfferSwap with illegal, harmful, or offensive content.
Engaging in spam marketing activities.
Conducting paid advertising using OfferSwap’s name, logo, or other intellectual properties.
Violation of these restrictions will result in immediate removal from the Program, forfeiture of unpaid commissions, and potential legal action.
8. Force Majeure
OfferSwap is not liable for delays or failures to fulfill its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, wars, governmental actions, labor strikes, or power outages.
In such cases, OfferSwap will notify Affiliates as soon as practicable and will make reasonable efforts to resume normal operations within a reasonable timeframe.
9. Termination of Participation
9.1. By OfferSwap
OfferSwap reserves the right to terminate any Affiliate’s participation in the Program at any time and for any reason. This includes, but is not limited to:
Breach of these Terms.
Submission of fraudulent or ineligible leads.
Violation of applicable laws.
Changes in OfferSwap’s business strategy.
9.2. By the Affiliate
Affiliates may terminate their participation by providing written notice to OfferSwap at contact@offer-swap.com.
9.3. Effect of Termination
Upon termination:
Affiliates will no longer earn commissions for referrals.
Unpaid commissions may be forfeited if termination is due to a breach of these Terms.
10. Limitations of Liability
OfferSwap is not liable for:
Indirect, incidental, or consequential damages arising from your participation in the Program.
Losses due to inaccuracies in referral tracking or delays in commission payments.
Our maximum liability under these Terms is limited to the commissions earned by the Affiliate in the three months preceding the claim.
11. Governing Law and Dispute Resolution
These Terms are governed by Finnish law. Disputes arising under or related to these Terms will be resolved through arbitration in Finland unless otherwise required by law.
