The purpose of this questionnaire is to provide answers to the most frequently asked legal questions, regarding contracts celebrated through the Ontop platform.

📜 What should I do if I do not agree with some conditions of Ontop’s contracts template for the You Sign model?

In the You Sign model, Clients can use “Special Clauses” within the Ontop platform to adjust, create or modify any clauses of our standard contract.


📜 What should I do if I do not agree with some conditions of the Independent Contractor Agreement?

In the case of the You Sign model, the Contractor should contact the Company and explain the reasons why they do not agree with some clauses and negotiate the contract with them, not with Ontop.

In the case of the We Sign model, the contractor should communicate with their point of contact in the Ontop sales team and explain why they do not agree with the terms. Ontop legal team will analyze your suggestions and, if possible, will negotiate some changes in the template contract.


📜 Which are the governing laws and jurisdiction of Ontop’s template contracts?

The Contracts and any dispute or claim arising out of or in connection with them or its subject matter or formation (including non-contractual disputes or claims) will be governed by and construed in accordance with the law of the State of Delaware and each Party irrevocably agrees that the courts located in Miami-Dade County, Florida will have exclusive jurisdiction to settle any such dispute or claim.


📜 Can an independent contractor be a natural person?

Yes, an independent contractor may either be a natural or a legal entity. However, having a legal entity provides higher protection so it is recommended to contract through a legal entity.


📜 What are the general documents that must be requested when signing a contract with a client?

Depending on the county the contractor is located in, different documents could be required. Usually, these documents are intended to certify identity and tax compliance and in general, they are Identification Documents, Passport, Tax Identification Numbers, among other documents according to each jurisdiction.

For users located in the United States. Other documents that are usually requested are tax forms such as the W9, W-8BEN, W-8BEN-E, and 1099.
