How do I add a company valuation?

The 'Valuation vault' is where organisations can add company valuation information including share prices, and store their valuation reports. Company administrators can choose to give visibility of the share prices to stakeholders based on their holdings, and shareholders or option holders will see an estimated value of their holdings based on the latest price. Administrators can enter different prices for different share classes.

When you save your valuation you can opt to send an email to your stakeholders letting them know that you have published a share price.

How to add a valuation

To add a company valuation you will need to be logged in and have access as a company administrator to make any changes. From your company dashboard, click 'Valuation vault' in the left side menu. Click the 'Add valuation' button.

Enter a title for your valuation. The title is displayed to stakeholders. Eg:

  • External Valuation 2022

  • Series A

  • Private share sale

  • Share Trading Event 2019

Enter an effective date for your valuation. It can be today, or a date in the past.

Enter a price per share (up to 6 decimal places). If you have more than one share class you can enter different prices by class, or leave some classes blank.

Decide on the visibility of your valuation:

  • Admin-only visibility will store the valuation for company administrators to view only.

  • All stakeholders visibility will publish the share price to shareholders who hold that class of share, and to employees (option holders) that hold options that can convert to that share class. Stakeholders will be shown the estimated value of their shareholding or options. Valuations are not displayed to associate investors.

To notify your stakeholders (shareholders & option holders) that you have published a share price, turn the toggle on.

You can enter a description for your valuation (administrator-only view).

Drag and drop in documents to store on your valuation. For example, a share transfer form, formal company valuation, board resolution etc. Documents stored on valuations are viewable by company administrators only.

Click the 'Save valuation' button.

An email notification will be sent to your option holders, and to shareholders that hold that class of shares, if you have toggled the email notification on.

Your valuations are stored in date order with the most recent valuation by date at the top of the list.

A valuation history graph shows the company share price over time. If you have more than one share class you can use the dropdown list to view a graph for each share class.

How to edit a valuation

To the right of each valuation is a pencil edit icon that you can use to edit a valuation. Please note that email notifications are only sent when creating a new valuation. There are no email notifications after editing a valuation.

How to delete a valuation

To the right of each valuation is a trash bin icon that you can use to delete a valuation.

What do my shareholders see when they view a valuation?

Company valuations are shown on the dashboard of shareholders when they login to Orchestra.

The display shows the most recent dated share price for the class of shares they hold. An estimated value for their shares is shown, calculated by multiplying their number of shares held by the share price. A graph plots the change in share price over time.

A single valuation can be entered for a share class. If no valuation is provided then the valuations section is not displayed to shareholders.

What do my option holders see when they view a valuation?

Company valuations are shown in the 'ESOP & Options' feature of option holders when they login to Orchestra. Valuations are displayed in the 'Grant modelling' section.

The display shows the most recent dated share price for the class of shares that the options convert to. An estimated value for the options is shown. It assumes that all available options vest and are exercised, and is calculated by multiplying the total number of options by the share price.

A graph plots option vesting over time. There is a toggle to 'Enable forecasting' which extends the graph to show all future vesting. There is a 'Show dollar value' toggle to switch the x axis of the graph between 'Share option count' and 'Share options value ($)'.

Option holders can adjust the simulated share price to model the value of their options at different share prices.

If a valuation is not provided then the default simulated share price will be the option exercise price and option holders can adjust the price to model the value of their options.
