How do I add, update or remove a company director in Orchestra?

Orchestra integrates directly with the New Zealand Companies Office (NZCO) and the Australian Securities & Investments Commission (ASIC) to simplify the management of company records, including director changes.

New Zealand

For New Zealand companies, updates made in Orchestra are automatically synced to the NZ Companies Office via an API. The company must be live on Orchestra.

Australia

Australian companies that have authorised Orchestra Pty Ltd as their ASIC agent will have their director and company secretary details updated at ASIC by Orchestra. The company must be live on Orchestra.

How to add, update, or remove a company director

Accessing director information:

  • Log in to your Orchestra account.

  • Navigate to the administrator dashboard for your company.

  • In the left-hand menu, select 'Directors' or 'Officeholders'.

  • You will see a list of the current directors and their details. From here, you can add, update, or remove directors.

Adding a new director (& director's consent for New Zealand companies)

To add a new director in Orchestra:

  • Click the 'Add new director' button.

  • Enter the new director’s details, including name, residential address, appointment date, date of birth and place of birth.

  • Click the 'Continue' button.

  • Download the Director’s Consent Form (Form 9) PDF required for New Zealand directors.

  • Use the document signing feature to get the form signed electronically. Once signed, return to the directors page.

  • Click on the fountain pen icon to upload the signed director’s consent form.

Notes:

  • New Zealand Companies Office: Filing documents with electronic signatures

  • You have 20 working days from the director’s appointment to submit the consent. The appointment becomes official only once the consent is approved by the NZ Companies Office.

  • The date of birth and place of birth is required by the NZ Companies Office, but they do not make this information publicly available.

Updating a New Zealand director's details

You must update a New Zealand director’s name, address, or appointment status within 20 working days of any changes.

To update in Orchestra:

  • Click the 'Edit' icon next to the director’s details.

  • Update the required fields.

Name Changes: Directors can only change their name if they have:

  • married or divorced

  • changed their full legal name by deed poll, or

  • corrected their full legal name.

If you need assistance updating a director's name, please contact us for support.

Address Changes: The new address must be a physical residential address (not a Private Bag, PO Box or DX service). The director must have already moved before updating their address.

Resigning (ceasing, removing, deleting) a director

To resign or remove a director:

  • Click the 'Resign director' (bin) button next to the director's details.

  • Enter a resignation date.

  • Click the 'Resign' button.

  • This update will be sent to the NZ Companies Office by API, or updated at ASIC.

Special cases for New Zealand directors:

  • If your company only has one director, you must appoint a new director who resides in New Zealand before removing the current one.

  • If a director has passed away, been removed, or resigned, you must update the register within 20 working days of the event.
