Creating a Global Footnote

Footnotes allow for annotations pertaining to transactions and, or, holdings to the Securities Exchange Commission.

Navigate to Quick Add > Footnote in the homepage menu

Enter your footnote text into the Footnote Text field. Select Add to save.

The top of the window has two items:

· “Footnote should be shared across all insiders?” is automatically populated and grayed out due to the footnote being created using this method is to be a Global Footnote.

· “Footnotes should be active?” is able to be deselected if the footnote is no longer relevant to any insiders listed under the ticker. This footnote would no longer be visible in dropdowns.

Creating Account Footnotes

Navigate to the specific insider, using the Insider List tile to view the insiders, to which the footnote will be added for use.

Creating a Footnote within the Filing Wizard

Navigate to the New Form 4 tile on the Section 16 Manager homepage (or the dropdown menu within the insider account screen).

After you have entered or selected transaction and holding information select the Edit Footnotes button located at the top of the filing wizard window.

All yellow fields may have a footnote added, edited, or removed from the location when editing footnotes.

Once you have selected a field in which to add, edit, or remove a footnote, you will be able to select a footnote from the available footnote library or create a new footnote.

Footnotes fall under Global or Account by category in the dropdown.

After selecting, select “Save”. The footnote will relocate, numbered, in the right-hand column stating that it has been added to the selected field. The footnote reference number appears in the form’s field currently.

If satisfied with footnote placement, select the “Back” button and click “Apply”.

The footnote added to the field retains its relationship with the field that it has been added to and displays below the table(s) in the form view. If you would like to preview the form with the inclusion of the footnote as it would be viewed on EDGAR, click apply, then select the “Preview” button in the top right of the wizard.

If satisfied with placement and from the preview, you may select the “Apply” button and the footnote will attach accordingly to the form. You will be returned to the filing wizard to continue and complete your form.

Ledger Footnotes

Navigate to an insider’s ledger. To add or edit a footnote attached to a holding select the “Footnote Mode” button located at the right-hand side of the Ledger tab.

Like managing footnotes within the filing wizard, footnotes may be applied to yellow fields.

The selected field displays as such in the top title of the footnote selection, or creation, window.

Once footnotes are selected or created in the footnote window, they will display as a reference number in the footnote listing. Once footnotes are selected, select the “Exit Footnote Mode” button located at the right-hand side of the screen. The footnotes will remain in the holding unless removed.

To remove a holding footnote, click the footnote(number) and choose “Remove”. The footnote will no longer display in the Ledger tab or within the filing wizard.

Active and Inactive Footnotes

Footnote statuses state whether a footnote can be used for any activity within Section 16 Manager.

Active: Footnote can be selected from all footnote related dropdowns for use within any holding, transaction, and the filing wizard.

Inactive: Footnote is unable to be selected for use in all footnote related dropdowns for use within any holding, transaction, and the filing wizard.


Footnote Library – Global Footnotes

Navigate to View > Footnote in the homepage menu

All selectable footnotes will be listed that can be applied to all insiders. The footnote library has both active and inactive footnotes.

Users may edit, activate, deactivate, and edit any of the footnotes in the library. If footnotes are edited in the library the edits will become effective immediately within the insider ledger where attached.


Footnote Library – Account Footnotes

Navigate to the insider ledger and select the Footnotes tab to enter the Account Footnote screen

A listing of Global and Insider account footnotes will be listed. A Global footnote and an Insider account footnote are distinguished with a Global footnote being described as “Yes” under the Global column.

To add a new footnote to the Insider account listing select Quick Add > Footnote from the top-right menu.

An Insider account level footnote will omit the checkbox “Footnote should be shared across all insiders?” as it pertains to the singular insider record. Users may choose to add the footnote to the Global footnote library by selecting the checkbox. Once the action has taken place it cannot be reverted.
