Nominee Structure:

  • The Nominee legally holds shares on behalf of investors.

  • Investors retain full beneficial ownership, including financial and voting rights.

  • The structure is tax-efficient, with minimal paperwork and faster execution.

  • Investments are completed in ~3 weeks.

Special Purpose Vehicle:

  • Investors own shares through an SPV that holds equity in the startup.

  • More complex legal and tax obligations.

  • Requires additional approvals and a longer investment process.
