Article 1: Acceptance of Terms
When a website visitor or service registrant fills in their information, browses, purchases, or uses the services provided by the company, it indicates their agreement to become a member of the company. They acknowledge and have had sufficient time to carefully read, understand, and agree to comply with the service methods, membership terms of service (hereinafter referred to as "these Terms of Use"), and other relevant regulations provided by the company.
When a member clicks "I have read and agree" or presses the "Agree" button, it indicates that the member agrees to comply with these Terms of Use and all related provisions when using any services provided by the company.
Article 2: Exercise of Parental Authority
If the member is a minor or another person with limited capacity for legal acts, in addition to the member’s understanding and agreement to the provisions of these Terms of Use, the member must have their legal representative (or guardian) read, understand, and agree to all the content before the member may use the services provided by the company in accordance with these Terms of Use.
By starting or continuing to use the company's services, it is deemed that the member's legal representative (or guardian) has read, understood, and agreed to accept all the content of these Terms of Use.
Article 3: Obligation to Provide Accurate Member Information
When a website visitor or service user joins and becomes a member of the company, they must provide accurate and complete personal information (including their real name and other relevant details).
The member must not register using someone else's name, nor may they register someone else as a member without their prior consent. The member guarantees that the registered name corresponds to the actual user of the service and commits to updating any outdated or changed information promptly.
If a member provides false personal information, registers using someone else's name, registers someone else as a member without authorization, or fails to update their information in a timely manner, resulting in delays in service or any loss of rights or benefits, the member shall bear all responsibility and consequences.
The company reserves the right to terminate the member’s membership and their right to use any services at any time.
The member understands and agrees that the company will collect, process, and use their personal information in accordance with applicable laws and the "Privacy and Personal Data Protection Statement" that the member has read and agreed to. If any disclosure results in harm to the member's rights, the company will bear relevant legal responsibilities in accordance with the law.
Article 4: Obligations and Responsibilities of Use
1. Before using the company’s services, members must equip themselves with the necessary computer hardware and software required for internet access, as announced by the company, and bear any associated internet connection costs.
The use of the company’s services must comply with the laws and regulations of the Republic of China (Taiwan) and the international usage conventions and etiquette of the internet.
If using links to websites outside the Republic of China (Taiwan), members must agree to comply with the relevant laws of the local websites.
2. Members are responsible for securely maintaining their account information and password to prevent leakage. They must not share their account or password with third parties (whether for compensation or not).
Members should regularly log into their accounts to verify their account activity to detect any abnormal usage. Proper methods of password protection include: using strong passwords combining letters, numbers, and upper and lower case characters, and avoiding using personal information such as birthdates or identification numbers as passwords; not sharing passwords with others; not entering account information on devices belonging to others; not using account information on untrusted public networks; and not downloading unknown software on personal devices without proper antivirus or protective software.
If the company reasonably suspects that a member has violated these Terms of Use, it reserves the right to temporarily suspend the member’s account usage.
3. To ensure the personal exclusivity of a member’s account, the member agrees that the company may implement relevant protective measures on the network platforms used by the member to ensure the security of their account.
Any actions performed through a member's account and password are presumed to be carried out by the member. If the member discovers that their account and password have been unlawfully or improperly used by a third party, they should immediately notify the company.
The company will immediately suspend the use of the account and password and accept the member’s request to change their login account or password. Otherwise, the company will assume that all activities carried out under the member’s account are the member’s own, and the member will bear all responsibilities.
If a member notifies the company that their account or password has been unlawfully or improperly used by a third party, unless the company can prove that the loss was caused by the member’s failure to properly safeguard their account and password, the company will compensate the member by either extending their use period or refunding any deducted usage time or units within seven business days.
4. The following actions are prohibited on the company’s website and online services. If a member engages in any of the following behaviors, the company may suspend the service or close the member's account, depending on the severity of the violation and its impact. In cases where the company suffers damages, the company may also seek compensation from the member:
(1) Intruding or damaging the company’s internal systems or equipment, implanting viruses, trojans, or other malicious programs, disrupting the system, or engaging in any actions that impact the company’s system operations or service delivery.
(2) Sending illegal software, unauthorized copyrighted material, or other harmful software through file transfer software.
(3) Using online video systems to expose, indecently suggest, or engage in inappropriate behavior that negatively impacts the company’s services.
(4) Using online systems to harass, verbally abuse, attack, or disrupt the service order of the company’s vendors, users, managers, employees, or other members.
(5) Engaging in any behavior that harms the reputation of the company or its affiliates, or harms the reputation of the company’s managers, directors, employees, or other members.
(6) Making political requests, religious propaganda, or engaging in other unrelated behavior during live broadcasts or on service systems.
(7) Using the company’s website or platform to collect, inquire, or request personal information, contact details (such as email addresses, Skype accounts, Facebook accounts, Line accounts, WeChat accounts, QQ accounts, etc.), social connections, or financial statuses of employees, consumers, or other members.
(8) Engaging in private interactions with users, vendors, or other members for purposes unrelated to consumption services.
(9) Engaging in any other inappropriate behavior or violating laws or public morals.
5. Any disputes or losses caused by the member's violation of the provisions in items (7), (8), or (9) of the previous section will be the member's sole responsibility, and the company shall not be liable.
Article 5: Maintenance of System and Service Quality
The company shall provide members with the setup and maintenance services of the member platform, offering reasonable security services that members can expect, ensuring that the system and equipment function properly, without errors, screen freezes, delays, interruptions, or connectivity issues caused by factors attributable to the company or third-party vendors.
The company is responsible for the maintenance of the service-related systems. If a member encounters issues with the system’s normal operation, they should promptly contact the company’s customer service team.
The company will address and resolve any service system failures as quickly as possible. However, issues caused by the member's personal computer hardware or software, internet service provider’s network system, or other factors outside the company's control are not covered under the company's maintenance services.
Members may not claim any rights or request compensation from the company due to poor video quality or other issues arising from factors such as network bandwidth or environmental conditions.
If the company needs to migrate, replace, upgrade, or maintain service-related system equipment, which may require a temporary suspension or interruption of all services, the company will notify members at least 7 days in advance via an announcement on the system or website.
However, in cases of emergency, force majeure, or unforeseen circumstances, the company is not required to provide the 7-day advance notice.
If a member has doubts or issues regarding the services provided by the company, they may submit a complaint via phone, email, or in writing. If submitting a complaint through these methods is difficult, the member may visit the company’s business location to file a complaint. The company will address and respond to the complaint within 15 days of receiving the notification.
Article 6: Confidentiality Clause
Without the company’s written consent and authorization, members may not, in any way, disclose or provide to any third party or to the public any business information they have become aware of during the use of the company's services or the process of entering into a service contract with the company. This includes technical data, system interface designs, vendor information, employee data, and any part or all of the service contracts and their attachments, as well as any other information that the company considers to be its confidential information or trade secrets.
If a member violates this clause, the company has the right to immediately terminate the member’s right to use the company's services and hold the member liable for any economic losses caused to the company as a result.
If the member has a service contract with the company, whether the contract is paid or free of charge, the company also reserves the right to terminate or cancel the service contract.
Article 7: Intellectual Property Rights
The member agrees that all intellectual property rights and other related rights to the content created or involved in the use of the company’s services, such as recordings, videos, audio, texts, images, etc., during the service period, shall belong to the company. The company may utilize such content at its discretion, including but not limited to editing and developing series products, member viewing, business promotion, product release, or sales purposes. Without the prior written consent of the company, the member may not reproduce, publicly broadcast, or sell the recorded audio or video of live sessions, nor may they provide such content to any third party for knowledge, possession, or use.
All intellectual property rights to the names, trademarks, service marks, technologies, systems, videos, images, advertising materials, video files, and other related content encountered by the member during the use of the company's services shall belong to the company or be legally authorized to the company. The member may only use such content within the company’s platform and system in accordance with the agreed-upon method and scope. Without the prior written consent of the company, the member may not reproduce, download, or store it in a personal database or any other medium, nor may the member use it for any other purpose or provide it to any third party for use.
In case of violation, the company reserves the right to suspend the member’s right to use the company’s services. If the member does not correct the violation within the specified period after being notified by the company, the company has the right to terminate the member’s service contract (whether paid or free).
The member shall not use any proprietary technology or commercial secrets of others, nor engage in any actions that may infringe upon the intellectual property rights of others while using the company’s services.
If the member violates this promise and causes the company to be subject to third-party infringement claims or lawsuits, resulting in direct or indirect damage to the company’s reputation or economic losses, the member shall bear all economic and legal responsibilities.
The provisions of this article shall remain in effect even if the member’s account is terminated or closed, if the member stops using the company’s services, or if these terms and conditions are modified, rescinded, or terminated.
The company guarantees that the intellectual property rights or other rights related to the content used in providing the services are either owned by the company or are used under a legal authorization. If any violation of the above occurs and the member is unable to continue using the services, the company will compensate the member for the loss incurred due to the inability to use the service.
