Each Series we launch follows a transparent, deal-specific fee model. We ensure that all fees are disclosed up front — and always aligned with performance and service delivery.
1. Carry (Adviser’s Performance Incentive)
• The Adviser sets a carried interest percentage (typically 10–20%).
• Carry is only applied to profits after investors receive their full capital back.
• It’s the primary way Advisers are compensated for sourcing and leading quality deals.
Example: If the deal returns 3x and carry is 20%, the Adviser earns 20% of the profits (i.e., not the full return).
2. Entry Fee (Optional, Adviser-Defined)
Advisers may choose to charge an entry fee — a one-time payment (often 1–2%) added to each investor’s commitment. This compensates the Adviser for:
• Deal access
• Due diligence efforts
• Early operational costs (e.g., legal review, data room access)
Entry fees are always disclosed in the deal materials and are separate from carry.
3. Uniborn Admin Fee
Uniborn charges a standard 2% one-time admin fee on each investor’s commitment. This covers the full lifecycle of the SPV:
• Entity formation
• Legal, compliance, and tax filings
• Investor onboarding (KYC/AML, accreditation)
• Capital management and distributions
In some cases, the admin fee may vary or be capped, depending on deal size or structure. Any variation are clearly communicated.
4. Other Possible Charges
Additional fees may apply in specific situations, such as:
• Currency conversion costs (if investors transfer funds via non-default methods).
• Secondary transactions, if applicable.
• Unexpected legal, banking, or compliance costs tied to a specific deal or jurisdiction.

5. Investor Returns
All returns are distributed pro-rata to investors, based on their participation in a given Series. The typical distribution waterfall is:
• Return of capital
• Profit share, after fees and carry
Investor exposure and economics are fully isolated to the Series they join.
