Please note that these Terms and Conditions include an arbitration clause. By participating in this contest, you agree to resolve any disputes through binding arbitration, waiving the right to a trial by jury or to participate in a class action.

The ZBD Bitlab Contest (the “Promotion”) starts at 8:00 am EST, on November 8, 2023, and ends at 11:59 pm EST, on December 31, 2023 (“Promotion Period”). The sponsor of the Promotion is ZEBEDEE LLC (“ZBD”), 50 Harrison St STE 472, Hoboken, NJ 07030 USA. This Promotion is in no way sponsored, endorsed and/or administered by any owners or operators of any social media forums where ZEBEDEE advertises or promotes this Promotion or any other entities referenced in the Promotion, including but not limited to Apple, Meta, the Bitcoin protocol. The Promotion is subject to these Promotion rules (“Official Rules”), and by entering the Promotion, entrant (“Entrant”) agrees to be bound by them and the decisions of ZEBEDEE, which shall be final in all matters related to the Promotion.

ELIGIBILITY: Entrants must have a valid e-mail address that matches the email on their ZBD app account and their email must be verified. As of the date of their Entry into the Promotion, the entrant must be eighteen (18) years of age or older (age must be verified prior to any prize being awarded). The winner must be located in:

Employees of ZEBEDEE and its affiliates, licensees, successors, and assigns, and those acting under their authority as well as members of such employees’ immediate families (spouses, children, siblings, parents) or households (whether or not related), are not eligible to participate in the Promotion.

By participating, entrants agree to ZBD’s Privacy Policy and Terms of Service.

ELIGIBLE ENTRANTS MUST ENTER IN ACCORDANCE WITH THESE OFFICIAL RULES. NO OTHER METHOD OF SUBMISSION WILL BE ACCEPTED. Participation in the Promotion constitutes Entrant’s understanding of, full and unconditional agreement to, and acceptance of these Official Rules.

HOW TO ENTER: During the Promotion Period, an Entry may be submitted in one of two (2) ways (the “Entry Process”):

ZEBEDEE’s database clock will be the official timekeeper for this Promotion. Use of any software or other device to automate an Entry or subvert the Entry Process is prohibited, and all Entries submitted through such devices are void. Any attempt by any Entrant to obtain more than one Entry by using multiple/different e-mail addresses, identities, registrations, log-ins or any other methods will void that Entrant’s Entries and Entrant may be disqualified. ZEBEDEE reserves sole discretion to disqualify any Entry or Entrant.

ODDS (Winning Criteria): Winners will be chosen based on the number of sats accumulated during the contest period. ZEBEDEE reserves the right to disqualify participants if any fraudulent activity is detected. Adjustments due to survey and offer reconciliations will affect your overall score and final standing in the competition. Each individual Bitcoin is divisible into 100 million units called Satoshis, or “sats”.

A total of 100 winners (each, a “Winner”) will be selected based on the number of sats they earned during the Promotion. The prizes are as follows:

The prize carries no monetary value and cannot be substituted, transferred, or redeemed for cash.

The prize is non-transferable, non-assignable, and non-returnable. Selling, bartering, or exchanging any part of the prize is not allowed. The prize will be awarded in Bitcoin, calculated based on its market value on the day of payout.

NOTICE TO POTENTIAL WINNERS AND VERIFICATION: On or about 11:59pm EST, on February 9th, 2024, ZEBEDEE will notify the Winner by email that they have potentially won the Prize. The potential Winner will have seven (7) days to respond to ZEBEDEE’s e-mail notification, and verify eligibility (the “Eligibility Verification Process”); otherwise, another Winner will be selected. Winner must sign and return an IRS W-9 form to complete the Eligibility Verification Process. Furthermore, except where legally prohibited, to complete the Eligibility Verification Process each potential Winner must complete and return an Affidavit of Eligibility, Liability, and Publicity Release.

By participating, Entrants agree to these Official Rules and to the decisions of ZEBEDEE, which are final and binding in all respects. ZEBEDEE reserves the right to verify eligibility qualifications of any potential Winner. By participating in the Promotion, Entrant consents to the transfer of Entrant’s personal data to ZEBEDEE for purposes of administration of the Promotion.

LIMITATION OF LIABILITY: In no event will ZEBEDEE be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential, or punitive damages arising out of Entrant’s access to and use of the ZBD App. By participating in this contest, Entrants and winners agree to release and hold harmless ZEBEDEE and its subsidiaries, affiliates, agents, licensees, sponsors, successors, assigns, and promotion and advertising agencies, as well as the respective officers, directors, and employees of each of the foregoing, from and against any and all claims, actions, demands, damages, losses, liabilities, costs, or expenses caused by, arising out of, in connection with, or related to the Promotion (including, without limitation, any property loss, damage, personal injury or death caused to any person(s)).

GENERAL PRIZE RULES: ZEBEDEE is not responsible for misdirected, incomplete, lost, late, illegible, undelivered, inaccurate, or delayed Entries; technical, hardware or software failures of any kind; lost or unavailable network connections; failed, incomplete, garbled or delayed computer transmissions; or other errors or problems that may limit or affect a person’s ability to participate in the Promotion, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Promotion, including, without limitation, errors which may occur in connection with the administration of the Promotion, the processing of Entries, the announcement of the Prize or in any Promotion-related materials. If for any reason the Promotion is not capable of running as planned, including, but not limited to, events of sabotage, fraud, acts of God, pandemics, terrorism or threats thereof, computer viruses or other events or causes beyond ZEBEDEE’s control, which corrupt the integrity, administration, security or proper operation of the Promotion, or in ZEBEDEE’s sole opinion, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Promotion or the granting of any Prize, or any component thereof, ZEBEDEE reserves the right, at its sole discretion, to modify, cancel or suspend the Promotion. In the event of cancellation, ZEBEDEE reserves the right to award the Prize from among all remaining eligible Entries received prior to the event requiring such cancellation. In the event that ZEBEDEE determines that there are no eligible Entrants, ZEBEDEE reserves the right, at its sole discretion, not to award the Prize (or any portion thereof). False or deceptive Entries or acts will render Entrant ineligible. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND SH OULD SUCH AN ATTEMPT BE MADE, ZEBEDEE RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

PRIVACY: All information collected by ZEBEDEE in connection with the Entries will be subject to ZEBEDEE’s privacy policy (“Privacy Policy”) available at https://www.zebedee.io/privacy. By submitting an Entry, you agree to ZEBEDEE’s Privacy Policy. If an Entrant chooses to opt in to receive communications from ZEBEDEE, his or her personal information will be subject to ZEBEDEE’s Privacy Policy and terms of service (if applicable).

RELEASE OF LIABILITY: ZEBEDEE expressly disclaims any responsibility, and Entrants agree to indemnify and hold harmless ZEBEDEE from and against any and all claims, actions, demands and/or liability for injury, damage or loss whatsoever relating to or arising in connection with participation in this Promotion (regardless of the cause of such injury, damage or loss) and/or the delivery and/or subsequent use or misuse of any Prize awarded.

TAXES: All federal, state, local, foreign, or other taxes and any other costs and expenses associated with the acceptance and/or use of prizes not specifically provided for in these Rules are solely the Potential Winner’s responsibility. Potential Winner is solely responsible for reporting and paying any and all applicable taxes. United States residents may have prizes reported to the IRS and may receive an IRS Form 1099. Please contact your own tax advisor for any questions concerning taxes.

ARBITRATION: BY ENTERING INTO THE PROMOTION, ENTRANT AGREES THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS PROMOTION (INCLUDING, WITHOUT LIMITATION, ITS PRIZING) OR RELATING TO THESE OFFICIAL RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION, SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN DOVER, DELAWARE, BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH DELAWARE SUPERIOR COURT RULES OF CIVIL PROCEDURE. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION OR THE PRIZES AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED. JUDGMENT ON THE AWARD RENDERED BY THE ARBITRATOR MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN ATTORNEYS’ FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.

GOVERNING LAW: Each Entrant acknowledges that the internal substantive laws (as distinguished from the choice of law rules) of the State of Delaware and the United States of America applicable to contracts made and performed entirely in Delaware shall govern the validity and interpretation of these Official Rules and all other causes of action (whether sounding in contract or in tort) arising out of or relating to these Official Rules and/or the Promotion.

OBTAINING OFFICIAL RULES OR WINNERS LIST: For a copy of the Official Rules or Winners List (Winners List available after January 31st, 2023), send a self-addressed, stamped envelope to “Social on ZEBEDEE Giveaway” (please specify “Official Winners List” or “Official Rules”), 50 Harrison St STE 472, Hoboken, NJ 07030 USA, to be postmarked no later than ninety (90) days after the end of the Promotion Period. Residents of Vermont may omit the return postage on their request.
