ReviewsPro Terms of Service

For the purposes of this Agreement, in addition to the capitalized terms defined elsewhere in this Agreement, the following terms shall have the following meanings:

Agreement: means the Sign-Up Form and these Terms (as updated from time to time).

Customer: means the entity registering for the Service through the Sign-Up Form.

Sign-Up Form: means the online sign-up or registration form completed by the Customer which refers to these terms, and which may set out certain commercial terms such as the terms, fees, and features of the Service to be delivered to the Customer.

Personal Data: means any information or data that alone or together with any other information relates to an identified or identifiable natural person ("data subject"), or data considered to be personal data under Privacy Laws. An identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier, or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person.

Privacy Laws: means any law, statute, directive, or regulation, including any and all legislative and/or regulatory amendments or successors thereto, regarding privacy, data protection, information security obligations, and/or the processing of Personal Data (including without limitation the General Data Protection Regulation 2016/679 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data as amended or superseded from time to time).

Services: means the services offered by ReviewsPro and subscribed for by the Customer under this Agreement.

ReviewsPro Platform: means ReviewsPro's online, web-based platform linked to Shopify, through which ReviewsPro provides the Service.

User: means an employee, contractor, or agent of the Customer who is authorized by the Customer to use the Service, and who has been supplied a user account and password by the Customer (or by ReviewsPro at the Customer's request) for the Service.

In this Agreement: (a) words denoting the singular include the plural and vice versa and words denoting any gender include all genders; (b) all usage of the word "including" or the phrase "e.g.," in this Agreement shall mean "including, without limitation," throughout this agreement; (c) all dollar amounts are expressed in United States dollars (USD) unless expressly provided otherwise on the Sign-Up Form. Headings and the division of this Agreement into articles and sections are for the convenience of reference only and shall not affect the interpretation hereof. If there is any conflict or inconsistency between the terms in the various parts of this Agreement, these Terms will take precedence.

Provision of Service. Conditioned on the provisions in this section and the other terms and conditions of this Agreement, ReviewsPro shall make the Service available to the Customer during the term for use in the Customer's business on a non-exclusive, non-transferable basis.

Use Guidelines. The Customer shall not: (i) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise exploit or make the Service available to any third party; (ii) interfere with or disrupt the integrity or performance of the Service or the data contained therein; (iii) attempt to gain unauthorized access to the Service or its related systems or networks; or (iv) disclose any benchmarking or results of the Service to third parties without ReviewsPro's prior written consent.

Restrictions. The Customer shall not (and shall not allow any third party to): (a) modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service; (b) circumvent any user limits or other timing or use restrictions that are built into the Service; (c) remove any proprietary notices, labels, or marks from the Service; (d) frame or mirror any content forming part of the Service; or (e) access the Service to (i) build a competitive product or service, or (ii) copy any ideas, features, functions or graphics of the service.

Service Changes by ReviewsPro. ReviewsPro reserves the right to alter, suspend, or discontinue the Service or the ReviewsPro Platform at any time and for any reason or no reason without any liability to the Customer. In such cases, ReviewsPro will endeavor to give notice of such changes. The service may also be unavailable from time to time due to maintenance or malfunction of the computer or network equipment or other reasons. ReviewsPro may periodically add or update the information and materials on the ReviewsPro Platform without notice.

All our services are provided on a monthly or annual subscription basis, depending on the plan you choose. By initiating a subscription, you grant authorization to automatically charge your designated payment method on a recurring basis for your billing period (monthly or annual). This automatic renewal will continue until the subscription is properly canceled by you through your account settings prior to the next scheduled renewal date.

In the event that a scheduled (monthly or annual) subscription payment fails for any reason (including, but not limited to, insufficient funds, expired payment details, or bank refusal), we reserve the right to automatically reattempt the charge using the same payment method you have authorized.

These reattempts are covered under the original subscription and payment authorization provided by you. To terminate all future billing attempts, you are required to either cancel the subscription or update the payment method details within your account settings before the commencement of the subsequent billing cycle.
