Supplier: means a supplier who has subscribed to the Jubilee Platform, primarily for the purpose of using the Jubilee Platform as a marketplace for retailers to list supplier products on their online store and having those products Dropshipped or sold as wholesale by that supplier to that Retailer’s End Customers.

User: means an employee, contractor, or agent of the Retailer who is authorized by the Retailer to use the Service, and who has been supplied a user account and password by the Retailer (or by Jubilee at the Retailer’s request) for the Service. In this Agreement: (a) words denoting the singular include the plural and vice versa and words denoting any gender include all genders; (b) all usage of the word "including" or the phrase "e.g.," in this Agreement shall mean "including, without limitation," throughout this agreement; (c) all dollar amounts are expressed in United States dollars (USD) unless expressly provided otherwise on the Sign-Up Form. Headings and the division of this Agreement into articles and sections are for the convenience of reference only and shall not affect the interpretation hereof. If there is any conflict or inconsistency between the terms in the various parts of this Agreement, these Terms will take precedence.
2. Marketplace and License Terms
Jubilee Platform as a Marketplace. The Jubilee Platform is an online marketplace that enables suppliers (including the Supplier) to publish their products (including the Products) on the Jubilee Platform for Retailers to view, list on the Retailer’s own online stores, and sell directly to End Customers on the basis of the products being Dropshipped or sold as wholesale by the supplier. As the provider of the Jubilee Platform, Jubilee does not purchase, sell, resell, provide, control, manage, offer, deliver, supply, or Dropship any Products. If a retailer orders a Product to be Dropshipped by the Supplier, the Retailer and the Supplier are entering into a contract directly with each other. Jubilee is not and does not become a party to or another participant in any contractual relationship between Retailers and Suppliers. Jubilee is not acting as an agent in any capacity for any Retailer or for Supplier.
Provision of Service. Conditioned on the provisions in this Section 2 and the other terms and conditions of this Agreement, Jubilee shall make the Service available to Retailer during the term for use in Retailer’s business on a non-exclusive, non-transferable basis.
Use Guidelines. Retailer shall not: (i) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share, or otherwise exploit or make the Service available to any third party; (ii) interfere with or disrupt the integrity or performance of the Service or the data contained therein; (iii) attempt to gain unauthorized access to the Service or its related systems or networks; or (iv) disclose any benchmarking or results of the Service to third parties without Jubilee’s prior written consent.
Restrictions. Retailer shall not (and shall not allow any third party to): (a) modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service; (b) circumvent any user limits or other timing or use restrictions that are built into the Service; (c) remove any proprietary notices, labels, or marks from the Service; (d) frame or mirror any content forming part of the Service; or (e) access the Service in order to (i) build a competitive product or service, or (ii) copy any ideas, features, functions or graphics of the service.
Service Changes by Jubilee. Jubilee reserves the right to alter, suspend, or discontinue the Service or the Jubilee Platform at any time and for any reason or no reason without any liability to Retailer. In such cases, Jubilee will endeavor to give notice of such changes. The service may also be unavailable from time to time due to maintenance or malfunction of the computer or network equipment or other reasons. Jubilee may periodically add or update the information and materials on the Jubilee platform without notice.
3. Fees and Payment
Plans. Jubilee offers a free plan and paid subscription plans that are billed monthly or annually. The features, product limits and prices of each plan are shown on the Jubilee pricing page and may be set out in the Sign-Up Form. In Sections 3 and 4, "you" and "your" mean the Retailer.
Free Trial. Every monthly plan includes a 7-day free trial. If you cancel during the trial, you will not be charged. If you do not cancel before the trial ends, your subscription continues and you will be charged the monthly subscription fee. Annual plans do not include a trial period and are charged in full, for the whole year, when you subscribe.
Monthly Subscription and Automatic Renewal. All our services are provided on a monthly subscription basis, unless explicitly stated otherwise (for example, annual plans, which renew on a yearly cycle). By initiating a subscription, you grant authorization to automatically charge your designated payment method on a recurring cycle that matches your plan. This automatic renewal will continue until the subscription is properly canceled by you through your account settings prior to the next scheduled renewal date. Uninstalling the Jubilee app from your Shopify store does not cancel your subscription.
Failed Payments and Reattempt Authorization. In the event that a scheduled subscription payment fails for any reason (including, but not limited to, insufficient funds, expired payment details, or bank refusal), we reserve the right to automatically reattempt the charge using the same payment method you have authorized. These reattempts are covered under the original subscription and payment authorization provided by you. To terminate all future billing attempts, you are required to either cancel the subscription or update the payment method details within your account settings before the commencement of the subsequent billing cycle. Jubilee may suspend paid features of the Service while a subscription payment remains unpaid.
Retailer Orders and Total Fees. For each Retailer Order, including sample orders, the Retailer shall pay the Total Fees at checkout. Total Fees are charged to the credit card on file in the Retailer's account, which is currently the only accepted payment method for Retailer Orders. A Retailer Order is not submitted to the Supplier for fulfilment until the Total Fees have been paid. The Total Fees may include:
the Cost of each Product ordered;
the Shipping Price, which is not included in the Cost and may be a flat rate or calculated by weight (see How much does shipping cost?);
any incremental fees for additional quantities, as shown on the Product listing (see What are incremental fees?);
any set-up fee that a Supplier charges per order, as shown on the Product listing or in the MOQ Requirements; and
any applicable sales, value-added, or similar taxes.
Minimum Order Requirements. Some Suppliers require a minimum order quantity, a minimum order value or a minimum number of units for sample orders. These requirements are shown on the Product listing or in the MOQ Requirements, and a Retailer Order that does not meet them may not be accepted. Sample orders are shipped unbranded (see How to order sample products).
Retail Prices. The Retailer sets the prices at which it sells Products to its End Customers and is responsible for ensuring that those prices cover the Total Fees, including the Shipping Price.
Taxes. Unless stated otherwise, all fees are exclusive of taxes. The Retailer is responsible for all sales, use, value-added, or similar taxes that apply to its subscription and its Retailer Orders, other than taxes on Jubilee's own income, and for any taxes that apply to its own sales to End Customers.
Price Changes. Jubilee may change its subscription prices or plan features. Any price change will apply from your next renewal date after Jubilee has given you notice of the change, and you may cancel before that renewal date if you do not agree to it. Jubilee will give you at least thirty (30) days' notice of any price change.
Refunds. Subscription refunds are governed by Jubilee's subscription refund policy, which forms part of this Agreement. In summary: if you cancel a monthly plan during its 7-day free trial, you will not be charged; after the trial ends, monthly subscription fees are non-refundable; annual plans are non-refundable once paid; and Jubilee does not refund or prorate unused portions of a subscription period. For any issue with a Retailer Order, please contact support@jubilee.beauty.
Chargebacks. If you believe you have been charged in error, please contact support@jubilee.beauty before disputing the charge with your bank or card issuer. Jubilee may suspend the Service while a payment dispute is open.
4. Term and Termination
Term. This Agreement starts when the Retailer installs the Jubilee app or completes the Sign-Up Form, whichever happens first, and continues for as long as the Retailer has a Jubilee account (the "term"). Each paid subscription runs for the billing period of its plan (one month or one year) and renews automatically under Section 3 until it is canceled.
Eligibility. The Service is currently available only to Retailers based in the United States, and Products can only be shipped to End Customers in the United States.
Cancellation by the Retailer. You may cancel your subscription at any time through your account settings (Settings, then Cancel Membership). Cancellation stops the next automatic renewal; you will keep access to your paid plan until the end of the current billing period. Uninstalling the Jubilee app does not cancel your subscription.
Suspension or Termination by Jubilee. Jubilee may suspend or terminate the Retailer's access to the Service, in whole or in part, with or without notice, if: (a) any fees are overdue; (b) the Retailer breaches this Agreement, including the Use Guidelines and Restrictions in Section 2; (c) the Retailer's use of the Service creates a legal, security, or reputational risk for Jubilee, a Supplier, or other users; or (d) Jubilee is required to do so by law. Jubilee may also end the Service under "Service Changes by Jubilee" in Section 2.
Effect of Termination. When this Agreement or a subscription ends: (a) the Retailer's right to use the Service (or its paid features) ends; (b) all fees that have accrued remain payable; (c) Retailer Orders that were paid before termination will be passed to the Supplier for fulfilment, unless Jubilee terminated for the Retailer's breach; (d) Jubilee will not process any new Retailer Orders, so the Retailer is responsible for removing Products from its online store and for any orders its End Customers place after termination; and (e) except as stated in the refund policy, no fees are refunded.
Survival. The definitions in this Agreement and Sections 3 (for fees that have accrued), 4 (Effect of Termination and Survival), 5, 6, 7, 8 and 9 survive the end of this Agreement.
5. Warranties and Disclaimers
Retailer Warranties. The Retailer represents and warrants that: (a) it is a business and has the authority to enter into this Agreement; (b) it owns or has the necessary rights to all logos, brand names, images, text, and other materials it uploads to the Service or applies to Products ("Retailer Content"), and that Retailer Content does not infringe any third party's rights; (c) its online store, product listings, marketing, and any claims it makes about Products comply with all applicable laws, including consumer protection, advertising, and cosmetics labeling laws; and (d) it will comply with Shopify's terms and with all laws that apply to its business.
License to Retailer Content. The Retailer grants Jubilee and the Suppliers a non-exclusive, royalty-free license to use, reproduce, and display Retailer Content for the purpose of providing the Service, including printing the Retailer's logo on Products, packaging, and branded invoices and showing it in product previews.
Products. As set out in Section 2, Products are supplied by Suppliers, and the contract for each Retailer Order is between the Retailer and the Supplier. Any warranty for a Product is given by the Supplier, not by Jubilee. Product information, images, and estimated shipping times are provided by Suppliers, and Jubilee does not guarantee their accuracy.
Disclaimer. THE SERVICE AND THE JUBILEE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, JUBILEE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. JUBILEE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY PRODUCT WILL MEET THE RETAILER'S OR ITS END CUSTOMERS' REQUIREMENTS, OR THAT THE RETAILER WILL ACHIEVE ANY PARTICULAR SALES OR RESULTS.
6. Limitation of Liability
Excluded Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, JUBILEE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE SERVICE, OR ANY PRODUCT, EVEN IF JUBILEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Liability Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, JUBILEE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE FEES PAID BY THE RETAILER TO JUBILEE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Third Parties. Jubilee is not responsible for the acts or omissions of Suppliers, carriers, Shopify, payment processors, or other third parties, including delays, loss, or damage in shipping.
Application. These limitations apply to all claims, whether in contract, tort (including negligence), or otherwise, and apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of them may not apply to the Retailer.
7. Indemnification
Retailer Indemnity. The Retailer will defend, indemnify, and hold harmless Jubilee and its affiliates, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) the Retailer's online store, its sale of Products, and its dealings with End Customers; (b) Retailer Content, including any claim that it infringes a third party's rights; (c) any marketing or claims the Retailer makes about Products; (d) the Retailer's breach of this Agreement; or (e) the Retailer's violation of any law or third-party right.
Procedure. Jubilee will notify the Retailer of any claim for which it seeks indemnification and will reasonably cooperate in its defense at the Retailer's expense. The Retailer may not settle any claim in a way that imposes an obligation on Jubilee without Jubilee's prior written consent.
8. Governing Law and Dispute Resolution
Governing Law. This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to their conflict of laws rules.
Informal Resolution. Before starting any formal proceeding, the Retailer agrees to contact Jubilee at support@jubilee.beauty and to try in good faith to resolve the dispute informally for at least thirty (30) days.
Forum. Any dispute that is not resolved informally will be resolved exclusively by the courts located in Vancouver, British Columbia, and each party consents to that jurisdiction and venue.
9. General
Who Provides the Service. In this Agreement, "Jubilee", "we", and "us" mean 11573225 Canada Inc., 1700-1055 West Hastings Street, Vancouver, BC V6E 2E9.
Entire Agreement. This Agreement, together with Jubilee's Privacy Policy and subscription refund policy, is the entire agreement between the Retailer and Jubilee about the Service and replaces any earlier agreements or understandings about it.
Changes to These Terms. Jubilee may update these Terms from time to time. We will post the updated Terms in our help center and update the date they take effect, and we will notify the Retailer of material changes by email or in the app at least thirty (30) days before they take effect. Continuing to use the Service after the updated Terms take effect means the Retailer accepts them. If the Retailer does not agree, it should cancel its subscription and stop using the Service.
Assignment. The Retailer may not assign or transfer this Agreement without Jubilee's prior written consent. Jubilee may assign this Agreement in connection with a merger, acquisition, or sale of all or part of its business or assets.
Severability. If any provision of this Agreement is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
No Waiver. A failure or delay by Jubilee to enforce any provision of this Agreement is not a waiver of its right to do so later.
Force Majeure. Jubilee is not liable for any delay or failure to perform caused by events beyond its reasonable control, including carrier or Supplier delays, natural disasters, labor disputes, internet or utility failures, and government action.
Relationship of the Parties. The Retailer and Jubilee are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.
