We use a Legal Structuring Options Document (sometimes referred to as “LSOD”) as part of our support to our clients. Here’s what it is and how it helps you navigate the legal options for your legal structuring.

What is a Legal Structuring Options Document?

The LSOD is a document that contains 3 sections

A summary of your project and goals

The summary of the project details all the information provided by the client during the onboarding stage, including your business goals. Your goals might be preparing for fundraising, expanding into a new market, or forming an entity for a startup, for example.

Your legal options

The legal options provide a global outlook of all the possible routes for your business. At this stage, these are key assumptions, made by our internal team who have taken a look at both the regulation and compliance requirements pertaining to your business case. Once you’ve chosen your preferred options, we use our professional service providers based in the relevant jurisdictions to verify these assumptions.

Your legal roadmap (with time and cost estimates)

The legal roadmap sets out a course of action that your business will need to take for setting up your legal structures and ensuring you remain compliant. The legal roadmap usually includes time and cost estimates about each step to help you predict future budgets and understand the timeline of works better. Remember, all of this information is based on the assumptions made in the legal options section, and on the information provided about your business goals and circumstances. Your legal roadmap may change once your best legal option has been confirmed, or if your business goals and operations change.

Why use a Legal Structuring Options Document?

We’ve found that most clients come to us and either don’t know where to start, or are convinced they’ve got it all planned out, but haven’t had the opportunity to explore different routes across the globe.

Our LSOD allows you to see all your most practical options in one place, along with cost and time estimates, without spending a fortune consulting individual service providers in multiple different countries.

This document empowers you to truly understand your global options, along with practical insights on how much time and money will be required to bring your legal structures to life.

Who prepares your Legal Structuring Options Document?

Your Virtual Legal Officer prepares your LSOD with support from the Legal Nodes internal team. Your VLO will be very familiar with your document and will always refer to the document throughout your journey at Legal Nodes, and update it as required.

How fast is the Legal Structuring Options Document prepared after activating the Growth Plan?

Typically, we’ll be able to provide you with an LSOD within 2 to 4 weeks.

We use two sources to gather the required information for LSOD: our knowledge of global options and your business goals. We aim to conduct at least two Legal Discovery Sessions usually over a period of 1 to 4 weeks (depending on the volume of information and the complexity of the case).

We then assess all the business information you’ve provided and use our knowledge and our wider network of locally-based experts to build out your LSOD.
