Mobius Connective Technologies, Ltd. ("Mobius" or “We”) offers our existing users (“Participant” or “You”) the opportunity to participate in its colleague referral program (the “Program”). A person to whom a referral is made is referenced herein as a “Colleague.” Once a Colleague subscribes to the Mobius Conveyor service, the Colleague shall also be included in all references to Participant and/or You hereunder.

In our sole and absolute discretion, We reserve the right to: (1) determine the eligibility of any Participant with regard to participation in, or continuation in the Program. In doing so, we may disqualify a Participant for ineligibility or failure to comply with the Terms and Conditions (as defined below) or any applicable law or regulation at any time; (2) determine if a referral qualifies for a discount; (3) modify or amend at any time the Program or these Terms and Conditions and/or the methods through which discounts are earned and/or credited; or (3) discontinue the Program at any time.

By participating in the Program, You agree to be bound by the terms and conditions set forth herein (the “Terms and Conditions”). You also agree to use the Program only as specified in these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety, you are not authorized to register as a Participant

I. Eligible Participants

Any user of the Mobius Conveyor dictation solution is eligible to register as a Participant. Any attempted subscription by someone who is not a user of Mobius Conveyor shall be void. To be "Eligible," a Participant must be a legal resident of the United States. Participants may not participate in the Program where doing so would be prohibited by any applicable law or regulations. Minors (i.e. those under 18 years of age) are not eligible to participate in the Program.

II. Program Participation. Both Participants and Colleagues are eligible to obtain a discount once the Colleague becomes a subscriber of the Mobius Conveyor service.

A. Participant Registration - To participate in the Program, Participants should obtain a referral code to provide to their Colleague:

1. Go to “Settings” inside the Mobius Conveyor app.

2. Tap on “Refer a Colleague.”

3. You will be directed to your personal referral code (the “Referral Code”) inside a dashed box on the screen.

4. Your colleague should enter this code into the Mobius Conveyor app on their phone or tablet. The colleague may enter this code by typing it in, or scanning the QR code that appears when You tap “Show QR Code.”

5. Tap “Save.”

B. Colleague Registration - In order to be eligible a Colleague must be a legal resident of the United States of America and at be at least 18 years old. A Colleague may obtain credit for a referral by entering their referral code as follows:

1. Go to "Settings" inside Mobius Conveyor.

2. Tap on "Your Account."

3. Tap on "Have a referral code?"

4. Type the referral code on this screen. Alternatively, tap the camera icon and scan the QR code on your colleague's phone. They can show the code by tapping on "Show QR Code" from within the "Refer a Colleague" screen.

5. Tap "Save."

After following the above steps and once the eligible Colleague becomes a paying subscriber to the Mobius Conveyor service, both the Participant and the Colleague will receive an email containing a coupon code (“Reward”) which may be used to obtain the subscription discount for Mobius Conveyor. Participants and Colleagues may make further referrals for additional discounts which reduce the Colleague’s or Participant’s subscription fees, but in no event shall a Participant’s or Colleague’s subscription fees be reduced below $0.00, nor shall they result in any refund or cash reward to Participant or Colleague.

C. Verification. Rewards are subject to verification of the eligibility of the Participant and/or of the Colleague. Mobius may delay a Reward for the purposes of investigation. Mobius may also refuse to verify and process any transaction Mobius deems, in its sole discretion, to be fraudulent, suspicious, in violation of these Terms and Conditions, or believes will impose potential liability on Mobius, its subsidiaries, affiliates or any of their respective officers, directors, employees, representatives and agents. All of Mobius's decisions are final and binding, including decisions as to whether a Qualified Referral, or Reward is verified.

D. Transfer and Value of Credit and Rewards. Rewards do not have any monetary value and may not be redeemed for cash. Rewards are not transferable by any means. Upon termination of the referral program or any portion thereof for any reason, any unredeemed Rewards that have not yet been delivered to Participant are forfeited.

III. Privacy.

Participants and Colleagues must necessarily submit personal identifying information about themselves, such as name and e-mail address information, so that Mobius can send communications to the Participants and Colleagues. The personal information will be collected, processed and used in accordance with Mobius’s Privacy Statement, which can be found at https://www.iubenda.com/privacy-policy/178140. Participants understand that, in addition to the initial communications to Colleagues, Mobius may also use the personal information to send to Colleagues additional follow-up communications on behalf of the Participants in order to encourage or remind the Colleagues to complete a subscription agreement. The personal information may also be used by Mobius to contact Participants with regards to their participation in the Program and to send to Participants additional communications from Mobius.

III. Content Ownership and Use.

A. Mobius Owned Content. Mobius owns all designs, text, graphics, images, video, information, logos, button icons, software, audio files, computer code, and other content (collectively the “Content”) contained on the Mobius.md website, the Mobius Conveyor App, the Mobius Clinic App, or any other app or website developed or to-be-developed by Mobius in the future (collectively the "Platforms"). Participant understands and agrees that all Content is the property of Mobius (or is validly licensed to Mobius) and is protected under copyright, trademark, and other laws. The arrangement and composition of all Content on the Platforms the exclusive property of Mobius and is protected by copyright, trademark, and other laws.

B. License to You. Mobius authorizes you, subject to these terms, to access and use Mobius’s Platforms, the Program, and the Content solely for your personal, noncommercial use. This license is revocable at any time without notice and with or without cause. Unauthorized use of the Platforms or the Content may violate copyright, trademark, and applicable communications regulations and statutes and is strictly prohibited. In any allowable use of the Platforms or the Content, You must preserve all copyright, trademarks, service marks, and other proprietary notices contained in the original Content on any copy you make of it.

C. Trademarks. The registered or unregistered logos, product and service names contained in the Platforms are or may be trademarks of Mobius or its licensors (the "Marks"). Except in your use of the Platforms in your ordinary course of business you agree not to display or use in any manner the Marks.

IV. Liability.

A. By participating in the Program, Participant agrees to:

1. Strictly comply with these Terms and Conditions, the decisions of Mobius and its designees, and the Privacy Policy of Mobius;

2. Indemnify, defend, hold harmless, and release Mobius (including its affiliates, parents, subsidiaries and its and their respective employees, directors, officers, managers, members, employees, licensees, licensors, shareholders, attorneys and agents) and any person or entity associated with the production, operation or administration of the Program (collectively, the "Released Parties"), of and from any and all claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to your participation in the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s), and/or the awarding, receipt, and/or use or misuse of the Program or any Reward).

B. Except where directly and solely caused by Mobius as a result of Mobius’s intentional or grossly negligent act or omission, Mobius shall not be liable for:

1. Late, lost, delayed, stolen, misdirected, incomplete, unreadable, inaccurate, unreliable, garbled, erroneous, or unintelligible transmissions, data, or communications, regardless of the method of transmission;

2. Problems with Internet services, telephone systems, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, or delays in communications;

3. Data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials;

4. Any printing, typographical, administrative or technological errors in any websites or materials associated with the Program;

5. Claims, demands, and damages in disputes among Participants or between Participants and Colleagues; or

6. Any other injuries, losses or damages of any kind resulting from acceptance, possession or use of a Reward, or from participation in the Program, that were not reasonably foreseeable to Mobius at the relevant time.

C. Mobius disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Program, and reserves the right, in its sole discretion, to cancel, modify or suspend the Program should a virus, trojan horse, bug, or any other computer problem, unauthorized intervention or other cause beyond Mobius’s control corrupt the administration, security or proper operation of the Program.

D. Mobius shall not be liable to any Participant for failure to supply any Reward or any part thereof, by reason of any force majeure, including but not limited to: any action, regulation, order or request by any governmental or quasigovernmental entity (whether or not the action, regulations, order or request proves to be invalid); any equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, pandemic, quarantine, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slowdown, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond any of Mobius's control.

E. Mobius reserves the right to cancel or suspend the Program should Mobius determine, in its sole discretion, that the administration, security or fairness of the Program has been compromised in any way.

F. DISCLAIMER OF WARRANTIES. YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

1. YOUR USE OF THE PROGRAM IS AT YOUR SOLE RISK; THE PROGRAM IS PROVIDED ON AN "AS IS," “WHERE IS,” AND "AS AVAILABLE" BASIS AND MOBIUS EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT;

2. MOBIUS MAKES AND GIVES NO WARRANTY THAT (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, (ii) THE RESULTS OBTAINED FROM THE USE OF THE PROGRAM WILL BE ACCURATE OR RELIABLE, (iii) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (iv) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; AND

3. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.

G. LIMITATION OF LIABILITY AND INDEMNIFICATION.

YOUS EXPRESSLY UNDERSTAND AND AGREE THAT MOBIUS AND ANY OF ITS VENDORS AND SERVICE PROVIDERS ASSOCIATED WITH OR ASSISTING IN PROVIDING THE PROGRAM, SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF MOBIUS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE PROGRAM; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH, FROM, OR AS A RESULT OF THE PROGRAM; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE PROGRAM; OR (v) ANY OTHER MATTER RELATING TO THE PROGRAM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS IN THIS PARAGRAPH MAY NOT APPLY TO YOU.

TO THE FULLEST EXTENT POSSIBLE BY LAW, MOBIUS (INCLUDING ANY VENDORS AND SERVICE PROVIDERS) MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), SHALL NOT EXCEED $100 USD.

PARTICIPANTS SHOULD USE THE PROGRAM AT THEIR OWN RISK.

V. Conduct.

A. Prohibited Conduct. Participant agrees not to use the Program to:

1. Violate applicable law;

2. Infringe the intellectual property rights of Mobius or any third parties;

3. Stalk, harass, or harm another individual;

4. Collect or store personal data about other Participants or any Colleague;

5. Impersonate any person or otherwise misrepresent Participant's or a Colleague’s identity;

6. Interfere with, disrupt or violate the Terms and Conditions or servers or networks connected to the Program or any Mobius App or service; or disobey any requirements, procedures, policies, or regulations of such networks;

7. Interfere with another Participant's use of the Program;

8. Attempt to obtain multiple discounts by using the Program in a way for which it is not intended.

9. Transmit any file that contains viruses, worms, trojan horses, or any other contaminating or destructive features;

10. Conduct any illegal activity or solicit the performance of any illegal activity or other activity that infringes the rights of others;

11. Resell, barter, trade, auction or otherwise generate income by providing access to the Program to others.

C. Prohibition Against Bulk Distribution ("Spam"). Referral Codes are single use only. If a Participant provides a Referral Code to a Colleague by email, the email must be created and distributed in a personal manner to a single email address. Attempted redemption of a Referral Code by multiple Colleagues may result in the forfeiture of any Reward to both the Participant and the Colleague. Bulk referrals, distribution to strangers, or any other promotion of a Program in a manner that would constitute or appear to constitute unsolicited commercial email or "spam" in Mobius’s sole discretion is expressly prohibited and may be grounds for immediate termination of the Participant's participation in the Program. Mobius has no obligation to monitor referrals by Participants; however, Mobius may choose to do so and block any wrongfully used or obtained Referral Codes and/ or prohibit any use of the Program by anyone who violates the Terms and Conditions of the Program. Participants who do not comply with the law, including antispam laws, are obligated to indemnify Mobius and all of the Released Parties against any liabilities, costs and expenses incurred as a results of such violation.

D. Fraudulent and Suspicious Behavior. Mobius may prohibit a Participant from participating in the Program or receiving a Reward, in Mobius’s sole discretion, if Mobius determines that such Participant is attempting to undermine the fairness, integrity or legitimate operation of the Program in any way by cheating, hacking, deception, or any other unfair practices of intending to annoy, abuse, threaten or harass any Colleagues, other Participants, or any representatives of Mobius. Use of any bot, automated system, script, or macro to participate is strictly prohibited and will result in disqualification from any Reward or further use of the Program. Participants may not multiple or fake emails addresses or accounts, use fictitious identities or use any system, bot or other device or artifice to participate in the Program or receive a Reward.

Mobius reserves the right to disqualify any Participant and/or cancel any Reward(s) if Mobius finds a Participant to be tampering with the entry process or the operation of the Program or violating these Terms and Conditions in any way.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE PROGRAM. SHOULD SUCH AN ATTEMPT BE MADE, Mobius RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

VII. Miscellaneous Provisions.

A. Any and all disputes, claims and causes of action arising out of or related to the Program or any Reward or to this agreement shall be resolved under Texas law (without reference to its conflicts of laws principles). Venue for any mediation or suit shall be in the federal or state district courts in Bexar County, Texas

B. Participants and Mobius agree to submit any dispute to pre-suit, non-binding mediation prior to filing suit. Failure of a party to respond to a request for mediation for thirty (30) days shall constitute a breach of these Terms and Conditions and allow for the immediate filing of a suit.

C. These terms constitute the entire agreement between You and Mobius concerning your use of the Program. The failure of Mobius to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision. If any provision of these terms is found by a court of competent jurisdiction to be invalid, Mobius and Participant nevertheless agree that the court should endeavor to give effect to the intentions reflected in the provision, and that the other provisions of these terms shall remain in full force and effect. The section titles in these terms are for convenience only and have no legal or contractual effect. Except as expressly set forth herein, there are no intended third-party beneficiaries to these Terms and Conditions.
