How do I add Convertible notes and SAFE to Orchestra?

Many companies use hybrid debt instruments such as convertible notes, SAFE and shareholder loans, prior to creating standard shareholdings on a share register.

Using the 'Convertibles' tool, companies can create a user that only holds hybrid equity, or potentially no equity at all. We call these investors 'Associates' and they can log into the investor portal of Orchestra and see their positions, as well as other investor information.

How it works

You will be able to add a new holding in 'Convertibles' via your left side menu, allowing you to grant access to new people who aren't shareholders or owners / service providers / administrators, or to allocate a convertible note, SAFE or shareholder loan to an existing shareholder.

The Associate name can be selected from your list of current shareholders or you can create a new Associate.

You have a choice of Associate types:

  • Convertible notes

  • Shareholder loan

  • SAFE

  • Potential investor

  • Other

If the Associate is new to Orchestra then we will send them an email invitation to get started. Existing users of Orchestra are not notified by email and will be able to see their holding when they login to their investor portal on Orchestra.

Please note: Associates are counted as 'investors' for charging.
