Creating new shareholders or stakeholders

Orchestra makes it easy for company administrators to add new shareholders or stakeholders. Follow the below steps for detailed instructions on how to complete this for each kind of holding on the platform.

How do I create a new shareholder?

A new Shareholder can be created by following the below steps:

  1. Log into Orchestra

  2. On the bottom of the 'Select entity' page, under the 'Manage Orchestra Companies' section, select the company you wish to add a new shareholder for.

  3. On the left hand menu, select 'Share register' and then 'Transfer/share issue'

  4. Select the most appropriate of 'Create a new share issue' or 'Create a transfer'

  5. In the 'Identify parties involved' section click on the blue ' + Create new shareholder' button.

  6. A window will pop up where you can enter the new Shareholder details. Once the details have been entered, scroll down to the bottom of the pop up window and click save.
    Note: In order for the new shareholder to be created, shares will need to be issued to them immediately.

How do I create a new option holder?

A new option holder can be created by following the below steps:

  1. Log into Orchestra

  2. On the bottom of the 'Select entity' page, under the 'Manage Orchestra Companies' section, select the company you wish to add a new shareholder for.

  3. On the left hand menu, select 'ESOP and share plans'

  4. Click the blue 'Manage pool' button on the ESOP pool you wish to add the option holder to.

  5. Select the 'Create a new grant' button - this will open a pop up window.

  6. Under the Option holder section click the '+create new option holder' button.

  7. A window will pop up where you can enter the new Option holder details. Once the details have been entered, scroll down to the bottom of the pop up window and click save.
    Note: In order for the new option holder to be created, an option grant will need to be issued to them immediately.


How do I create a new loan holder?

A new loan holder can be created by following the below steps:

  1. Log into Orchestra

  2. On the bottom of the 'Select entity' page, under the 'Manage Orchestra Companies' section, select the company you wish to add a new shareholder for.

  3. On the left hand menu, select 'ESOP and share plans' then 'Employee loans'

  4. In the top right, click on the '+ issue a new loan' button.

  5. In the 'Identify parties involved' section click on the blue ' + Create new loan holder' button.

  6. A window will pop up where you can enter the new Loan holder details. Once the details have been entered, scroll down to the bottom of the pop up window and click save.
    Note: In order for the new loan holder to be created, the loan will need to be issued to them immediately.

How do I create a new associate?

A new associate can be created by following the below steps:

  1. Log into Orchestra

  2. On the bottom of the 'Select entity' page, under the 'Manage Orchestra Companies' section, select the company you wish to add a new shareholder for.

  3. On the left hand menu, select 'Convertibles'

  4. In the top right, click on the '+ Add new associate' button.

  5. In the 'Associate' section click on the blue ' + Create new associate' button.

  6. A window will pop up where you can enter the new associate details. Once the details have been entered, scroll down to the bottom of the pop up window and click save.
    Note: In order for the new associate to be created, the associate holding will need to be issued to them immediately.

What stakeholder types are supported on the platform?

The below stakeholder types are currently supported on the Orchestra Platform:

  • Individual

  • Partnership

  • Trust

  • Nominee company

  • Incorporated society

  • Company

  • Limited partnership

  • Joint

  • SMSF

Do new stakeholders get notified of their new holdings on the platform?

New stakeholders get notified depending on the type of holding they have been allocated. See below for details of how each new holding is notified:

  • Shareholders and Associates: When new Shareholders and Associates are created, and do not exist as Orchestra users, Orchestra will send them a welcome email inviting them to sign up and claim their account.

  • Option holders: Option holders are not automatically notified that they have a new holding. New Option holders can be notified once their option grant has been created by clicking on the blue 'Invite [First name - Last name]' button at the top right of a grant.

  • Loan holders: New loan holders are notified of their new holding on the platform when the blue 'issue loan' button is selected at loan creation.

Note: Welcome emails are only sent once a company has been set to a 'live' status. This allows company administrators to continue to make amendments while in 'draft' mode without triggering notifications and to allow a coordinated communication strategy with investors.

How do I know if my stakeholder has signed up to Orchestra?

You can tell if your stakeholder has signed up to the Orchestra platform by checking a small icon next to the stakeholder name in the shareholder table on the company administration part of the site.

A stakeholder's name that has grey person with a cross next to it indicates that a user is not signed up to Orchestra.

All shareholder communications will be sent to the email address listed against this entity unless the user has opted out of future communications.

A stakeholder's name that has green person with a tick next to it indicates that a user is signed up to Orchestra.

All shareholder communications will be sent to any user accounts attached to this entity.

Optional email addresses for stakeholders

When creating a new stakeholder on the Orchestra platform, you are able to leave the stakeholder email address blank. This means that no email communications will be sent to this holding. Email addresses can be added at any time in the future.
