This AI Services Addendum (this “Addendum”) supplements and forms part of the Pixlmob & PropMedia’s Terms of Service (the “Terms of Service”) between Pixlmob, Inc., a Delaware corporation (“Pixlmob,” “we,” or “us”), and you (“you” or “User”). It applies to your use of the AI Services described below. No separate signature or activation is required: by ordering, accessing, or using any AI Service, you accept this Addendum. Capitalized terms not defined here have the meanings given in the Terms of Service. If this Addendum conflicts with the Terms of Service on a matter relating to the AI Services, this Addendum controls.

1.1 “AI Services” means the Pixlmob-operated features that use artificial intelligence or machine learning to process, edit, or generate images or video, including (a) Pixlmob AI HDR, (b) Pixlmob AI Clips, and (c) the AI-powered effects available on Pixlmob and PropMedia (“AI Effects”), in each case as summarized in Schedule A and as updated by Pixlmob from time to time. AI Services do not include editing work performed by Sellers on the marketplace.

1.2 “AI Model” means any machine-learning model or artificial intelligence system used to provide the AI Services, whether owned or controlled by Pixlmob or provided by a third party.

1.3 “AI Vendor” means a third party that provides, hosts, or operates an AI Model or related processing for Pixlmob.

1.4 “Input” means the photographs, video, images, files, selections, instructions, and other materials you submit to or through the AI Services.

1.5 “Output” means the images, video clips, and other content generated or modified by the AI Services from your Inputs.

1.6 “AI Order” means your request to apply an AI Service to one or more Inputs.

2.1 This Addendum applies to AI Services provided by Pixlmob. It does not apply to editing or other services performed by Sellers, which remain governed by the Terms of Service, including the “Use of AI Editing Tools” provisions.

2.2 Where an Order combines AI processing with review by a Seller or Pixlmob personnel (for example, an AI + Human option), this Addendum governs the AI processing and the Terms of Service govern the human review.

2.3 Schedule A contains additional terms for each AI Service. If Schedule A conflicts with the numbered sections of this Addendum for a particular AI Service, Schedule A controls for that service.

Subject to the Terms of Service, this Addendum, and payment of applicable fees, Pixlmob grants you a limited, revocable, non-exclusive, non-transferable right to use the AI Services for your own real estate listing and marketing purposes. This right is a sublicense of technology that Pixlmob licenses from AI Vendors, and your use is subject to the restrictions in this Addendum, which Pixlmob requires in order to offer the AI Services. You may not resell, white-label, or make the AI Services available to third parties as a stand-alone service.

4.1 Processing. Pixlmob processes Inputs, and may send them to one or more AI Vendors, only as needed to generate Outputs for your AI Orders and to operate, secure, and support the AI Services. Pixlmob chooses the AI Models and AI Vendors used for each AI Service and may change them. On written request to Customer Support, Pixlmob will identify the material AI Vendors that process your Inputs.

4.2 AI Vendors. As of the effective date of this Addendum, the AI Models used in the AI Services are provided by AI Vendors and were not developed by Pixlmob. Pixlmob may in the future develop or operate its own AI Models. AI Vendors handle Inputs and Outputs under their own commercial terms and policies. Depending on the AI Vendor, those terms may allow the vendor to retain Inputs and Outputs for a limited time, or to use them to operate, secure, and improve its own services. Pixlmob does not control the systems of AI Vendors.

4.3 Your license to Pixlmob. You grant Pixlmob a worldwide, non-exclusive, royalty-free license to host, reproduce, process, and use Inputs and Outputs to provide, maintain, secure, and support the Services and to improve the Services, including to develop, train, and improve any AI Models that Pixlmob may own or operate now or in the future, in each case consistent with the Pixlmob Privacy Policy. Pixlmob will use reasonable efforts to exclude information that identifies individuals from data used to train AI Models. Pixlmob will not publicly display your Inputs or Outputs, or identify you as their source, for marketing purposes without your permission.

4.4 Logs and retention. Pixlmob may keep logs of AI Orders, Inputs, Outputs, and related technical data for security, abuse prevention, billing, support, and reliability. Inputs and Outputs stored in Pixlmob Storage are retained as described in the Terms of Service and the Pixlmob Privacy Policy.

4.5 Security. Pixlmob applies security measures to the AI Services that are no less protective than those it applies to other User content on the Site.

4.6 Location of processing. AI Vendors may process Inputs and Outputs in the United States and in other countries.

5.1 As between you and Pixlmob, you retain ownership of your Inputs.

5.2 Subject to payment of applicable fees and your compliance with the Terms of Service and this Addendum, Pixlmob assigns to you whatever right, title, and interest it has in the Outputs. This is consistent with the ownership provisions of the Terms of Service.

5.3 Pixlmob and its licensors retain all rights in the AI Services, AI Models, software, and underlying technology. Nothing in this Addendum transfers ownership of any of them.

5.4 AI Services may generate similar or identical Outputs for other Users. Pixlmob does not represent that any Output is unique, is protected by copyright, or is free of third-party rights.

6.1 Rights and consents. You represent and warrant that you own or have all rights, licenses (including any license from the photographer or creator of the Input, covering both use of the Input and the right to edit it and create new versions), permissions, and consents needed to submit your Inputs, to have them processed by the AI Services and AI Vendors, and to grant the license in Section 4.3, and that your Inputs and your use of Outputs will not violate any law or any third party’s rights.

6.2 Personal information. Do not submit Inputs that contain identifiable people or other personal information unless you have the right to do so and have given any notices and obtained any consents that applicable law requires. Pixlmob may reject Inputs that do not meet the requirements for an AI Service.

6.3 Review of Outputs. Outputs may contain errors, distortions, or details that do not match the actual property. You are solely responsible for reviewing every Output before you publish, share, or rely on it, including checking that it accurately represents the property.

6.4 Disclosure and authenticity. You are solely responsible for complying with all laws (including California AB 723 and similar laws), MLS rules, brokerage policies, and platform rules that require disclosure of AI-generated, virtually staged, or digitally altered media. Where Pixlmob applies a label, badge, watermark, or provenance information to an Output (including a PropMedia Disclosure), you may not remove or obscure it where disclosure is required. Pixlmob’s disclosure tools are optional, are provided for convenience only, and do not guarantee compliance. See also “Disclosure of Digitally Altered Images” in the Terms of Service.

6.5 Information requests. On reasonable request, you will provide information that Pixlmob needs to verify your compliance with this Addendum or to respond to a regulator, an MLS, or an AI Vendor.

In addition to the conduct prohibited by the Terms of Service, you may not use the AI Services to:

(a) create, alter, or present an Output that misrepresents a property’s condition or material features, including by removing or concealing defects, damage, or hazards, or by altering structures, size, lot lines, views, or surroundings, in a way that could mislead a buyer, renter, or other viewer;

(b) process images or video that you do not have the right to use, including another party’s listing media without authorization;

(c) generate content that is unlawful, harmful, deceptive, defamatory, infringing, sexually explicit, or in violation of fair housing laws;

(d) develop, train, benchmark, or improve any competing AI model or service using the AI Services or Outputs, or attempt to extract, reverse engineer, or discover any AI Model, prompt, or parameter;

(e) bypass or interfere with usage limits, filters, or safeguards, or use bots or scripts to submit AI Orders except through integrations that Pixlmob approves;

(f) resell, sublicense, or provide the AI Services to third parties as a stand-alone service;

(g) present an Output as an unedited photograph or video where disclosure is required; or

(h) violate any use restriction of an AI Vendor that Pixlmob communicates to you.

Violations are subject to the Violations & Enforcement provisions of the Terms of Service. Pixlmob may reject or remove Inputs and Outputs and suspend access to the AI Services, without refund or credit, for any violation.

8.1 Fees. Fees for the AI Services are shown on the Site when you place an AI Order or in your account, and may change over time. The fee in effect when you place an AI Order applies to that AI Order. See also the Payment Terms.

8.2 Delivery. Delivery times shown for the AI Services are estimates only. Actual times depend on volume, the AI Model selected, and AI Vendor availability.

8.3 Support and credits. AI Orders are processed automatically and are not subject to the Seller revision or dispute process. If you have a concern about an Output, contact Pixlmob Customer Support, which reviews each request individually. If an Output cannot be generated, you will not be charged for it. Where Pixlmob approves a resolution, it may re-process the AI Order or add a credit to your Pixlmob balance. Credits are issued only to your Pixlmob balance; Pixlmob does not refund AI Orders to your original form of payment. Balance reloads and subscription charges remain subject to “Account Balances, Inactivity & Refunds” in the Terms of Service.

9.1 Some AI Services, including Pixlmob AI Clips as of the effective date of this Addendum, are offered in beta. Beta features may be incomplete, may change, and may be withdrawn at any time.

9.2 Pixlmob may modify, suspend, or discontinue any AI Service or feature, and may add, remove, or change AI Models and AI Vendors, at any time, including when an AI Vendor changes or retires a model. Outputs may differ between AI Models and between versions of an AI Model, and Pixlmob does not guarantee consistent results. Pixlmob will use reasonable efforts to notify you of material changes.

10.1 Outputs may be inaccurate, incomplete, inconsistent, or unexpected. Examples include visual artifacts, distorted or invented details, unrealistic lighting or color, and changes to elements of an image that you did not intend to change.

10.2 The AI Services and Outputs are provided “as is” and “as available.” Pixlmob disclaims all warranties regarding the accuracy, quality, consistency, availability, and fitness of the AI Services and Outputs, and does not guarantee that any Output will satisfy MLS standards, brokerage rules, or legal requirements, or that any Output will help you list or sell a property.

10.3 Pixlmob does not control the AI Models of AI Vendors and is not responsible for their performance, availability, or changes. AI Vendors are not parties to this Addendum and are not third-party beneficiaries of it.

10.4 These disclaimers supplement the Disclaimer of Warranties in the Terms of Service.

11.1 Limitation of liability. The Limitation on Liability in the Terms of Service applies to the AI Services. Without limiting it, Pixlmob is not liable for damages arising from inaccurate or misleading Outputs, your publication of or reliance on Outputs, actions by an MLS, brokerage, or regulator, acts or omissions of AI Vendors, or changes to or discontinuation of any AI Service. To the extent permitted by law, any damages or loss relating to an AI Service are limited to the amount you paid for the AI Order that gave rise to the claim.

11.2 No indemnity for Outputs. Pixlmob does not indemnify you against any claim arising from Inputs or Outputs, including claims of intellectual property infringement.

11.3 Your indemnity. You will defend, indemnify, and hold harmless Pixlmob, its Affiliates, and their licensors and service providers from claims, damages, and costs arising from your Inputs, your use, publication, or disclosure (or failure to disclose) of Outputs, or your breach of this Addendum. This is in addition to your obligations under the Terms of Service.

This Addendum takes effect with the Terms of Service and continues for as long as you use the AI Services. You may stop at any time by ceasing to submit AI Orders. Pixlmob may suspend or end your access to the AI Services for violation of this Addendum or the Terms of Service. Sections 4.3, 5, 6, 7, 10, 11, and 14 survive any termination.

Pixlmob may update this Addendum as provided in the Terms of Service for policy updates. The updated Addendum will show a new effective date, and your continued use of the AI Services on or after that date constitutes your acceptance of it.

14.1 Governing law. This Addendum is governed by the governing law and venue provisions of the Terms of Service.

14.2 Entire agreement. This Addendum, the Terms of Service, the Payment Terms, and the Pixlmob Privacy Policy are the entire agreement between you and Pixlmob regarding the AI Services.

14.3 Severability and waiver. If any provision of this Addendum is held unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver of it.

14.4 Contact. Questions about this Addendum may be sent to Pixlmob Customer Support through the chat feature on the Site.

This Schedule summarizes the AI Services available on the effective date of this Addendum. Features and AI Models may change as described in Section 9.

AI Orders placed through the PropMedia site are subject to the same Terms of Service and this Addendum, and references to the “Site” and the “Services” include the PropMedia site.
