Pixlmob Payment Terms

The following terms (“Payment Terms”) govern payments you make or receive through www.app.pixlmob.com (the “Services”), operated by Pixlmob, Inc. (25 Goldsmith Street, Greenville, SC 29609) and its subsidiaries, including PropMedia, as applicable. Pixlmob and its subsidiaries are collectively referred to herein as "Pixlmob" "we" or "us." Users of the Services, including Buyers and Sellers, are collectively referred to herein as “youˮ "their" or “user.ˮ

Please read these Payment Terms carefully before making or receiving payments through the Services. By making or receiving payments for the Services, you accept and agree, on behalf of yourself or your employer, or any other associated entity (if applicable), to be bound and abide by these Payment Terms. These Terms are supplemental to Pixlmob’s General Terms of Service, as applicable (collectively, the “Terms of Service”).

Capitalized terms used but not defined herein shall have the respective meanings given to them in the Terms of Service.

Pixlmob Balance is the aggregated amount of your Revenue as a Seller OR the amount of funds you have available in your account to purchase Services as a Buyer, including refunded payments from disputed/canceled orders as a Buyer (as defined in the Pixlmob Terms of Service).

Payment Services Provider(s) are service providers that provide payment services to Buyers and Sellers in connection with the Pixlmob platform, including with respect to collection of funds from Buyers in connection with purchases, remittance and withdrawal of funds to Sellers, and the holding of funds in connection with Pixlmob Balances.

Revenue is the money that Sellers earn from completed orders and can request to be paid, subject to these Payment Terms and the Pixlmob Terms of Service.

Currency and Fees

All prices and fees for the Services are listed in USD.

Payment Collection and Disbursement

Payment is collected from Buyers at the time an order for Services is placed. Funds are held by Pixlmob and credited to the Seller's Pixlmob Balance within one business day after order status is "Approved" and "Completed." Refer to the "Orders” section in the Terms of Service for the definition of a Completed Order.

For AI HDR orders only, Buyers have the option to place an order without advance payment, and may pay for finished files at the time of download.

​Buyer's Pixlmob Balance

All purchases on the Site are initiated from the Buyer's Pixlmob balance. Any valid Pixlmob Balance will be automatically applied to Buyer's next purchase. Buyer's Available Balance can be viewed in the navigation panel of Buyer's Pixlmob account. In certain instances, Pixlmob may elect to add funds to a Buyer's Pixlmob Balance for promotional purposes or otherwise, to be used to purchase Services offered on the Site. Any funds gifted to a Buyer by Pixlmob serve only as an incentive to purchase Services, and have no cash value, are not redeemable for cash, and are non-refundable.

​Buyer Service Fees

When a Buyer initiates an order for Services on the Site, a Service Fee will be applied to Buyer's order total. The Service Fee rate is determined by the payment method you used to fund your Pixlmob Balance. There are no fees charged at the time of Balance funding.

Buyer's Service Fees are waived with an active recurring Balance Auto-Reload of $500 USD or more per month.

ASAP Orders incur additional fees:

Buyer's ASAP Project Fees are waived with an active recurring Balance Auto-Reload of $250 USD or more per month.

​Refunds and Disputes

Refunds arising from order disputes are credited back to the Buyer's Pixlmob Balance. Balance reloads and subscriptions are non-refundable. In very limited circumstances, we may elect to approve a Buyer's request for a refund to the original form of payment. Such requests are subject to administrative approval, and a 20% Refund Exception Fee will be applied to the refunded amount. Revenue Sharing

Revenue from each successfully completed order will be credited to the Seller's Pixlmob Balance as Revenue. Sellers on Pixlmob receive 80% of order revenue. Pixlmob retains the remaining 20% of order revenue.

Appointment as Limited Payment Collection Agent

Seller hereby appoints Pixlmob as Seller’s limited authorized payment collection agent solely for the purpose of accepting payments (via its Payment Services Provider, if applicable) from Buyer, and remitting those payments to Seller. Seller agrees that payment from Buyer to Pixlmob shall be considered the same as if made directly to Seller. Buyer’s payment obligation to Seller will be satisfied upon receipt of payment by Pixlmob (or its Payment Services Provider, as applicable), and Pixlmob (via its Payment Services Provider, as applicable) is responsible for remitting the funds to the Seller in the manner described in these Payment Terms. In the event that Pixlmob (via Payment Services Provider) does not remit any such amounts to Seller, the Seller will have recourse only against Pixlmob and not the Buyer directly. Seller agrees that Pixlmob may describe or otherwise reflect the terms contained herein in any terms of service, receipts, disclosures, or notices including, but not limited to, receipts provided to Buyers that Pixlmob may deem necessary or prudent.

Pixlmob partners with Payment Services Providers for purposes of collecting payments from Buyers, transferring such payments from Buyers to Sellers, and holding funds in connection with Pixlmob Balances. All payments services in connection with the payout of funds on the Pixlmob platform are performed by Pixlmob’s Payment Services Providers.

To receive a payout, Sellers must have an active account with Pixlmob’s Payment Service Provider, which must be initiated before a Buyer may offer Services on the Site.

To transfer funds from your Pixlmob Balance to your bank account, Sellers must initiate a Payout from their Pixlmob account to the Payment Services Provider. To pay out available revenue, Sellers must click on the “Payout Funds” button within the Seller's Pixlmob dashboard.

Revenue payments for completed orders are available in the Seller's Pixlmob balance after an order's status has been marked "Completed" and payment has been transferred to Seller (generally 1 business day after order completion).

Pixlmob may temporarily disable a Seller’s ability to payout revenue to prevent fraudulent or illicit activity. This may be the result of security concerns, terms of service violations, improper behavior reported by Users, or the use of multiple Pixlmob accounts by a Seller.

All funds eligible for payout will be held on your behalf in an account with Pixlmob’s Payment Services Provider. All payment services, including payout services, will be provided by Pixlmob’s Payment Services Provider.

Pixlmob does not control the timing of payout transfers from the Payment Services Provider to the Seller's bank account.

A Seller's Pixlmob profile can only be associated with one account in the Payment Service Provider's connected accounts.

Sellers are responsible for paying any direct or indirect taxes, including any GST, VAT or income tax, which may apply depending on Seller's residency, location or otherwise, under provisions of their jurisdiction. Sellers represent and warrant that they comply, and will comply at all times, with their obligations under income tax provisions in their jurisdiction.

Payment Processing and Payout Methods

All transactions are processed through Stripe and/or its affiliates. Sellers from most countries may utilize Stripe for payouts through Pixlmob's Stripe Connect account.

Interchange and transaction fees may be paid by us or you. All taxes and transaction tracking for Sellers are managed in Stripe. Sellers can view their earnings in their Stripe dashboard, which is accessible from the navigation panel of their account.

Modifications

Pixlmob may make changes to these Payment Terms from time to time. When these changes are made, Pixlmob will make a new copy of the terms available on this page. You understand and agree that if you use Pixlmob after the date on which the Payment Terms have changed, Pixlmob will treat your use as acceptance of the updated Payment Terms.

Disclaimer of Warranties

YOUR USE OF THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PIXLMOB NOR ANY PERSON ASSOCIATED WITH PIXLMOB MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE SITE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

IN NO EVENT WILL PIXLMOB, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

IN ACCEPTING LIABILITY AS THE LIMITED AUTHORIZED PAYMENT COLLECTION AGENT OF SellerS, PIXLMOB AND ITS AFFILIATES ASSUME NO LIABILITY FOR ANY ACTS OR OMISSIONS OF Seller.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

The term “Affiliate” referred to herein, is an entity that, directly or indirectly, controls, or is under the control of, or is under common control with Pixlmob, where control means having more than fifty percent (50%) voting stock or other ownership interest or the majority of voting rights of such entity.
