Get insights into SD's newest AI tool to help you gain insights from your agreements

Overview

'SD Chat' is Street Diligence's own LLM (Large Language Model), which enables users to ask natural language queries against your agreements and harnesses the power of generative AI to generate responses. The answers are enriched with the thousands of data points that Street Diligence has tracked for a decade, allowing us to point you to the section(s) of the document that support our answers.

How to access SD chat

There are many ways to access SD chat:

  • You can ask questions in the deal manager. Simply click on Ask SD Chat on the Deal’s Page.

  • You can ask questions on the document page by clicking on Ask SD Chat on the Document page.

  • Use the Chat Icon on the left-hand side of the screen. You will get to the SD Chat dashboard containing the question templates.

Templates

To assist you, we have built some suggested templates to serve as examples of “good questions”.

“Extract” helps you narrow down terms and values from the document. As an example, you may ask, “What is the revolver size?” and the AI would be able to find that information quickly within the document and trace it to the underlying language.

Calculate serves to calculate the value of tests and provisions based on financial performance metrics. You may use this to calculate the total leverage ratio, for example, suppose that as of the end of the last fiscal year, the borrower’s total leverage ratio is 4.36x. The borrower generated $27 million of excess cash flow last year. How much money must be paid to the lenders via the excess cash flow sweep provision?

Identify serves to question the existence of a term within the document, for example, does this document contain ESG?

Convert allows you to quickly convert basket sizes in other currencies, for example, between USD and CAD.

Manage helps you assess key operational metrics against covenant requirements, for example, given a leverage ratio and an end date, will the borrower be in compliance with all financial covenants?

Generate creates a list of key clauses related to a certain area of focus.

Creating your own questions

You can create questions simply by typing them into the box. To generate answers, select the deal, agreement type, and agreement, then click the green arrow. If you’re working from the deal or document page, the relevant information will populate automatically. Simply type your question, and the tool will generate an answer. Answers are cited based on the exact location in the underlying language where the information is found.

The SD chat feature also allows follow-up questions within the same conversation thread, making it easy to refine or expand your queries.

At the bottom of the interface, use the icons to:

  • Like or dislike the answer for feedback.

  • Copy the response to your clipboard.

  • Share it via email.

Tips for Crafting Effective Questions

  • Be assertive and direct.

  • Write complete, clear questions to ensure the tool generates comprehensive answers

Examples of Good Questions:

  • What types of financial covenants does the borrower have to comply with?

  • Does this document contain carve-outs to soft call protection?

  • What is the total commitment size of the revolving credit facility?

  • Does this agreement contain a Serta blocker?

Examples of Bad Questions:

  • How does this deal compare to the remainder of my portfolio?

    • This is a bad example, as at the current state of SD Chat, users only have the ability to ask questions related to a single document. Conversations across multiple documents will be featured in a later release.

  • Why is the sky blue?

    • This is a bad example because SD Chat has a very niche training structure. Asking mundane questions as you would another AI system may not yield expected responses.

  • Explain the scores in this deal

    • This is a bad example because currently SD Chat only supports context in the agreement and consider concept values we have captured when generating the answer.

Saving Conversations

When you ask a question, the tool generates a name. Clicking on this name allows you to rename and save the query under Conversations for future reference.

To access saved conversations, go to the Chat tab on the Home page and select Conversations. Here, you’ll find a list of previously asked questions saved by you and others in your company, making it easy to revisit and build on past discussions.

Interpreting Answers

Answers generated by SD chat help you better understand your documents and can serve as guides in negotiations. These results provide users with valuable information quickly, along with references from within the document. When interpreting answers, it is important to check these references and cross-check the information. Additionally, the answers generated by SD should be used as guidance, not as a final decision. SD does not provide opinions on your documents.
