Navigating and Accessing Single Agreements

This article serves as a guide to accessing and understanding single agreements.

Accessing Documents

There are several ways to access a document within the platform:

  1. Search Bar: Use the search bar at the top right corner of your screen. Our advanced search feature allows you to look for deal names, borrower names, or specific words within the document text.

  2. Main: Click on a product under the Main tab to open the product dashboard. For example, if your company is subscribed to Private Credit, select it to access the Private Credit Dashboard. There, you'll find a list of document types. Click on any document type to view the specific document list. From there, select an agreement to open the Agreement Page.

  3. Data Room Tab: You can also find individual documents within the data room tab on the deal page, which contains all relevant files for your deal.

Document Page

The document page is broken down into tabs: Term Analysis, Term Summary, Financial Metrics, Ratings, Parties, Timeline, and Admin. Each tab contains information about your document, helping to keep relevant data organized.

There are several icons that will remain available throughout the tabs, similar to the existing ones on the deal page.

Score

  • The document score is displayed next to the deal name and is color-coded for easy reference: green indicates lender-friendly, while red indicates borrower-friendly.

Ask SD Chat

  • You can also use Ask SD Chat to ask specific questions about the document, such as “What is the hard call protection?”

Reports

  • Click the Reports icon in the top toolbar to generate various reports, including the Prevalence and Favorability Report and the Closing Memos Term Report.

Term Analysis

This provides an overview of covenants, provisions, and key metrics extracted from the document. This view displays around 300 key terms, depending on the document type.

  • On the left side of the screen, key concepts are organized into buckets. Clicking on any value traces it back to the exact location in the underlying language of the document. You can choose to view the Term Analysis in either a List or Column view.

  • On the right side, a digitized copy of the original document is displayed, with hyperlinks to definitions and key terms as they appear within the contract.

  • Use the Spacing icon to adjust the display: choose between Normal, Compact, or Comfort views. You can also select your preferred layout:

Ratings

Use the Ratings tab to input ratings for the agreement. Click Add, then fill out the Agency, Rating, and Rating Date fields.

Parties

The Parties tab lists all involved parties, such as sponsors and administrative agents. To add a new party, click Add, then fill in the required fields.

Timeline

The Timeline tab displays a chronological order of documents linked to the credit agreement, such as commitment papers and amendments. If the documents get amended or reinstated, you can add them here using the Add Document button.

Admin

The Admin tab contains reference data about the credit agreement, including its status, important dates, and issue size.
