What is foreign qualification and when do I need to register in another state?

Registering your existing company to legally do business in a new state.

Foreign qualification means:

  • Registering an already formed company to do business in another state.

You may need it if you:

  • Have employees, an office, or regular operations in another state

  • Own or actively manage real estate there

  • Frequently meet clients or run projects there

Your “home” state remains the formation state; the other state treats your company as a “foreign” entity.
