These Terms of Service (the "Terms") are an agreement between Casa Apps Inc., a Delaware corporation ("Casa Apps", "we", "us"), and the merchant using our services ("you"). They apply to all Casa Apps applications for Shopify, including Casa Loyalty, and to our website at casaapps.com (together, the "Services").
By installing or using the Services, you accept these Terms. If you are accepting on behalf of a business, you confirm that you have authority to bind it. If you do not accept these Terms, do not use the Services.
1. Definitions
"Customer Data" means the data you or your store's customers provide to the Services, or that the Services collect from your Shopify store, including personal data.
"DPA" means our Data Processing Addendum, which forms part of these Terms.
"Plan" means the free or paid subscription plan you select for a Service.
"Shopify" means Shopify Inc. and its affiliates, and the Shopify platform on which your store runs.
2. Using the Services
2.1 Access. You access the Services by installing our apps from the Shopify App Store. You must be at least 18 years old and use the Services for business purposes only.
2.2 Your account. You are responsible for all activity under your Shopify store and our apps, and for keeping your login details secure. Tell us promptly if you believe your account has been used without permission.
2.3 Licence. Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use the Services for your own store during your Plan.
2.4 Changes to the Services. We may add, change or remove features of the Services at any time. Planned maintenance or events outside our control may interrupt the Services from time to time.
2.5 Not professional advice. Any guidance or templates we provide are for information only. You are responsible for how you design and run your programs, including your loyalty program rules, and for complying with the laws that apply to your business.
3. Fees and Billing
3.1 Plans and billing. Fees depend on the Plan you choose and are billed through Shopify's billing system, under Shopify's terms. Some Services or Plans may be free.
3.2 Free trials. If your Plan includes a free trial, it converts to a paid Plan at the end of the trial unless you change to a free Plan or uninstall the app before the trial ends.
3.3 No refunds. Fees are non-refundable, including for partial billing periods and unused features, except where Shopify's policies or the law require otherwise.
3.4 Price changes. We may change our fees by giving you at least 30 days' notice before the change applies to you.
3.5 Taxes. Fees do not include taxes. You are responsible for any taxes that apply to your use of the Services.
3.6 Non-payment. If a payment fails or is overdue, we may suspend or end your access to paid features.
4. Your Responsibilities
4.1 Lawful use. You will use the Services only in compliance with the law, including privacy, consumer protection and anti-spam laws.
4.2 What you may not do. You will not:
copy, modify, reverse engineer or resell the Services, or use them to build a competing product;
interfere with the security or operation of the Services, or introduce malware;
use the Services in a way that places an unreasonable load on our systems;
upload or send content that is unlawful, misleading, infringing, harassing or spam; or
use the Services to infringe anyone else's rights.
4.3 Your content. You are responsible for the content and program rules you create in the Services, and for honouring the rewards and benefits you offer your customers.
We may remove content or suspend access if we reasonably believe you have breached this section.
5. Customer Data and Privacy
5.1 Ownership. You own your Customer Data. You give us the right to use it to provide, maintain and support the Services.
5.2 Roles and DPA. For personal data in Customer Data, you are the controller and we are the processor. Our processing is governed by the DPA, which forms part of these Terms.
5.3 Your obligations. You are responsible for having a privacy policy for your store, telling your customers that their data is shared with us, and obtaining any consents the law requires, including for marketing messages.
5.4 Aggregated data. We may create anonymised and aggregated data from use of the Services, which does not identify you or any individual, and use it to improve and develop our products.
5.5 Security. We use reasonable technical and organisational measures to protect Customer Data, as described in the DPA. No system is completely secure, and we cannot guarantee that Customer Data will never be accessed without authorisation.
6. Intellectual Property
6.1 Our property. We and our licensors own the Services, including all software, designs and content in them. We reserve all rights not expressly granted to you in these Terms.
6.2 Your brand. You keep all rights in your store's name, logo and content. You allow us to use them as needed to provide the Services, for example to display your branding in your loyalty widget.
6.3 Feedback. If you send us suggestions or feedback, we may use them freely and without any obligation to you.
6.4 Publicity. We may list your store's name and logo as a customer on our website and marketing materials. You can ask us to stop at any time by emailing us.
7. Third-Party Services
The Services run on Shopify and may connect to other third-party services, such as email or messaging providers. Your use of those services is governed by their own terms, and you authorise us to share Customer Data with them as needed to provide the Services, in line with the DPA. We are not responsible for third-party services, and we may stop supporting an integration if its provider changes or withdraws it.
8. Confidentiality
Each party will keep the other's non-public business information confidential, use it only for purposes of these Terms, and share it only with people who need to know it and are bound by similar obligations. This does not apply to information that is public, already known to the receiving party, received lawfully from someone else, or developed independently. Either party may disclose confidential information where the law requires it.
9. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT THEY WILL MEET YOUR SPECIFIC REQUIREMENTS.
Nothing in these Terms excludes rights that cannot be excluded under applicable law.
10. Limitation of Liability
10.1 Excluded losses. TO THE FULLEST EXTENT PERMITTED BY LAW, CASA APPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Liability cap. TO THE FULLEST EXTENT PERMITTED BY LAW, CASA APPS' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS OR THE DPA IS LIMITED TO THE LESSER OF (I) USD 100 AND (II) THE FEES PAID OR PAYABLE BY YOU FOR THE SERVICES IN THE MONTH BEFORE THE EVENT GIVING RISE TO THE CLAIM.
10.3 Application. These limits apply whatever the legal theory, including contract, tort or negligence. They do not limit liability that cannot be limited under applicable law. You agree that these limits are a fair allocation of risk and an essential part of our agreement.
11. Indemnification
You will defend, indemnify and hold harmless Casa Apps, its affiliates and their officers, employees and contractors against any third-party claims, losses and costs (including reasonable legal fees) arising from: your use of the Services; your content, Customer Data or loyalty program; your breach of these Terms; or your breach of any law, including privacy laws. You may not settle any claim that affects us without our prior written consent.
12. Term and Termination
12.1 Term. These Terms start when you first install or use the Services and continue until you uninstall all our apps or either party ends them. Paid Plans renew automatically each billing period through Shopify until cancelled.
12.2 Ending by you. You can stop using a Service at any time by uninstalling the app from your Shopify store.
12.3 Ending or suspension by us. We may suspend or end your access to the Services, with or without notice, if you breach these Terms, fail to pay fees, or use the Services in a way that creates legal or security risk for us or others. We may also end a Service for everyone by giving reasonable notice.
12.4 Your data after termination. Before uninstalling an app, please export any data you want to keep, using the export tools in the app where available or by contacting us. Shopify sends us a request to delete your store's data 48 hours after you uninstall. After that, we delete your Customer Data as described in the DPA, and it cannot be recovered.
12.5 Survival. Sections 5, 6, 8, 9, 10, 11, 13 and 14 continue to apply after these Terms end.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-laws rules. Before starting any formal proceedings, each party will try to resolve a dispute in good faith by contacting the other in writing. Any dispute that cannot be resolved this way will be heard exclusively by the state or federal courts located in Delaware, and both parties consent to their jurisdiction.
EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. General
14.1 Changes to these Terms. We may update these Terms by posting a new version on our website. Material changes take effect 30 days after posting; other changes take effect immediately. If you keep using the Services after a change takes effect, you accept the updated Terms.
14.2 Entire agreement. These Terms, the DPA and your Plan form the entire agreement between you and us about the Services.
14.3 Assignment. You may not transfer these Terms without our written consent. We may transfer them, for example as part of a merger or sale of our business.
14.4 Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control. This does not excuse payment obligations.
14.5 Notices. We may send notices to the email address on your Shopify store or app account. You can send notices to us at the email below.
14.6 Severability and waiver. If any part of these Terms is unenforceable, the rest remains in effect. Failing to enforce a right is not a waiver of it.
14.7 Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, agency or joint venture.
