Executing an Original GMP Contract

How to execute a Guaranteed Maximum Price (GMP) contract by executing its Final Amendment.

Overview

A GMP (Guaranteed Maximum Price) contract is executed by creating and executing its Final Amendment. Once the Final Amendment is marked as executed, the Original GMP Contract is automatically executed and locked. After that point, the contract can only be modified via a formal Change Order.


Prerequisites

  • The Original GMP Contract must be created. See Create a GMP Contract.

  • The contract must be in the Initial Contract Executed status, ready for its Final Amendment.


Process

1. Start the Final Amendment

a. From within the contract, click Create Amendment in the top right. The Contract Changes page opens with the Create slide-out panel on the right.

b. Under Select your amendment type, choose Final Amendment — selecting this option prepares the guaranteed maximum price (GMP) to be executed and establishes the Original Contract. Once the Final Amendment is executed, the Original Contract is locked and can only be modified via a formal Change Order.

c. Under Select vendor amendment status, choose one of the following:

  • Start from scratch (Draft) — select this if you want the amendment to go through the standard internal and client approval process.

  • Upload executed agreement (Executed) — select this if you already have an executed agreement to input for the record. This skips the internal and client approval processes and automatically marks the amendment as executed upon creation.

d. Click Next Step.


2. Complete Step 1: Details

Fill in the required fields (marked with a red asterisk):

  • Name — the amendment name.

  • Custom ID — your company's reference ID. Max 25 characters.

  • Amendment type — pre-set to Final based on your earlier selection.

  • Received date — the date the amendment was received.

  • Schedule Impact — indicate whether the amendment has a schedule impact: TBD, No, or Yes.

  • Jobsite Locations — the jobsite locations this amendment is connected to.

  • Source — the source item that initiated this amendment.

  • Description — additional information about the amendment.

If you chose Upload executed agreement, upload the executed agreement file in the Upload executed agreement section at the top of the step.

Click Next Step to continue.


3. Complete Step 2: Supporting Documents (optional)

Drag files into the upload area or click browse files to select supporting documents from your computer. You can also skip this step by clicking Next Step.


4. Complete Step 3: SoV / WBS (optional)

Adding WBS lines to the amendment lets you expand the existing scope or add new scope items to the project.

a. Click Select Sites. A Select Project Site Location(s) slide-out panel opens.

b. Check the sites this amendment should be associated with, then click Save.

c. For each selected site, click + Add WBS 1 to add scope lines. For each line, enter:

  • Name

  • Cost Code

  • Unit of Measure

  • Qty

  • Unit Price

  • Value

  • Retention

d. Use + Add WBS 2 on a line to add a sub-level under it.

The Anticipated Contract Summary at the bottom of the page updates as you add lines, showing the Current Contract, Pending Amendments, New Amendment, and Anticipated Contract Value.


5. Mark the amendment as executed

a. Click Mark as executed in the top right. A confirmation dialog opens.

b. Read the warning: "By executing the final amendment, you will also execute the original contract. This will lock the original contract value, after which the contract can only be amended via change orders."

c. (Optional) Add a note in the Add Note field.

d. (Optional) Attach any additional files in the Files section.

e. Click Mark as executed in the dialog to confirm.

Once executed, the amendment's status changes to Executed, and the Original GMP Contract is automatically marked as executed and locked.


6. Confirm the Original Contract is executed and approve the SoV / WBS

Navigate back to the Original GMP Contract. The Contract Status in the top-right side panel now shows Original Contract Executed.

An Approve SoV / WBS button also appears in the top-right corner of the contract. Click it to complete the final approval step.

Reviewing the Executed Amendment

Once executed, the amendment page shows:

  • Vendor Amendment Details — Generated ID, Custom ID, Amendment Type, Date Received, Total, Schedule Impact, Contract, Your amendment, Description.

  • Status side panel — displays the status timeline (Draft → Executed) and the current Executed status pill.

  • Supporting Documents tab — active and archived supporting documents.

  • Executed agreement tab — the executed agreement file.

  • References tab — related references.

The amendment also has top tabs for Summary, SoV / WBS, Approvals, and Timeline.
