Purpose
This article is a step-by-step guide to Review contracts in LegalOn.
Step 1: Upload a contract
You can upload a contract to LegalOn in two ways:
1. Upload from your Dashboard
2. Upload from "Review" (under the navigation bar)
Either of these actions will bring you to the Preview page.
Note that from the Preview page, you can also upload a contract version. Read more in "How to Preview documents"
Step 2: Select Contract Type and Position
On the Preview page, you can select Contract type and Position from the dropdown menus. Then, click "Start review" to initiate our AI-powered contract review, which will identify contract risks across the contract in seconds.
Note: When you see "Quick restore" under the "Review" panel, this means you have previously initiated an AI review of the contract. Clicking on "Quick restore" will display prior review results without re-initiating a new AI-powered review. This enables you to review based on the same contract type and negotiation position as your prior review. However, if you have added playbook alerts or custom alerts since your prior AI review, such changes will NOT be reflected in the "Quick restore" version.
Step 3: View contract and risk alerts side-by-side
Once you click on "Start review" on the Preview page, you will see the following page, with contract and risk alerts side-by-side.
In addition, you may filter the risk alerts based on their importance level:
Note: By default, risk alerts with "low" importance level are hidden (unless you click on the toggle below, which will then display alerts with low importance level)
Risk alerts at a glance
On the right-hand side of the Review page, you will see a list of risk alerts generated by LegalOn. Each of these alerts has multiple components (see the annotated example below).
Alert type
You'll find three types of alerts on LegalOn:
Addition - when something should be added to a contract
Deletion - when something should be deleted from a contract
Revision - when something should be changed in the contract (usually involving a mix of deleting and adding text)
Importance level
Each LegalOn Alert is assigned an importance level by default: High, Medium, or Low.
These ratings are set by default by LegalOn’s team of experienced attorneys to reflect the different levels of contract risks an organization might be exposed to. You can configure the importance level to your organization’s preferences.
For instance, a “High” importance alert may be an issue that requires internal approval before being accepted. A “Medium” importance alert may be used for an issue that you may negotiate depending on the agreement. A “Low” importance alert may be used for an issue that you generally choose not to negotiate.
Legal content
Alert title: One-line summary of key issues
Suggestion: Summarized recommendation on how to mitigate or eliminate the risk
Sample language: Off-the-shelf language curated by LegalOn's team of experienced attorneys
Guidance: Additional insight related to legal nuances, notable exceptions, relevant laws or legislation, and even why this issue may be important to your organization

Other key features of the Review page
Track progress
Mark an alert as "resolved" by clicking the check mark on the far right of each row. You can visualize your progress in the progress bar in the lower right of the Review page (next to the "Download" button).
Upload the latest version of the contract
Upload the latest version of the contract by clicking the button located in the upper right corner of the Review page (next to "Editor").
You can also select status from the dropdown to keep track of contract status.
After uploading the latest version, you will be redirected back to the Preview page where you can view different versions of the contract on the left-hand side of the page.
Download
Clicking the "Download" button located in the bottom right corner of the Review page will take you to a modal where you can download selected content and format of LegalOn alerts into either a Word document (.docx) or Excel spreadsheet (.xlsx)

Edit in Web Browser (Beta)
Access LegalOn's in-browser Editor (Beta) from the Review page. In Editor, you can make direct changes to your contract and also leverage LegalOn's AI Revise functionality to expedite your contract editing.
