Creating a New Insider

Companies obtain new insiders usually as Officers, Directors, and 10% Owners. As these new insiders are obtained, they must be added to Section 16 Manager to track their share activities and filing submissions to the Securities Exchange Commission. Select the Add Insider tile on the Section 16 Manager homepage.

Alternatively, you may use Quick Add > Insider to create a new insider.

The Create Insider window will appear for data entry. Please enter data into the red, mandatory fields. Please note that, although not mandatory, it is recommended to enter data into the Address related fields (Street 1, Street 2, City, State, Zip) for filing wizard preview purposes.

Please enter data into the mandatory fields (Name, CIK, CCC, and Relationship to the company). Please enter the Form 3 Event Date as well for balances in the Form 3 being filed for the new insider to be represented if opening balances exist. Data entry for the Name field is formatted as Last Name, First Name to align with the insider’s record at the SEC.

If creating more than one new insider, you may use the “Add Another” button instead of “Add”.

Editing an Insider Record

Navigate to Insiders > View Insiders within the menu located in the left-hand corner of the homepage.

Alternately, you can choose Insider List from the homepage, then choose the Insider from the list.

Then, you may choose Insider Information from the left panel.

Select [Edit] located to the right of the insider in which you would like to edit.

The Edit Insider window will appear. You may now make any changes required for the insider record. Changes may include the insider’s address, their CCC has been changed and requires update, and marking the insider “no longer subject to section 16”. Once changes have been made you may save.
