AGREEMENT TO OUR LEGAL TERMS

We are ZipID, Inc. ("Company," "we," "us," "our"), a company registered in the Commonwealth of Virginia, United States at 2800 Eisenhower Ave., Ste 220, Alexandria, VA 22314.

We operate the website ZipID, Inc. (zipidapp.com), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and ZipID, Inc., concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are intended for authorized business users who are at least 18 years of age and acting on behalf of a lawfully operating employer entity. We recommend that you print a copy of these Legal Terms for your records.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

ZipID's Services are designed to assist employers in fulfilling their obligations under federal law, including Form I-9 employment eligibility verification requirements under 8 U.S.C. § 1324a. ZipID does not make employment eligibility determinations on behalf of employers. All such determinations remain the sole legal responsibility of the employer.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your internal business purpose only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your internal business purpose.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not under the age of 18; (5) you are authorized to bind the employer entity on whose behalf you are acting; (6) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise; (7) you will not use the Services for any illegal or unauthorized purpose; and (8) your use of the Services will not violate any applicable law or regulation, including but not limited to federal employment eligibility verification laws and anti-discrimination statutes.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

SECTION 3A. AUTHORIZED USERS; WORKSPACE OWNER RESPONSIBILITY

The employer account on ZipID's platform is administered by a designated workspace owner ("Workspace Owner"), who is the individual or authorized representative who creates the employer account and accepts these Legal Terms on behalf of the employer entity.

By accepting these Legal Terms, the Workspace Owner represents, warrants, and covenants that:

1. They have full legal authority to bind the employer entity to these Legal Terms;

2. All individuals added to the employer account as users ("Authorized Users") are employees, contractors, or agents of the employer entity who are authorized to access and use ZipID's Services on the employer's behalf;

3. All Authorized Users are subject to and bound by these Legal Terms by virtue of their access to the employer account, whether or not they have individually reviewed or acknowledged these Legal Terms;

4. The Workspace Owner is responsible for ensuring that all Authorized Users are made aware of the relevant provisions of these Legal Terms, including but not limited to the employer's obligations under Sections 14 through 17 regarding hiring decisions, anti-discrimination compliance, and employer indemnification;

5. The Workspace Owner will promptly remove any Authorized User's access upon termination of that individual's employment or authorization to act on the employer's behalf; and

6. The employer entity assumes full legal responsibility for all actions taken by Authorized Users within the ZipID platform, as if such actions were taken by the employer entity directly.

ZipID reserves the right to require individual acknowledgment of these Legal Terms from any or all Authorized Users at its sole discretion.

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. PURCHASES AND PAYMENT

We accept the following forms of payment: Visa, Mastercard, American Express, Discover, PayPal, ACH, and check.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in US dollars.

6. SUBSCRIPTIONS

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. The length of your billing cycle is annual.

Free Trial

We offer a 7-day free trial to new users who register with the Services. The account will be charged according to the user's chosen subscription at the end of the free trial.

Cancellation

You can cancel your subscription at any time by contacting us at zipidinfo@zipidapp.com. Your cancellation will take effect at the end of the current paid term.

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any changes to you in accordance with applicable law.

7. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

• Use the Services to make or support discriminatory employment decisions based on race, color, national origin, sex, religion, age, disability, or any other characteristic protected under applicable federal, state, or local law.

• Use any output, result, image analysis, liveness detection result, or document authenticity assessment generated by ZipID as the sole basis for an adverse employment action without conducting an independent, good-faith review.

• Circumvent, disable, or otherwise interfere with security-related features of the Services.

• Use any information obtained from the Services in order to harass, abuse, or harm another person.

• Use the Services in a manner inconsistent with any applicable laws or regulations, including the Immigration and Nationality Act (INA), Title VII of the Civil Rights Act, the Americans with Disabilities Act (ADA), and 8 C.F.R. Part 274a.

• Engage in unauthorized framing of or linking to the Services.

• Upload or transmit viruses, Trojan horses, or other harmful material.

• Engage in any automated use of the system, such as using scripts to send comments or messages, or using data mining or similar extraction tools.

• Attempt to impersonate another user or person or use the username of another user.

• Attempt to bypass any measures of the Services designed to prevent or restrict access.

• Copy or adapt the Services' software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.

• Use the Services as part of any effort to compete with us or otherwise use the Services and/or the Content for any revenue-generating endeavor or commercial enterprise.

• Use of Services for the purpose of committing fraud, discrimination, or any civil or criminal activities.

• Sell or otherwise transfer your account or profile.

8. USER GENERATED CONTRIBUTIONS

The Services do not generally offer users the ability to submit or post public content. Any content, data, or materials you transmit through the Services will be treated in accordance with the Privacy Policy. You are solely responsible for ensuring that any content you provide is accurate, lawful, and does not violate the rights of any third party.

9. CONTRIBUTION LICENSE

By submitting suggestions or other feedback regarding the Services, you agree that we can use and share such feedback for any purpose without compensation to you. You retain full ownership of all of your Contributions and any intellectual property rights associated with your Contributions.

10. GUIDELINES FOR REVIEWS

We may provide you areas on the Services to leave reviews or ratings. When posting a review, you must have firsthand experience with the Services being reviewed; your reviews should not be based on protected characteristics including religion, race, gender, national origin, age, marital status, sexual orientation, or disability; and you may not post any false or misleading statements. We may accept, reject, or remove reviews in our sole discretion.

11. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms; (3) refuse, restrict access to, limit the availability of, or disable any of your Contributions or any portion thereof; and (4) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

12. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy at http://www.zipidapp.com/privacypolicy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States. If you access the Services from any other region of the world with laws governing personal data collection, use, or disclosure that differ from applicable laws in the United States, through your continued use of the Services, you are transferring your data to the United States and expressly consent to such transfer and processing.

13. CONSENT TO MONITOR

As a condition of using this service, you acknowledge and consent that ZipID, Inc. may monitor your use of our software services at any time as part of our commitment to improve service delivery, enhance security, ensure compliance with our terms and policies, and prevent unauthorized activities. Monitoring may include, but is not limited to, logging of navigation, usage statistics, system usage, application performance, and detecting unusual or unauthorized activities. The information we collect through monitoring is subject to our Privacy Policy.

14. EMPLOYER RESPONSIBILITY FOR HIRING DECISIONS

ZipID provides identity verification tools and document authenticity analysis as an assistive technology platform to help employers comply with federal employment eligibility verification requirements. ZipID DOES NOT MAKE HIRING DECISIONS, EMPLOYMENT ELIGIBILITY DETERMINATIONS, OR RECOMMENDATIONS REGARDING WHETHER ANY INDIVIDUAL SHOULD BE HIRED, RETAINED, OR TERMINATED.

All hiring, firing, and employment eligibility decisions are made solely and exclusively by the employer. You, as the employer, acknowledge and agree that:

• ZipID's outputs — including but not limited to identity verification results, liveness detection outcomes, biometric comparisons, document authenticity assessments, and fraud indicators — are informational tools only and do not constitute a determination of any individual's employment eligibility, identity, or legal status.

• You are solely responsible for reviewing, interpreting, and acting upon any information, data, images, assessments, or outputs generated by ZipID's Services in connection with any hiring or employment decision.

• You will not take adverse employment action against any individual based solely on any automated output generated by ZipID without conducting a good-faith, independent review of the relevant facts and circumstances.

• You bear sole legal responsibility for all employment decisions made in connection with your use of ZipID's Services, including any decision to hire, not hire, or terminate an employee.

• ZipID shall have no liability whatsoever for any employment decision made by you, regardless of whether such decision was informed, in whole or in part, by outputs or information generated by ZipID's Services.

15. NO DISCRIMINATION WARRANTY BY EMPLOYER; ANTI-DISCRIMINATION COMPLIANCE

You represent, warrant, and covenant that you will use ZipID's Services in full compliance with all applicable federal, state, and local anti-discrimination laws, including but not limited to:

• Title VII of the Civil Rights Act of 1964, as amended, which prohibits employment discrimination based on race, color, religion, sex, or national origin;

• The Immigration and Nationality Act (INA), 8 U.S.C. § 1324b, which prohibits document abuse, unfair documentary practices, and citizenship status or national origin discrimination in the employment eligibility verification process;

• The Americans with Disabilities Act of 1990 (ADA), as amended;

• The Age Discrimination in Employment Act of 1967 (ADEA);

• Any applicable state or local human rights or fair employment laws.

You acknowledge and agree that:

• ZipID's biometric liveness detection, facial comparison, and document authenticity tools are designed to verify that a presented identity document is genuine and that the person presenting it is the document's rightful holder. These tools are not designed to, and must not be used to, make adverse employment decisions based on an individual's race, color, national origin, citizenship status, or any other protected characteristic.

• You will not request more or different identity documents than are required under the Form I-9 process or use ZipID's outputs as a pretext for discriminatory document practices.

• If ZipID's Services flag a document as potentially fraudulent or a liveness check does not pass, you will provide the affected individual a reasonable opportunity to present alternative acceptable documentation or to address the result before taking any adverse employment action, consistent with 8 C.F.R. § 274a and applicable USCIS guidance.

• You will not use ZipID's Services as a substitute for the employer's legal obligation to conduct a good-faith, non-discriminatory review of employment eligibility documentation.

• Complaints, charges, or investigations by the Department of Justice (DOJ) Civil Rights Division, the Equal Employment Opportunity Commission (EEOC), or any other federal, state, or local agency arising from your use of ZipID's outputs in connection with employment decisions are solely your legal responsibility. ZipID shall have no liability for such complaints, charges, or investigations.

16. LIMITATION ON LIABILITY FOR IDENTITY ANALYSIS OUTPUTS

ZIPID'S SERVICES EMPLOY AUTOMATED DOCUMENT AUTHENTICATION, BIOMETRIC LIVENESS DETECTION, FACIAL COMPARISON, AND FRAUD INDICATOR ANALYSIS. THESE TECHNOLOGIES, WHILE DESIGNED TO PROVIDE ACCURATE AND RELIABLE OUTPUTS, ARE NOT INFALLIBLE. NO AUTOMATED IDENTITY VERIFICATION SYSTEM CAN GUARANTEE 100% ACCURACY IN ALL CIRCUMSTANCES.

YOU ACKNOWLEDGE AND AGREE THAT:

• ZipID makes no warranty, express or implied, regarding the accuracy, completeness, or fitness for any particular purpose of any identity verification result, liveness detection output, document authenticity assessment, or fraud indicator generated by its Services.

• ZipID shall not be liable for any false positive results (a genuine document or person incorrectly flagged as potentially fraudulent or failing liveness detection) or false negative results (a fraudulent document or impersonation not detected) generated by its Services.

• ZipID shall not be liable for any employment decision, adverse action, legal claim, regulatory investigation, fine, penalty, or damages arising from an employer's reliance on, or use of, any output generated by ZipID's Services.

• The employer assumes all risk associated with the use of ZipID's outputs in the context of employment eligibility verification and hiring decisions.

• ZipID's liability in connection with any identity analysis output shall be limited to the greater of the fees paid by the employer to ZipID during the six (6) months preceding the claim or one hundred dollars ($100.00).

17. COMPLIANCE WITH ANTI-DISCRIMINATION LAWS — EMPLOYER INDEMNIFICATION

In addition to the indemnification obligations set forth in Section 25, you agree to defend, indemnify, and hold harmless ZipID, Inc. and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Any allegation that your use of ZipID's Services, or any employment decision made in connection therewith, violated any federal, state, or local anti-discrimination law, including the INA, Title VII, the ADA, the ADEA, or any comparable state or local statute;

• Any investigation, charge, complaint, or proceeding brought by the DOJ Civil Rights Division, the EEOC, the Office of Special Counsel for Immigration-Related Unfair Employment Practices (OSC), or any other government agency in connection with your use of ZipID's Services;

• Any claim by any individual that an employment decision affecting them was made on the basis of a protected characteristic, whether or not such claim is related to ZipID's outputs;

• Your failure to provide an individual with a reasonable opportunity to address a potentially fraudulent document flag or failed liveness detection result prior to taking adverse employment action.

18. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal and injunctive redress.

If you terminate your account for any reason, it must be received in writing. We will retain data under its data retention policy for 30 days. If no request to transfer data is received within 30 days, data will be purged. Requests to return data will be a separate transaction for which additional charges will be incurred.

19. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time for any reason at our sole discretion without notice. Our goal is to be available 99 percent of the time; however, we may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time without notice to you.

20. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the Commonwealth of Virginia applicable to agreements made and to be entirely performed within the Commonwealth of Virginia, without regard to its conflict of law principles.

21. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute"), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The arbitration will take place in Fairfax, Virginia. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so.

Restrictions

Any arbitration shall be limited to the Dispute between the Parties individually. No arbitration shall be joined with any other proceeding; there is no right or authority for any Dispute to be arbitrated on a class-action basis.

Exceptions

The following Disputes are not subject to arbitration: (a) any Disputes seeking to enforce or protect intellectual property rights; (b) any Dispute related to allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. In no event shall any Dispute be commenced more than one (1) year after the cause of action arose.

22. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

23. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF ANY IDENTITY VERIFICATION RESULT, DOCUMENT AUTHENTICITY ASSESSMENT, LIVENESS DETECTION OUTPUT, OR FRAUD INDICATOR GENERATED BY OUR SERVICES. ZIPID DOES NOT WARRANT THAT ITS SERVICES WILL DETECT ALL FRAUDULENT DOCUMENTS OR PREVENT ALL IDENTITY FRAUD.

24. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

25. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; (5) any employment decision made by you in connection with your use of ZipID's Services; (6) any violation of applicable anti-discrimination law arising from your use of ZipID's outputs; and (7) any overt harmful act toward any other user of the Services with whom you connected via the Services.

26. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of compliance with federal law, managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

ZipID will make available all Form I-9 transaction data for 30 days from completion of the Form I-9 by the employer. Thereafter, it will be retained as required by law (up to 3 years) near line or off line. Requests for data after 30 days will require a direct request by the employer and will be a separate transaction for which additional charges will be incurred.

27. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED VIA THE SERVICES.

30. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services.
