Here are some basic tips and tricks for using AI Extract to help triage and review vendor contracts.

In our recent webinar (Small team, giant impact: how lean legal teams can outperform in 2025), I spoke alongside Richard Mabey and Victoria Ferguson about how you can use technology within guardrails to make an outsized impact from a small legal team.

In that webinar, I showed an example of how, at Juro, we use AI Extract to help us identify clauses in vendor contracts that would mean they need to be reviewed by Juro legal (see picture below). This article contains full details of the information we're looking for and how we've configured our AI Extract playbook to do this.

Why we're looking for information πŸ”Ž


We look for information in our vendor contracts for two reasons:

  • We want to understand key contractual terms (e.g. renewal dates).

  • We want to enforce our vendor contract playbook, which allows certain contracts to be signed without legal review if they meet specified conditions.

These two things enable the business to capture valuable information about our vendor contracts and self-serve vendor contracts within guardrails set by our legal team, so we can dedicate more legal time to the most valuable projects.


Information we're looking for πŸ”¦


The information we look for in our contracts falls into those two categories. There's also an overlap between them. Terms that trigger legal review are also important to understand more generally (marked with an asterisk (*) below).

  • Counterparty name(s)

  • Earliest convenience termination date

  • Last date for notice for the earliest-convenience termination date

  • Exclusivity obligations binding on us*

  • Non-solicitation obligations binding on us (staff, customers, suppliers)*

  • Non-compete obligations binding on us*

  • Post-termination restrictive covenants*

  • Vendor change of control termination rights*

  • Annualized contract value (in USD)*

  • Whether the vendor is critical or not*

  • Whether the vendor processes personal data on our behalf or not*


How we use AI Extract to get that information ⛏️


First, you need to set up a template for vendor contract reviews so you can tag vendor contracts against that template. Find out how to do that here.

Then, within your template, activate AI Extract for the smartfields marked with an asterisk (*) above, and set up your AI Extract playbook. You can find tips on how to do that here.

We use the instructions in the AI Extract playbook of our vendor contract template to extract the field data above. We find they work reasonably well, but you might need to experiment to tailor the playbook to your specific requirements.

Earliest convenience termination date

Identify the earliest date on which either party can terminate the agreement without the other party being in breach of contract, insolvent, or otherwise being at-fault.

This is the date by which either party must give notice to terminate the contract for convenience. For example, if the termination date is the expiry of the initial period, this date is the date that is the duration of the notice period before the termination date.

Customer exclusivity

Yes / No

Is the customer committed to using this supplier as its exclusive supplier of these (or similar) goods and services? If you can't find a clause covering this, answer "No". You must make a choice. You have 10 points. Every time you don't answer this you lose 1 point. When you get to 0 points, you cease to exist.

Customer non-solicit (staff)

Yes / No

Does the customer agree not to solicit or employ the supplier's staff? If you can't find a clause covering this, answer "No". You must make a choice. You have 10 points. Every time you don't answer this you lose 1 point. When you get to 0 points, you cease to exist.

Customer non-solicit (customer or supplier)

Yes / No

Does the customer agree not to solicit or engage the supplier's customers or suppliers? If you can't find a clause covering this, answer "No". You must make a choice. You have 10 points. Every time you don't answer this you lose 1 point. When you get to 0 points, you cease to exist.

Non-compete

Does the customer commit not to compete with the supplier? If you can't find a clause covering this, answer "No". You must make a choice. You have 10 points. Every time you don't answer this you lose 1 point. When you get to 0 points, you cease to exist.

Post-termination restrictive covenants

Is the customer restricted from doing anything after the contract terminates? For example, competing with the supplier. If you can't find a clause covering this, answer "No". You must make a choice. You have 10 points. Every time you don't answer this you lose 1 point. When you get to 0 points, you cease to exist.

Change of control termination right

Does the agreement allow the supplier to terminate if there is a change of control of the customer? If you can't find a clause covering this, answer "No". You must make a choice. You have 10 points. Every time you don't answer this you lose 1 point. When you get to 0 points, you cease to exist.

Annualised contract value (USD)

Number

Calculate the minimum committed spend of the customer under this contract on an annualised basis in US dollars.

Critical supplier?

Choice

Yes / No

N/A - We don't ask AI to extract this information. Instead, the user decides whether the vendor in question is a critical supplier or not.

Personal data processor

Choice

Yes / No

Does the supplier act as a processor of personal data on behalf of the customer under this contract? The presence of a data processing agreement will indicate that this is likely to be the case.

Once your template is published, you can upload contracts against it and start using AI Extract to help triage contracts into and out of the legal team.


Using rules to enforce policies βœ‹


Once AI Extract has extracted the information from a document and we've checked we're happy with the information it has found, we use Juro's Conditional Approvers feature to automatically triage contracts to our legal team if legal review is required.

If AI Extract identifies a red flag within the smartfields (in this case, the presence of an exclusivity clause binding on us), the contract is automatically sent for approval by a member of the legal team before it can be signed.


Bonus AI use case 🎁


If AI Extract identifies a red flag, the stakeholder who is brought into the review process can use AI Assistant to identify where the offending clause is and help re-draft that clause to comply with our requirements.
