These Terms and Conditions (the "Agreement") outline the general terms governing your use of the Minvo web application ("Web Application" or "Service") and all related products and services (collectively, the "Services"). This Agreement is legally binding between you ("User", "you", or "your") and Momento Podcasting Inc., doing business as Minvo ("Momento Podcasting Inc.", "Minvo", "we", "us", or "our").

By accessing or using the Web Application and Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you are entering into this Agreement on behalf of a business or other legal entity, you confirm that you have the authority to bind that entity. If you do not agree with these terms, you must not access or use the Services.

When creating an account, you are responsible for maintaining its security and for all activities conducted under it. Providing false or misleading information may result in account termination.

You must notify us immediately of any unauthorized access or security breach. Minvo reserves the right to suspend or terminate accounts that violate this Agreement or may harm our reputation.

While using the Services, you may interact with third-party advertisers or sponsors. Any interactions, transactions, or promotions are solely between you and the third party. Minvo is not responsible for any outcomes resulting from these engagements.

The Web Application may include links to external resources. These links do not imply endorsement. Minvo is not responsible for the content, services, or policies of third-party websites.

By using Minvo, you agree to comply with YouTube’s Terms of Service. Certain features rely on YouTube’s API, and your use of those features is subject to YouTube’s policies.

You agree not to use the Services for:

All intellectual property related to Minvo remains the exclusive property of Momento Podcasting Inc. or its licensors. Use of the Services does not grant you ownership or rights to reproduce any proprietary materials.

The Services are provided "as is" and "as available." Minvo makes no guarantees regarding performance, reliability, or accuracy. Your use of the Services is at your own risk.

To the fullest extent permitted by law, Minvo shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

Total liability is limited to the greater of $1 or the amount paid by you in the month preceding the claim.

You agree to indemnify and hold harmless Minvo and its affiliates from any claims, damages, or expenses arising from your use of the Services or violation of this Agreement.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

This Agreement is governed by the laws of Ontario, Canada. Any disputes will be resolved exclusively in the courts located in Ontario. You waive the right to a jury trial.

Minvo reserves the right to update this Agreement at any time. Continued use of the Services after changes are posted constitutes acceptance of those changes.

By using Minvo, you confirm that you have read and agreed to these Terms and Conditions. If you do not agree, you must discontinue use of the Services.

Minvo Services may be free or paid. If fees apply, you will be notified in advance. Continued use of paid features requires payment of all applicable charges.

Additional fees (such as SMS charges) may apply depending on your service provider.

Certain features require payment. Details are provided during signup and form part of this Agreement.

To access Paid Services, you may need to provide billing information. You confirm that all provided information is accurate and authorize its use for payment processing.

Payments are processed through third-party providers. You authorize all charges associated with your selected payment method.

Subscriptions may renew automatically. By subscribing, you agree to recurring charges until cancellation.

You will be notified of any pricing changes in advance.

If billing amounts change, you will be notified before charges are processed.

Paid Services automatically renew unless canceled. Cancel through your account settings before the renewal date to avoid charges.

No refunds are provided for unused time after cancellation.

Your continued use of Paid Services confirms your authorization for ongoing billing.

Free trials must be used within the specified period. To avoid charges, cancel before the trial ends.

Minvo reserves the right to modify or cancel promotions at any time.

These policies apply to all Paid Services.

Refund requests must be submitted within 48 hours of the charge via the in-app support system. Requests outside this window will not be considered.

Refund approval is not guaranteed and is subject to review.
