Steps on how to create a tZERO Securities Entity account

Please refer to the following before starting this process:


Secondary Trading Account Creation

Create Account

  • Select Account Type: Corporation, LLC, Partnership, or Trust

**If you are looking to open an individual account, please visit this article**

***If you hold shares in a security that is trading or will be trading in the future on tZERO Securities, please make sure your account type matches that of your original investment
Ex: if you invested as a Trust, please select “Trust” account type***

  1. Enter your e-mail address

  2. Create your password

tZERO passwords must have the following requirements:

i. lower case letter

ii. upper case letter

iii. specific special character

iv. number

v. minimum of 8 characters

vi. no spaces

  • If you enter a password correctly, a green checkbox will be appear by each of the requirements

  • Click “Save & Continue”

Verification

  • Select your verification

    • If you live inside the US, you have two options for 2 factor authentication:

      • SMS

      • Google Authenticator

  • If you live outside the US, you can only select Google Authenticator

  • Complete the setup and enter the 6 digit verification code

Personal Info

*** We encourage you to NOT use the autofill feature on your browser as it may create data input issues ***

  1. Enter your name

  2. Enter your DOB

  3. Enter your Phone Number

  4. Enter your Address

  5. Enter Tax id / SSN

    1. If country of taxation is not the same as physical address, you will be asked to provide tax id country.

    2. If country of citizenship is not the same as physical address, you will be asked to provide country of citizenship

Additional documentation

  1. Upload documentation evidencing that you are an authorized user of the entity

  2. Click Save and Continue

Investor Info

  1. Affirm if the entity you are onboarding’s affiliate status

  2. Enter employment information

  • Click Save and Continue

Business Account Info

  1. Enter the name of the entity

  2. Enter the EIN – if applicable

  3. Enter the date of the entity’s formation

  4. Enter the phone no. of the entity

  5. Select the country of formation

  • If US – enter the state of formation

  1. Select the country of taxation

  2. Complete the entity’s risk profile

  3. Enter the entity’s physical address

  4. Click Save and Continue

Business Account Documents

  • Upload any relevant supporting documentation for the entity

    • Articles of Incorporation, Certificates of Incorporation, Corporate Charters

Associated People

  1. Enter any and all beneficial owners or control persons associated with the entity by selecting “Add Person”

    • Control persons - an individual with significant responsibility for managing the entity (for example, a chief executive officer, chief financial officer, chief operating officer, managing member, general partner, president, vice president, or treasurer).

    • Beneficial owners – any individual who directly or indirectly owns 25% or more of the equity interests (ex: shares) of the entity; an individual is an indirect beneficial owner if their ownership interest is held through a separate entity

  2. Click Continue

Review Details

  1. Review all the details on your application

    • If there is any issues, you should see a red box highlighting the field with the issue

  2. Click Save and Continue

Sign

  1. Please be sure to review all of the disclosures presented

    • Please only check the disclosure box if you agree to the Terms & Conditions presented to you

  2. Type your name for your signature

    • The signature field must match exactly as the name entered when you began your application

  3. Click Submit Application

You may receive a request for additional information which may include a request for ID see Having trouble uploading ID? for further instructions on Document Verification.

Primary Issuance Investing Account Creation

Creating an account

  1. Click on “get started” on the offering you wish to invest in.

    1. You may be prompted to the issuer website, if so you will need to select “invest now”/”become a shareholder”

  2. Enter User Information

    1. Enter email address

    2. Create password

      1. Password Requirements:

        1. Minimum 8 characters

        2. At least one upper case letter [A-Z]

        3. At least one lower case letter [a-z]

        4. At least one number

        5. Cannot contain a space

        6. Allowed special characters: !@#$%-_

    3. Enter phone number

    4. Enter your investment amount

    5. Click Save & Continue

Verification

  • Email verification will be sent to the email address provided

    • Once received, click on verify your email address link from the email body.

  1. Once logged back in; you will be prompt to setup Two-Factor Authentication

    1. Select one of the following:

      1. US:

        1. Use an authenticator app

        2. Use phone (SMS)

      2. Non-US:

        1. Use an authenticator app

Account Information

  1. Select the type of account you wish to invest with

    1. Options include: Corporation, LLC, Partnership, and Trust

  2. Enter your name

    1. If mailing address is different, then check off the default mailing address is the same as physical address above and manually enter your mailing address.

  3. Enter your Date of birth

  4. Enter your Tax Country

    1. If in the US, SSN will be required.

    2. If in an international country, tax ID number will be required.

  5. You will need to agree to T&C and Privacy disclosures in order to proceed

  6. Click Save & Continue

Entity Information

  1. If Trust, select the trust type from the available drop down.

  2. Enter your Entity’s name

  3. Enter Entity’s Date of formation (MM-DD-YYYY)

  4. Enter Phone number

  5. Select the Country Entity was formed in

  6. Select Entity’s Tax country

  7. Enter Entity’s State/Region of formation

  8. Enter Entity’s EIN

  9. Enter Entity’s physical address

    1. If mailing address is different, then check off the default mailing address is the same as physical address above and manually enter your mailing address

  10. Agree to T&C and Privacy disclosures in order to proceed

  11. Click Save & Continue

Investment & Subscription Agreement

  1. Enter your investment amount

    1. click save

      1. If after clicking save, you would like to make a change to the amount, you can update the amount by clicking on the pencil icon.

  • The subscription agreement selection will populate on screen, detailing Description, Amount, ID, and Contract

    • Under Contract click Sign Document

      • You will be directed to a DocuSign subscription agreement to complete

    • Once complete, click Save & Continue

Payment

  1. Select method of payment

    1. Pay by ACH

      1. Click on Connect Bank Account

        1. you will be directed to Plaid to complete linking your banking details

          1. you can search or select your bank account

            1. Click continue to log in

            2. Enter Username

            3. Enter Password

          2. Or select link with account numbers (Micro Deposit)

            1. Enter routing number

            2. Enter account number

    2. Pay by Wire Transfer

  2. Click Save & Continue

Required Documents

  • Upload the necessary documents as requested based on account type:

    • LLC

      • Operating Agreement

      • Articles of Organization

      • Beneficial Owner Documentation

    • Corporation

      • Articles of Incorporation

      • Beneficial Ownership Documentation

    • Partnership

      • Partnership Agreement

      • Certificate of Formation

      • Beneficial Owner Documentation

    • Trust

      • Certificate of Trust

      • Trust Agreement

      • Beneficial Owner Documentation

Associated People (Required)

  1. Select the applicable designations as it pertains to authorized individual below

    1. I am 25% or more owner in the entity

    2. I am control person for this entity

  2. Select Add Person, if you need to add BO (25% owners and/or Control Person) or Authorized individuals associated with this account

    1. Personal information

      1. Enter First name

      2. Enter Middle name (optional)

      3. Enter Last name

      4. Enter Country of citizenship

      5. Enter Address

    2. Beneficial Owner

      1. Select is this person a 25% or more owner and or control person

        1. 25% Owner

        2. Control Person

      2. Is this person an authorized individual (required) - Does this person have authority to act on behalf of the entity

        1. Yes

        2. No

      3. Required information

        1. Enter SSN

        2. Enter date of birth
