Q: What is my data room?

When you connect a cloud provider (Drive, SharePoint, or Dropbox), Diligentsia creates a duplicate of the Diligentsia folder structure within your chosen provider.

This mirrored structure is called your Data Room.

You can then sync your Diligentsia Data Repository with this Data Room.

Currently supported providers:

  • Google Drive

  • Microsoft SharePoint

  • Dropbox

Support for additional providers may be added in the future.

If you already use a third-party data room provider (e.g. SeedLegals, iDeals, Datasite, Ansarada), you can use the Diligentsia Filing Assistant to import your existing folders and files into the Diligentsia Data Repository structure.

  • Lite plan: 20 core sections

  • Pro plan: 20 sections with approximately 160 subfolders

Q: I don’t know what a data room is. What should I put into Diligentsia’s Data Repository?

On the platform, we differentiate between:

  • Diligentsia’s Data Repository (our structured filing cabinet), and

  • Any external Data Room you may already have.

Diligentsia’s Data Repository is effectively a highly structured, organised data room designed to centralise your company’s key corporate documents.

Q: I already have a data room. Why do I need Diligentsia’s?

The Diligentsia Data Repository:

  • Organises corporate information into a structured folder system

  • Helps identify missing documentation

  • Standardises presentation for advisors and investors

  • Supports certification requirements

If you already have a data room, you can mirror/import it into Diligentsia using the Filing Assistant, which allocates files into the appropriate sections automatically.

A comprehensive Data Repository is required for Diligentsia Certification.

Q: Can I transfer files from my existing Drive/SharePoint/Dropbox data room into Diligentsia?

Yes. You can:

  • Copy and paste files within Drive/Dropbox/SharePoint into the Diligentsia Data Room folder structure created in that provider.

  • Then sync them into the Diligentsia platform.

Note: Google Drive does not currently allow externally created files to be transferred out of its environment (reverse sync limitation).

Q: Which platforms are supported for syncing?

Currently supported:

  • Google Drive

  • Microsoft SharePoint

  • Dropbox

Q: What is the Filing Assistant?

The Filing Assistant is a tool that helps organise your files within the Diligentsia Data Repository.

You can drag and drop files or folders for import, and the assistant automatically allocates them into the appropriate sections based on file names.

It does not review file contents.

Q: Is having a Diligentsia Data Repository necessary for certification?

Yes. A structured and sufficiently complete Data Repository is required to achieve Diligentsia Certification.

Q: Can I sync files from an existing cloud provider to Diligentsia?

Yes, provided you are using a supported cloud provider (Drive, SharePoint, or Dropbox).

Q: How does syncing work?

After connecting your cloud provider:

  • Diligentsia creates a mirrored folder structure (your Data Room).

  • You can sync files between your Data Repository and Data Room.

  • With Dropbox and SharePoint, reverse sync is supported.

  • With Google Drive, reverse sync of externally created files is restricted.

Q: Are there any limitations with cloud providers?

Yes. Google Drive does not allow externally created files to be transferred out of its environment (reverse syncing limitation).

Q: What happens if I update files in my Data Room?

You can re-sync to update your Diligentsia Data Repository (subject to provider limitations).

Q: How do I know if my Data Repository is complete?

The platform provides structure and visibility to help identify gaps in your documentation.

Completeness scoring is available within relevant modules.

Q: What security features apply to the Data Room?

Security features include:

  • Encrypted storage

  • Controlled user permissions

  • Audit Logs tracking changes

Q: Can multiple users work in the Data Room?

Yes. Users with appropriate permissions can access and manage files.

Q: Is there a file size limit for syncing?

File size limitations may depend on your cloud provider’s restrictions.
