Diligentsia Glossary

This is a list of key words that you will find on the Diligentsia platform, and what they mean.

Each term below is a short definition of a feature or concept used on the Diligentsia platform.

2-Factor Authentication (2FA)

We take security seriously. Each time you log in, we verify it is really you by sending a confirmation code via email, SMS, or an authenticator app. This additional verification step is called 2-Factor Authentication (2FA).

2-Minute Test From Dashboard

The 2-Minute Test From Dashboard is a quick way to demonstrate the power of the platform. For registered users, it is available in the Core Workspace on the Company Dashboard.

It includes:

  • 29 tailored questions (based on your company/industry)

  • A bespoke report

  • A test certificate

  • A free KPI Report for your company

The test can also be accessed from the Diligentsia website home page without registering until the end of the test (if the visitor chooses to create a FREE account and store the reports).

2-Minute Test From Home Page

The 2-Minute Test From Home Page is a quick way to demonstrate the platform. Visitors can complete the test directly from the Diligentsia website home page and only register at the end (if they wish to store their test and KPI reports).

For registered users, the test is available in the Core Workspace on the Company Dashboard.

Add a Company

Add a Company is the process where the Diligentsia account owner adds a new company to the platform via the Company Index.

  • Advisors and investors on Portfolio Pro can also add companies via the Advisor Client Index and Investor Portfolio Index.

  • An automated email is sent to the company’s designated contact (normally the CEO) to request authorisation.

Add a Group

An owner can add multiple companies to a Company Index and create a group, designating each company as a parent, subsidiary, or associated company.

A group can be created:

  • From the Add Group / Create Group function on the Company Index, or

  • From the Group Info button in Company Settings

The platform cannot currently designate sub-subsidiaries.

Admin

A user on the Diligentsia platform with admin rights.

Admin Rights

Admin rights enable an owner (or admin) to access higher-permission features such as:

  • Managing users and permissions

  • Creating and setting up companies

  • Deleting a company in Company Settings (where permitted)

Advisor

An Advisor is a third-party professional (e.g., accountant or lawyer) who works with a company using Diligentsia.

Advisors may:

  • Be invited onto the platform by a company, or

  • Create client companies via the Advisor Client Index in the Portfolio Pro module

Diligentsia provides a dedicated Advisor module for this user type.

AI

Diligentsia uses generative AI, including Microsoft Bing, Google Bard, and OpenAI’s ChatGPT, to support features such as automation and bespoke reporting.

Audit Log

The platform records changes in each module into an Audit Log, allowing you to see:

  • What was changed

  • When it was changed

  • Who made the change

Associated Company

An Associated Company is a company where a parent owns between 20% and 49% of its shares.

Business Audit

The Business Audit module enables a company to review each of the 20 sections of the folder structure.

Each section contains 10 questions, bespoke to the company’s:

  • Activities

  • Objective (investment ready / growth ready / exit ready)

  • Stage of development (pre-revenue / post-revenue early stage / mature)

  • Industry

Benchmarking Module

The Benchmarking module enables you to compare performance against comparable businesses on the platform.

  • Advisors can benchmark across client companies

  • Investors can benchmark across portfolio companies

  • Comparisons can be by module or section

Bronze Certification

When you complete modules, Diligentsia merges your completeness score and risk score into an overall certification score.

If thresholds are met, you may be awarded an unaudited certificate: Bronze, Silver, or Gold.

Bronze certification indicates a basic self-audited level of corporate organisation. As you complete more modules and improve scores, you can progress to Silver and then Gold.

If you want an audited certificate to show to third parties, you may use Diligentsia Pro Plus via your accountant/lawyer or Diligentsia.

Certification

Companies registered under Diligentsia Pro can work towards unaudited self-certification:

  • Bronze (basic)

  • Silver (potentially investible)

  • Gold (sophisticated)

Companies may also apply for Diligentsia Pro Plus if they want third-party audited certification.

Client Benchmarking

Client Benchmarking compares companies against each other within a portfolio based on:

  • Total completeness and/or risk, and/or

  • Performance by section within the folder structure

Client Index

The Advisor Client Index enables advisors to monitor their client portfolio on one page. From here, authorised users can click through to a company’s Company Dashboard.

Company Dashboard

The Company Dashboard is the main dashboard for an individual company. It shows:

  • Available modules (and whether they are activated)

  • Completeness and risk scores by module

  • Shortcuts to reports and Company Settings

  • Visibility of features that would unlock on plan upgrade

Think of it as your company’s control centre.

Company Index

The Company Index enables companies to monitor all companies on one page (including group companies). Authorised users can click through to each company’s Company Dashboard.

Company Objectives

To tailor (“bespeak”) the platform to your needs, you choose one objective when adding your company:

  • Investment ready

  • Growth ready

Company Settings

Company Settings centralises core company information and platform controls, including:

  • Companies House information

  • Address and website

  • Subscription and billing information

  • User permissions (who can access which modules/sections)

Completeness Score

The completeness score is calculated in real time as you complete a module. It shows (to you and any authorised third parties) how much of a module has been completed. Completeness is a key component of certification.

Connecting and Syncing with External Data Rooms

Diligentsia’s file storage is called the Data Repository. It can be connected to cloud storage such as Dropbox, SharePoint, or Drive.

This involves two steps:

1) Connect:

Connect your Data Repository to your chosen cloud provider. This creates a duplicate Diligentsia folder structure in your cloud storage known as your Data Room.

2) Sync:

Sync the Data Repository with your Data Room.

For Dropbox and SharePoint, you can also copy files into the Data Room and sync them back to the Data Repository.

This reverse-sync functionality is not available for Drive due to Google restrictions.

Core Workspace

The Core Workspace is the core area of your Company Dashboard containing key modules in your plan, such as:

  • Company Settings

  • 2-Minute Test

  • Data Repository

  • Business Audit

  • Certification

Data Repository

The Data Repository is the platform’s central filing and storage module.

  • Lite includes 20 sections

  • Pro includes subfolders (160+) within those sections

  • It supports user-defined sections and expansion pack sections

You can upload files via checklists, or import in bulk using the Filing Assistant, which allocates files based on filenames (not file contents). The module includes audit logs, completeness scoring and reporting, plus optional syncing with an external Data Room.

Data Repository Reporting

Reports relating to the Data Repository include (for example) file lists, file management views and audit logs.

Data Repository Index

The Data Repository Index is the list of sections that make up the repository:

  • Core sections (20 for Lite)

  • Subsections (160+ for Pro)

  • Plus user-defined sections and expansion pack sections (where applicable)

Data Room

A Data Room is the duplicate folder structure created inside your chosen cloud provider when you connect your Data Repository. You can then sync the two.

If you already have a data room from providers such as SeedLegals, iDeals, Datasite, or Ansarada, the Filing Assistant can help organise that content into the Diligentsia structure.

Deduper

The Deduper helps identify duplicate files (and versions of the same filename) across the platform so you can review and deduplicate (or move/copy) files. It is available within the Data Repository.

Filing Assistant

The Filing Assistant enables bulk import: you can upload folders/files and the assistant allocates them into the folder structure based on filenames (not file contents). You can then adjust allocations and use the Deduper as needed.

Certification Levels

  • Silver Certification: Indicates potential investibility (self-audited; not a guarantee).

  • Gold Certification: Indicates a more sophisticated level of corporate organisation (self-audited; not a guarantee).

Investor, Advisor, User Types

  • Owner: First user to create the account and add the company, with full admin privileges.

  • User: Any invited team member with permissions set via Company Settings.

  • Investor / Investor Module: Investor features for angels, VCs, PEs, and lenders; investor dashboard is free if minimum onboarding requirement is met (as stated).

Scoring

  • Risk Score: Real-time score based on answers; contributes to certification.

  • Completeness Score: Real-time completion indicator; contributes to certification.

Sync

  • Sync: Synchronises Data Repository and Data Room so they mirror each other (including reverse sync where supported).

  • Sync All: Syncs the whole folder structure at once rather than a single section.
