2-Factor Authentication(2FA)
We take the security of your data seriously. For this reason we ask that each time you login to our platform we can check that it is really you logging on by sending a confirmation text to your phone, or to your authenticator, or to your email address. This is called the 2 -Factor Authentication(2FA). You can choose which source to verification use in your User Profile.

2-minute Test From Dashboard
2-minute Test From Dashboard is a test to quickly demonstrate the power of the platform. For users that have registered onto the platform, the test can be found in your Core Workspace on your Company Dashboard. It consists of 29 questions tailored to your company/industry, a bespoke report, a test certificate and free KPI Report for your company. The test can also be accessed directly from the Diligentsia web home page without any need to register until the end of the test (if the visitor wishes to create a FREE account and store the test report and KPI report).

Add a Company
The process where the Diligentsia account owner adds a new company to the platform through the Company Index. Advisor and investor Diligentsia account owners in Portfolio Pro can also add their companies to their Advisor Client Index and Investor Portfolio Index respectively. (Emails are then sent to the company’s designated contact (normally the CEO) for authorization.

Add a Group
An owner can add multiple companies to a Company Index and create a group designate each a parent, subsidiary or associated company within the group. This can be done either from the “Add Group” function on the Company Index, or the “Group Info” button within Company Settings. The platform cannot currently designate sub-subsidiaries.

Admin

Admin Rights

Advisor
A third-party professional advisor, such as an accountant or lawyer, who wishes to work with the company, and who may either be invited onto the platform by the already registered/created company, or who can create client companies on the Advisor Client Index within the Portfolio Pro module. AI

Business Audit
The Business Audit module assists a company to undertake a review of each of the twenty sections of the Folder Structure; there are 10 questions in each section – bespoke to the company’s activities, objectives (investment ready, growth ready or exit ready), state of development (pre-revenue, post-revenue early stage and mature) and industry.

Benchmarking Module
In the Benchmarking module, you can compare your performance against comparable businesses on our platform. Advisors can compare across their client companies, and investors across their portfolios. You can compare by module or by section.

Bronze Certification
When you complete various modules, we use an algorithm to merge your completeness score and risk scores into one overall score. If you perform well enough you can gain a Diligentsia unaudited bronze, Silver or Gold certificate. Bronze certification suggests that your company has reached a self-audited stage of having the basic corporate information in place within your company. As you complete more modules and improve your completeness and risk scores, you can progress from silver certification to gold certification. If you wish, you can ask your accountant or lawyer to complete our checklists in Diligentsia Pro Plus, and you can receive a third-party audit certificate to show third parties.

Certification
Companies registered under the Diligentsia Pro plan can work towards bronze (basic), silver (potentially investible) and gold (sophisticated) unaudited self-certification. They can also apply for Diligentsia Pro Plus if they want third party audited certification. The concept behind this is that companies can hold out their degree of investment/exit readiness to investors and purchasers.

Company Settings
We have created a Company Settings module where all the core information about your company, its various settings is centralized in one place for you to access and control your use of the platform. This includes UK Companies House registered information about the company, subscription and billing information, its address and website etc. It also enables control of which colleagues can access which modules on the platform.

Completeness Score
The completeness score is calculated on each module in real time as you complete it so that you (and third parties if you authorize them) can see the extent to which you have completed all the questions/sections of a module. The degree of completeness is an important component in the certification process. You can always return to a section to complete it further.

Connecting and Syncing with External Data Rooms
We refer to Diligentsia's file storage as the Data Repository, which includes the ability to sync with your cloud storage on platforms like Dropbox, Sharepoint, or Drive. This process involves two steps:
1. Initially, you connect your Diligentsia Data Repository to your chosen cloud provider, creating a duplicate Diligentsia folder structure, known as your Data Room.

2. Subsequently, you can sync your Diligentsia Data Repository with your Data Room. For Dropbox and Sharepoint, you can also copy files from your cloud folders to your Data Room, and these changes will sync back with the Diligentsia Data Repository. Please note that this functionality is not available with Drive due to Google's restrictions.

Data Repository
The Diligentsia file storage module is at the core of our platform. Diligentsia Lite has 20 sections. Diligentsia Pro has 160 subfolders within the 20 sections. Our data repository module is where you centralize all your company’s key corporate files. We take you through a checklist process of uploading your key files. Or you can use the Diligentsia Filing Assistant and dump/import all your folder/files into it, and we can automatically allocate hundreds of files into the various folders for you. You can move files/copy files, and we have a de-duper feature. This module has audit logs, completeness scoring and data repository reporting. You can also create and connect and sync a backup Data Room with your existing cloud provider.

Data Room
We duplicate the Diligentsia folder structure within your chosen cloud provider, naming it your Data Room. You can then sync your Diligentsia Data Repository with your Data Room. Currently, we support connections to Drive, Sharepoint, and Dropbox, with plans to expand this list.
If you already have a Data Room from providers like Seedlegals, iDeals, Datasite, or Ansarada, our Diligentsia Filing Assistant can automatically organize your existing data room folders and files into our comprehensive Data Repository structure, including 20 sections in our Diligentsia Lite plan and 160 subfolders in our Diligentsia Pro plan.

Deduper
It could be that the same file has been uploaded to different places in within the Diligentsia platform. Sometimes this is desirable – for example a Director’s CV could be stored in several places on the platform. Our Diligentsia Filing Assistant sometimes deliberately files the same file in several different folders within the Data Repository. Our deduper function searches across the platform, identifying not only duplicate files, but also different versions of the same filename, and bring these all together into a module for you to review, and deduplicate (or move or copy). This feature can be found within the Data Repository.

Due Diligence Checklist Module
The Due Diligence Checklist Module allows anyone, having input only a 5 pieces of information, to automatically create a sophisticated due diligence checklist on any company. It will be bespoke to take into account the company itself, its industry, its objectives and its stage of development. You can choose 20/50/100 question checklists and in addition add up to five of your own questions to the checklist. This is primarily aimed at investors but can be used by advisors undertaking Know Your Customer (“KYC”) checks, or companies looking to merge or acquire.

Filing Assistant
This is an AI bot which enables you to dump all the folders and files you want to import into our Diligentsia Data Repository with our assistant, and it will automatically allocate your files within our folder structure. You can then move files/copy files and use our deduper if you want to amend the allocation. We allocate based upon your file names, not the file contents (we don’t look inside your files). This feature makes it easy for you to take data room files from elsewhere and put them into our Data Repository with minimal effort. As with all our modules, there is an Audit Log and reporting.

Directors' Questionnaire
Investors want to know the details and backgrounds of the key people they invest in. They frequently ask management directors (and sometimes senior managers) to complete a set of questions around their history, any criminal convictions, court judgements etc. Diligentsia has created an Expansion Pack module to automated this process to make it speedier for everyone involved. File Manager
This feature enables you to see what files are contained in a particular section of the Data Repository or Expansion Pack. You can copy/move/edit/delete files and you can see where the file originated if it was synced from elsewhere or was pre-populated, from, for example, Companies House.

Folder Structure
The core of the Diligentsia platform is the Diligentsia Folder Structure. This contains the central filing cabinet sections e.g. Key investor documents, legal, insurance, financial etc. Each section has a folder within the data Repository. In Diligentsia Lite there are 20 sections, whilst in Diligentsia Pro there are roughly 140 sub-folders (and even sub-sub folders so that you can better organize more information. The folder structure can best be viewed in your Data Repository. Having a common folder structure across your companies saves everyone lots of time.

Group Company

Owner
Within the Diligentsia platform the first person to create an account and add their company is designated the company “owner”, with full admin privileges. The owner can then invite additional team members and designate them additional owners, or “users” and within the User Management section of that company’s Company Settings, determine which areas of the platform and functionality each user can have.

Parent

Our mission is to make life easier for you on the Diligentsia platform. Risk Score

User Profile
Your User Profile module can be accessed via the left-hand sidebar, and is the place where we store all relevant information about you as a user, including email contact address, passwords, telephone number, 2-factor authentication settings, profile picture, LinkedIn link etc.

User
Within the Diligentsia platform the first person to create an account and add their company is designated the company “owner”, with full admin privileges. The owner can then invite additional team members and designate them additional owners, or “users” and within the User Management section of that company’s Company Settings, determine which areas of the platform and functionality each user can have. Each user has an account created in their name, and their user settings can be found in their User Profile. Their permissions can be changed via User Management with Company Settings.

User Login
This is the process from the diligentsia.co.uk website home page where a user logs into the platform. Their login is verified via 2-Factor authentication, the settings of which can be added/edited via your User Profile.

User Management and Permissions
We have provided an account owner the tools to invite/add additional users to the platform. Some account owners will wish to limit an individual user to only part of the file index e.g. limit access to HR records or Director information. The settings and permissions are contained in the User Management section of the Company Settings.

User Registration from Homepage
This is the process from the diligentsia.co.uk website home page where a visitor to the site sets up an account on the platform for the first time. They may be an owner who comes to the site to set up a company and then invite additional users to register onto the platform to access that Company (or Group).
